1 PROJECT AMENDMENT TO THE AGREEMENT In accordance with the original Additional Civil/Site Services for Engineering Agreement entered into July 21, 2009 for work within the scope of this Solicitation, this Project Amendment 09Q-036-PA-12 for the Silver Springs Shores Unit 26 Stormwater Retrofit (Project) is made and entered into July 2, 2013 between Pigeon-Roberts & Associates, LLC (Consultant), whose address 925 SE 17th St, Suite A, Ocala, FL 34471, possessing FEIN and the Marion County Board of County Commissioners (Owner), 601 SE 25th Avenue, Ocala, Florida, WITNESSETH WHEREAS this agreement shall remain in full force and effect until all completion of services required of the Consultant has been completed, and the parties wish to amend such agreement. IN CONSIDERATION of the mutual covenants and conditions contained herein, the parties do hereby agree as follows: 1. This Agreement shall be deemed to amend the original contract between Owner and Consultant for the Project as indicated above, and in accordance with the original Solicitation and Contract for Additional Civil/Site Services for Engineering under 09Q Services and performance will be in accordance with the scope of service and fee schedule as Exhibit A, attached hereto and made part of this Project Amendment. The total cost for this Project will not exceed $51,840. Project shall be completed on or before September 30, All provisions of the original contract not specifically amended herein shall remain in full force and effect. This proposal has been prepared based on the request for scope of work with cost proposal, received December 26, 2012 and our coordination meetings on January 18, 2013 and conference call to SJRWMD on February 15, 2013 as well as related information obtained for the project area and our site observations. I. PURPOSE This project is located in Silver Springs Shores Unit 26 and involves the design of stormwater management system improvements to reduce and address localized flooding in the project area. More specifically, the project involves the expansion or construction of Drainage Retention Areas (DRA's), as well as, improvement of the existing stormwater conveyance system to existing DRA's 7525, 7207, and See attached (Figure 1). The purpose of this Task Authorization scope of services is to assist Marion County to prepare construction documents and permit application documents & data to obtain permits and approvals to initiate project construction. A more detailed Scope of Services by task is provided below. II. SCOPE OF SERVICES Task 1. Surveying and Mapping Services (for Engineering Design) For this project, the following surveying and mapping services shall be provided; Part 1: Survey of Public Roads & Parcels (Base Surveying & Mapping Services): 09Q-036-PA-12 EXHIBIT A Page 1 of 14 A. Vertical Survey Control: Establish vertical control points based on the North American Vertical Datum (NAVD) of 1988 through the use of differential leveling and set Temporary Benchmarks within the vicinity of the project in sufficient number and location to facilitate completion of the survey and subsequent construction activities. B. C. Right-of-way Control: Recover and tie monuments (PRM's, PCP's, etc., as appropriate) previously established during the platting of Silver Springs Shores Unit No. 26 (Plat Book J, pages 209 through 213), sufficient in number and location to ascertain the location of public road right-of-ways associated with the project. D. Topographic Survey: Perform a Topographic Survey of the project area which shall include the location of visible, fixed improvements and surface features along the proposed route consisting of trees (6" DBH and larger) lying within the subject parcel and within 20 feet of the subject parcel boundary, pavement, driveways, culverts / drainage pipes; water valves and meters, and other features that might affect the design of the proposed drainage facilities and which shall include the location of spot elevations sufficient in number and location to accurately model the existing ground surface (but not to exceed an approximate interval of 50 feet). E. Limits of Survey: The public roads along which the Topographic Survey shall be performed shall consist of the following segments of public rights-of-way and / or easements: North Project Area: Redwood Track Run: Redwood Track Course: Redwood Track Radial: Proposed Easement 1: W.R.A. No. 1: the limits of survey shall consist of the full right-of-way (nominally 50 feet wide) of Redwood Track Run from the northerly right-of-way line of Redwood Track Trail (50 feet wide), Southerly, to its southernmost point of the cul-de-sac in Block 687, of Silver Springs Shores Unit 26 (approximately 700 linear feet); the limits of survey shall consist of the full right-of-way of Redwood Track Course (50 feet wide) from a point 150 feet west of its intersection with Redwood Track Run, Easterly, to a point 185 feet southeasterly of its intersection with Redwood Track Radial (50 feet wide) (approximately 1200 linear feet); the limits of survey shall consist of the full right-of-way of Redwood Track Radial (50 feet wide), from its intersection with the northerly projection of the westerly line of Lot 5, Block 691, Silver Springs Shores Unit 26, Easterly, to the southerly right-of-way line of Redwood Track Course (50 feet wide) (approximately 375 linear feet); South Project Area: the limits of survey shall consist of the full width and length of the proposed drainage easement (20' to 30' wide) in the vicinity of Lots 32 through 41, Block 690, of Silver Springs Shores Unit 26 (specific location to be determined) (approximately 175 linear feet); the limits of survey shall consist of the extent of the physical features associated with the existing stormwater management facility adjacent to Lots 32 through 41, Block 690, of Silver Springs Shores Unit 26, sufficient to design the proposed drainage connection via Proposed Easement 1 as defined above. Pecan Run Harbor: the limits of survey shall consist of the full right-of-way of Pecan Run Harbor (50 feet wide), from the easterly right-of-way line of Redwood Road, Easterly, to its

No. 2: Marion County Parcel: intersection with the westerly right-of-way line of Redwood Track Course (50 feet wide) (approximately 500 linear feet); the limits of survey shall consist of the full right-of-way of Redwood Track Course (50 feet wide) from the southerly line of Lot 14, Block 690, of Silver Springs Shores Unit 26, Northerly, to the northerly right-of-way line of and to include the entirety of the Redwood Track Course Cul-de-sac right-of-way adjacent to Lots 17 thru 20, of said Block 690 (approximately 500 linear feet); the limits of survey shall consist of the full width of Redwood Road (80 feet wide) from the southerly right-of-way line of Pecan Run Harbor (50 feet wide), Northerly, to the northerly right-of-way line of Redwood Track Terrace (50 feet wide) (approximately 675 linear feet); the limits of survey shall consist of the full right-of-way of Redwood Track Lane (50 feet wide) from the easterly right-of-way line of Redwood Road (80 feet wide), Easterly, 200 feet; the limits of survey shall consist of the full width and length of the existing drainage easement (20' wide) running along the common line between Lots 17 and 18, Block 690, of Silver Springs Shores Unit 26 (approximately 170 linear feet); the limits of survey shall consist of the extent of the physical features associated with the existing stormwater management facility adjacent to Lots 17 and 18, Block 690, of Silver Springs Shores Unit 26, sufficient to design the proposed drainage connection via Proposed Easement 2 as defined above. the limits of survey shall consist of the boundaries of Lot 2, Block 693, of Silver Springs Shores Unit 26 (Tax Parcel , Marion County, Owner). F. Utilities: Visible utilities, visible evidence of underground utilities and underground utilities markings (as performed by others) existing at the time of field survey shall be located to the extent that such lie within or cross into the Offsite Utility Corridor (Consultant shall request the marking of underground utilities through Sunshine 811 or direct contact to non-members if known) lying within the area of Topographic Survey. Locate existing storm inlets and underground piping routes, if present and visible. G. Jurisdictional Wetlands: Locate points approximating the limits of jurisdictional wetlands within the limits of the project as delineated by the project's environmental science subconsultant. H. Digital Terrain Model: Prepare a Digital Terrain Model (DTM); review and edit the model as appropriate to achieve an accurate representation of the existing ground surface within the limits of the Topographic Survey. I. Data Processing, Survey Analysis & Mapping: following the completion of the field activities, process all survey data and perform requisite checks to insure accuracy and completeness; verify reasonable agreement of right-of-way dimensions and locations and calculate appropriate geometry of any elements for which monuments were not recovered; identify and label all horizontal and vertical control points; map the results of the Topographic Survey in AutoCAD Civil 3D (2012) format by the creation of a comprehensive digital basemap of the project to be used for subsequent detailed engineering design and permitting of the project facilities; author appropriate notes regarding the completed survey; provide appropriate survey certification on the detailed engineering design plans, if required.

5 09Q-036-PA-12 EXHIBIT A Page 4 of 14 Page 4 of 10 Part 2: Private Parcels Proposed for Public Acquisition and Stormwater Management Facilities (portions included in the Base Surveying and Mapping Services & portions included as Optional Surveying and Mapping Services): J. Vertical Survey Control: Establish vertical control points based on the North American Vertical Datum (NAVD) of 1988 through the use of differential leveling and set Temporary Benchmarks within the vicinity of the project in sufficient number and location to facilitate completion of the survey and subsequent construction activities. K. Horizontal Survey Control: Establish horizontal control points based on the Florida State Plane Coordinate System (West Zone), North American Datum (NAD) of 1983 through the use of Global Positioning System (GPS) observations within the vicinity of the project in sufficient number and location to facilitate completion of the survey and subsequent construction activities. L. Boundary Survey: Perform a Boundary Survey in accordance with the requirements of Chapter 5J-17, Florida Administrative Code, of the proposed acquisition parcels once selected from the list of Parcel Options below. The survey shall include the location of Permanent Control Points and / or other monuments sufficient to determine the location of the boundary lines of the subject parcel(s). M. Topographic Survey: Perform a Topographic Survey of the proposed acquisition parcels once selected from the list of Parcel Options below which shall include the location of visible, fixed improvements and surface features lying within and in near proximity to the boundary lines of the parcels consisting of trees (6" DBH and larger) lying within the subject parcel and within 20 feet of the subject parcel boundary, pavement, driveways, culverts / drainage pipes; water valves and meters, and other features that might affect the design of the proposed drainage facilities and which shall include the location of spot elevations sufficient in number and location to accurately model the existing ground surface (but not to exceed an approximate interval of 50 feet). N. Jurisdictional Wetlands: Locate points approximating the limits of jurisdictional wetlands (if any) within the limits of the project as delineated by the project's environmental science subconsultant. O. Parcels included as part of the Base Surveying and Mapping Services: The following are parcels which shall be included in the base survey activity for the project for which Marion County is in the process of pursuing contract negotiations for purchase: Parcel 1: the included parcel consists of the following lot in Block 687, of Silver Springs Shores Unit 26, as recorded in Plat Book J, pages 209 through 213, of the public records of Marion County, Florida, to-wit: Lot 23: Tax Parcel World O World Corp., Owner

Markey, Owner (Deleted) the included parcel consists of the following lot in Block 693, of Silver Springs Shores Unit 26, as recorded in Plat Book J, pages 209 through 213, of the public records of Marion County, Florida, to-wit: Lot 1: Tax Parcel Eric R. Parcels of Interest proposed as Optional Surveying and Mapping Services: The following are considered as Parcels of Interest for which Marion County may acquire title for inclusion in the Stormwater Retrofit project and shall be subject to the same scope of services as the above parcels which are included in the Base Surveying and Mapping Services: Parcel 7: the optional parcel consists of the following lot in Block 692, of Silver Springs Shores Unit 26, as recorded in Plat Book J, pages 209 through 213, of the public records of Marion County, Florida, to-wit: Lot 3: Task 2. Geotechnical Services Coordination Tax Parcel Kharyne Neptune, Owner A. CONSULTANT shall coordinate necessary geotechnical work, if needed, with Marion County selected independent Geotechnical Vendor. If additional data is needed CONSULTANT shall coordinate with the Geotechnical Engineer regarding locations and parameters of needed soil exploration and laboratory analysis based on the preliminary design of the systems. B. Review the results of the geotechnical exploration and geotechnical Engineer s findings. C. Coordinate with Geotechnical Engineer for needed submittal documents for regulatory permitting. Task 3. Engineering Design and Permitting Services Site Investigation, Analysis and Design: A. CONSULTANT shall conduct a site visit and investigate the physical features and general characteristics of the project site. B. Develop and design preliminary drainage system improvements for review and analysis. Prepare base plans and design concept plans to a preliminary stage for County review.

7 09Q-036-PA-12 EXHIBIT A Page 6 of 14 Page 6 of 10 C. CONSULTANT shall conduct drainage system analysis and prepare stormwater management system calculations. D. Assemble all of the design components, plans and details, standard details, design survey data and mapping, and construction notations. Prepare 90% construction plans and drainage calculations for review by COUNTY staff. Plans will generally include: Cover sheet Notes and Standards sheet DRA site plan design and pond location plan DRA Cross Section(s) Plan & Profile of storm sewer system and conveyance system improvements Standard Details sheet Erosion Control and Best Management Practices (BMP) Plan. E. Perform all plans review and checking. Provide 90% plans to Marion County for review and comment along with stormwater management system calculations. Limited Scope Environmental Inspection: F. Conduct a limited scope environmental inspection to include a brief field inspection of each of the nine (9) parcels and inspection of the proposed reconstructed swale areas to document the presence of listed species, wetlands, surface waters or other environmentally sensitive areas. The results will be documented in a brief (1-2 page) memo style report to the County and/or Engineer. Gopher Tortoise burrows and wetlands as well as other environmental features of concern within the proposed project area will be identified in the field and GPS locations acquired. Environmental Resource Permit (ERP): G. Attend a pre-application and project identification meeting with SJRWMD to present the preliminary design plans and discuss permitting processes with SJRWMD representatives and also discuss any Nitrogen and Phosphorus maximum acceptable Loading requirements. H. Prepare Environmental Resource Permit (ERP) application for the proposed improvements. Application shall be prepared as Standard General Permit (CH 40C-42 FAC). Prepare supporting documentation (plans and calculations). Assemble all required documentation and submit same to SJRWMD for processing. I. Respond to County staff and SJRWMD, if needed, to address any Requests for Additional Information (RFI's) received from SJRWMD that pertain to the engineering design services covered under this Task Authorization (contract amendment ). Final Design and Improvement Plans: J. Prepare and submit 100% stage Improvement Plans and drainage calculations to Marion County for review and comment. K. Provide a tabulation of quantities in spreadsheet format for the items noted in the Final improvement plans (Construction Drawings). The County will include this tabulation in its bidding documents. L. Prepare a Construction Cost Estimate in spreadsheet format.

Provide Final (100%) construction drawings in hard copy (11 x 17 and 24 x 36 ) and electronic format (PDF, AutoCAD 2004 and AutoCAD 2007) to Marion County Office of the County Engineer. N. Prepare Technical Special Provisions, for construction items not included in the standard Marion County Construction Specifications, and that are not included in the construction plans notes and specifications. Task 4. Meetings A. CONSULTANT shall attend the following meetings (on a time and materials basis): a. Kickoff meeting with County staff. b. Pre-application meeting with SJRWMD staff. c. Up to two (2) additional meetings with County staff during execution of the Scope of Services. III. TASK AUTHORIZATION QUALIFICATIONS Qualifications with respect to the Scope of Services for this project assignment are noted on Attachment B. IV. PROFESSIONAL FEE AND AUTHORIZATION This project will be performed on a lump sum basis for Tasks 1, 2 and 3. Task 4 shall be performed on a hourly rate time and materials basis. A breakdown of the fee for professional services is listed below and is detailed on Attachment A, Cost Spreadsheet. All work and services shall be conducted in accordance with the Engineering Services Agreement between Pigeon-Roberts & Associates and Marion County Board of County Commission. V. PROJECT SCHEDULE PR&A shall perform work and consult with Marion County office of the County Engineer so that the design and permitting activities can be completed with the goal of sending Bid Documents to Procurement by September 30, Interim milestone dates are as follows: VI. INVOICING 90% Plans and design calculations Due by August 12, 2013 Permit Modification submittal to SJRWMD Due by August 19, % Construction Drawings/Drainage Calculations and Bid Quantities. Additional services not include above and requested by COUNTY will be defined in addendum(s) in accordance with the Agreement Between Owner and Consultant and additional work tasks will only be performed after COUNTY approval. 2. This Proposal and associated fees do not include performing any specialized studies outside those listed above. The proposal does not include performing any geotechnical soils investigation, laboratory analysis or testing by Pigeon- Roberts & Associates. COUNTY will provide the services of a geotechnical engineer under a separate agreement directly with a professional geotechnical engineering firm. 3. This proposal does not include legal services or expert testimony on matters relating to this project should it become necessary. Appearances before courts or boards on matters of litigation or hearings related to the project, if necessary, shall be conducted on an hourly rate basis at expert testimony fee rates. 4. This proposal is based on the rules and regulations in effect as of the date of this proposal. Changes in rules, regulations or codes that affect the future implementation of design, constructability or practicality of system operations or infrastructure improvements are beyond the scope of this project. Changes in rules, regulations and policy that materially affect the degree of engineers work identified in the scope of services shall be quantified by PR&A and considered additional services to this proposal. 5. The Scope of Services does not include performing operation or maintenance of the existing stormwater management systems within the project area. 6. Permit fee and or application fees to SJRWMD or other regulatory agencies, if required, shall be paid for by COUNTY. 7. This proposal does not include performing construction stage services, such as inspections or contractor submittals review, preparation of record drawings or final certification of completed construction. Any and all of these services can be provided with an approved addendum to this scope of services. 8. This proposal includes preparing and filing an Environmental Resource Permit with the SJRWMD as a Standard general permit with NO wetland impacts. Should SJRWMD object to the use of a General Permit and require an Individual Permit, then an additional services addendum shall be prepared to address the additional scope of services required to file a complete ERP permit application. 9. The marking of all underground utilities shall be requested through Sunshine One Call Utility Location Call Center as provided by Florida Law. Only those utilities marked at the time of field survey by the utility owner or designee shall be located and shown on the survey. The marking and / or location of all underground utilities is neither guaranteed nor assured by CONSULTANT. 10. This proposal assumes that published vertical control from which ties to the National Geodetic Vertical Datum (NGVD) of 1929 or North American Vertical Datum (NAVD) of 1988 is to be derived are able to be recovered intact and undisturbed. 11. The need for Surveying and Mapping services relating to biological or environmental issues (endangered and / or threatened species, species of special concern, etc.), other than as already provided herein, is not included. 12. Surveying and Mapping services relating to construction stakeout and / or as-builts of completed construction, other than as noted in the above scope, are not included. Consultant will gladly provide these services in the future on behalf of Client following the execution of an appropriate written addendum to this agreement.

11 09Q-036-PA-12 EXHIBIT A Page 10 of 14 Page 10 of Surveying and Mapping Services for this project shall meet the Minimum Technical Standards set forth in Chapter 5J- 17, Florida Administrative Code, pursuant to Section , Florida Statutes. 14. For surveys of private parcels proposed for public acquisition (whether included in the base surveying and mapping services or proposed as optional surveying and mapping services), where a subject parcel abuts another parcel, the location of trees specified in the above scope of services shall be limited to the perimeter of the combined parcels as though they existed as one parcel of record; trees lying within 20 feet of the common boundary line thereto shall not be located. 15. This Task Authorization does not include CONSULTANT preparing an FDEP NOI Stormwater permit application or processing the application with FDEP. 16. The Task Authorization fee includes expenses for items such as fax, photographs, regular mail, long distance telephone calls, local travel, general project production photocopies and prints to COUNTY and agencies. Additional costs for express mail, legal notices and advertisement costs, permit fees, and travel outside of Marion County will be considered extra reimbursable costs and invoiced at CONSULTANT S standard rates. All permit or filing fees and legal notice costs for regulatory approval are to be paid for directly by COUNTY. As a service to the COUNTY, if such fees are to be paid by CONSULTANT, they shall be considered reimbursable. 17. This proposal does not include CONSULTANT performing any construction.
