3 Notice Inviting Tender Purchase of Residential Flats at Bengaluru 1. IDBI Bank Limited (the Bank), a company incorporated and registered under the Companies Act, 1956 and a banking company under section 5 (c) of the Banking Regulation Act, 1949, intends to purchase 25 residential flats (with covered/open car parking for each flat) at Bengaluru on ownership basis, complete with all necessary permissions from the concerned local authorities for use as residential accommodation. These flats must be new flats, have clear and marketable title, free from encumbrances. Flats which are ready for immediate occupation or guaranteed possession within 6 months from the date of opening of tender only will be considered. The flats/property with A khata, CC/OC only will be considered. The requirement of flats is as under: (1) Approximate carpet area of the flats 2BHK Sq.ft (+ 10% will be acceptable) Number of flats required 20 Nos. Desired location Flats located within a distance of about 15km from IDBI House, Mission Road preferably in and around: Banashankari, Basavangudi, Dollars Colony, BTM Layout, JP Nagar, Jayanagar, Indiranagar, Kormangala, Kanakapura Road, Kumaraswamy Layout, Langford Town,Murugeshpalya, Old Airport Road, Old Madras Road, Hebbal, RMV Extension, Richmond Road, Richmond Town, Shantinagar, Wilson Garden, Seshadripuram, Bannerghatta Road 3

4 (2) 3BHK Sq.ft (+/- 10% will be acceptable) 5 Nos Flats located within a distance of maximum 15 km from IDBI House, Mission Road preferably in and around: Banashankari, Basavangudi, Dollars Colony, BTM Layout, JP Nagar, Jayanagar, Indiranagar, Kormangala, Kanakapura Road, Kumaraswamy Layout, Langford Town,Murugeshpalya, Old Airport Road, Old Madras Road, Hebbal, RMV Extension, Richmond Road, Richmond Town, Shantinagar, Wilson Garden, Seshadripuram, Bannerghatta Road 2. The offers shall be from the reputed builders/developers having experience in construction of residential flats and who are fulfilling all the Bank s pre-qualification criteria as mentioned below: i) The builder/developer shall have been in the business for minimum 5 years as on 31/3/2016 (suitable documentary proof to be submitted). iii) The builder/developer shall have completed and sold at least 3 projects of minimum 25 flats each over the last 5 years. (building sanction/oc/cc of these projects to be submitted). iv) The builder/developer shall have completed and sold at least 1 lakh sft. of built up area over the last 3 years (Proof to be attached). 4. Any offer in a single project of less than 5 flats in case of 2BHK and 2 flats in case of 3BHK shall be summarily rejected. However the Bank reserve the right to procure more/maximum number of flats in a single project/location if found suitable irrespective of the rates at other locations. 5. The prospective builders / developers meeting the above requirement may download the non-transferable Tender Documents (Technical Bid and Price Bid) from the website of the Bank i.e. or collect the same from the under mentioned office/branch of the Bank. The Tender Documents will be issued between A.M. and 5.00 P.M. (Monday to Friday) excluding Bank Holidays from August 1, 2016 at the following address. 4

5 DGM-FIMD, IDBI Bank Ltd., IDBI House-1st Floor, 58, Mission Road, Bengaluru The last date and time for submission of the Tender Documents shall be P.M. on August 31, The tender document shall be dropped in the tender box kept at First floor, IDBI House, 58, Mission Road, Bengaluru-27. Bank shall not be responsible for non receipt of tender documents sent through courier/post etc. The tender box shall be closed at 3 P.M. sharp on August 31, 2016 and no submission thereafter shall be allowed. 7. If the bidder has both 2BHK and 3BHK flats to be offered, separate Tender Documents have to be submitted and evaluation for the same shall be done separately. 8. If the bidder has 2BHK flats or 3BHK flats at more than one project, then also separate tender documents (Technical Bid & Price Bid) have to be submitted for each project and the evaluation for the same shall be done separately. 9. The tender consists of two parts i.e. Technical Bid including terms & conditions and Price Bid. Separate Technical Bid and price Bid are to be submitted for each proposal. The Technical Bid and Price Bid should be sealed in separate envelopes duly marked Technical Bid and Price Bid. Both the envelopes should be placed in a single cover superscribed Tender for 2BHK/3BHK Residential Flats at Bengaluru. 10. Duly filled Tender along with legible copies of all supporting documents shall be submitted as under: i) Envelope marked as I: Technical Bid (page no 1-30), duly completed in all respects to be put in this envelope and sealed. The envelope would be superscribed as Technical Bid. Checklist of documents to be enclosed in Envelope 1: Each page of the Tender document (Page no 1-30) duly signed and stamped by authorized person. Receipt for Tender document fee (non refundable) of Rs.10,000/- Receipt for EMD of Rs.3,00,000/- for 3BHK flats & Rs.2,00,000/- for 2BHK flats per Builder/Developer. Recent photographs of the flats, buildings etc. offered. 5

6 Copy of sanctioned plan and layout. Copy of title investigation and Search Report for last 30 years along with copy of Title documents. Copy of Building use permission/occupation Certificate from competent authority. In case the same is yet to be obtained, the bidder should arrange for the same within 6 months time from the date of opening of tender. Site plan copy. Bidder s constitution documents like Articles of Association & Memorandum of Association / Partnership Deed / Proprietorship registration document etc. or any other related document specified by the Bank. NOC from the Bank/FI in case any financial assistance has been availed for the purchase of the land and/or construction of flat/building. Structural Stability Certificate from licensed structural engineer. Unconditional Acceptance of Terms & Conditions of tender and Tender Documents as per Annexure A Certification as per Annexure B. Details of Offer as per Annexure C. Specification list as per Annexure D. All the proofs necessary for prequalification as indicated in the Clause 2 on page 3. ii) Envelope marked as II: Price Bid (Page no 31-32) to be put in this envelope and sealed. This envelope would be super scribed as Price Bid. The Price Bid will be opened only if the technical bid is found suitable. iii) Envelope marked as III: The above two sealed envelopes No. I & No. II be placed in envelope No.III and sealed. This envelope would be superscribed as, Offer for 2BHK Residential Flats at Bengaluru (In case of offers for 2BHK flats) or Offer for 3BHKResidential Flats at Bengaluru (In case of offers for 3BHK flats) The offer shall be addressed to: The Chief General Manager, IDBI Bank Ltd. 7 and dropped in the tender box kept at the aforesaid address in FIMD department, First Floor. 11. Tender Document fee of Rs.10,000/- (non-refundable) to be credited through electronic mode (NEFT/RTGS) to: Bank s Current Account No , IFSC code IBKL at its branch situated at IDBI House, 58, Mission Road, Bengaluru and the receipt thereof should be enclosed along with the technical bid. 12. An interest free Earnest Money Deposit (EMD) of Rs.2,00,000/- for offers for 2BHK flats & Rs.3,00,000/- for offers for 3BHK flats per builder/developer to be credited through Electronic Mode (NEFT/RTGS) to Bank s Current Account No , IFSC code IBKL at its branch situated at IDBI House, 58, Mission Road, Bengaluru and the receipt should be enclosed along with the Technical Bid. The EMD of the unsuccessful bidders will be returned through electronic mode (without interest) after completion of the Bid process. The EMD will be forfeited if the bidder withdraws their offer/bid anytime after submission of bids. The EMD will also be forfeited if the bidder fails to honor the commitment in any manner. Offers/bid without EMD shall not be considered by the Bank. 13. The Technical Bids will be opened for scrutiny on August 31, 2016 at P.M. at the above address in presence of the bidders interested to be present. All the bidders are advised in their own interest to be present at the specified date and time. No separate intimation will be given in this regard. Only one representative from each bidder shall be entertained. The representative has to furnish an authorization letter from the Bidder on their letter head for participating in the Technical Bid opening. 14. The Price Bid shall be opened at a later date after the detailed evaluation of Technical Bid. The date of opening of Price Bid shall be intimate to the technically qualified bidders only. 15. The Bid shall be rejected, if Bank finds at any point of time that the title documents are not clear or any information submitted by the applicant is false. 16. The Bank does not pay any brokerage/commission. Offers from Brokers/Intermediaries shall not be entertained by the Bank and shall be summarily rejected. 7

8 17. Bank reserves the right to reject any or all the bids without assigning any reasons whatsoever. The Bank also reserves its right to amend/modify/alter/withdraw/cancel this tender any point of time without assigning any reasons whatsoever. Canvassing in any form will disqualify the bidder. 9 Evaluation of Technical Bid: 1. The Bank shall be adopting a system of Combined Quality Cum Cost Based System (CQCCBS) for evaluation of Technical bid received. The salient features of the evaluation system are mentioned as under:- 1.1 All the offers received will be screened and short listed by an in-house Committee of the Bank based on the requirements specified and the details submitted by the bidder, and carrying out inspection of the offered sites. All such short listed offers will be inspected and examined by the Committee and evaluated on the various parameters. The detailed list and maximum marks assigned to each parameter is as under: Sr No Parameter Maximum Marks 1 Distance of the flats from IDBI House, 58, Mission Road, Bengaluru-27. Case 2: Offers for 3 BHK Flats i) Offers for 5 flats in a project (Full marks) ii) Lesser than the above flats as the case may be (proportionate marks) Offers with less than 2 nos. of 3BHK flats in a project shall be rejected

10 4 Quality of construction, specification of internal fixtures / finishing items (as per Annexure D) i) Very Good ( 40) ii) Good ( 30) iii) Average (10) Poor quality is not acceptable to the Bank and any such offer shall be rejected. 5 Status of completion of the project: i) Ready possession with all municipal approvals including Municipal Building Use permission (Occupation Certificate) (10 marks) ii) Possession available with all municipal approval except Municipal Building Use permission (Occupation Certificate) which will be obtained within 6 months time from the date of opening of tender.(0 marks) Any other offer not in compliance with the above shall be rejected. 6 Internal layout of flats and layout of building in complex i) Very Good (30) ii) Good (20) iii) Average (10) Poor layout is not acceptable to the Bank and any such offer shall be rejected. 7 Availability of car parking i) Exclusive covered car parking for each flat (Full marks) ii) Combination of covered and open parking (proportionate marks) iii) Open car parking for each flat (0 marks) Offers having flats with no car parking area shall be rejected

Bank shall not entertain any request in this regard. ii) Bank reserves the right to accept/restrict in full/part the number of flats at any particular location as per its requirement. 11

12 Evaluation Method: Evaluation will be done for different locations as specified and offered separately. Price Bid will be opened only if the bidder has deposited requisite amount of Security Deposit as mentioned in the Tender Document. Bidders are advised to note importantly that evaluation of offers will be under Combined Quality cum Cost Based System (CQCCBS). The methodology under this system will be as under: i) Preliminary evaluation of the technical bids will be done to ensure that the bidders fulfill the basic selection criteria as per detailed terms and conditions specified in the tender documents. ii) Thereafter, the technical bids will be subjected to detailed evaluation by allotting marks on various parameters/criteria prescribed in the bid document to arrive at the qualifying marks. iii) Qualifying marks obtained by each bidder will be allotted a weightage of 60% while the Price Bid will be allotted weightage of 40%. iv) The Price Bids of only those bidders who qualify technically by obtaining a minimum qualifying mark of 60% in their technical evaluation only will be opened. v) Price bid of the bidder with the lowest cost with reference to its market value assessed by independent valuer or average value arrived by independent valuers will be given a financial score of 100 and other bids will be given financial score that are inversely proportional to their quoted prices vis-a vis market values. Similarly technical bid of the bidder having obtained highest marks will be given technical score of 100 and other bids will be given technical score inversely proportional to the marks obtained by them. vi) The total score, both technical and financial, shall be obtained by weighing the quality and cost scores and adding them up. 12

13 vii) On the basis of the combined weightage score for quality and cost, the bidders shall be ranked in terms of the total score obtained. The bidder obtaining the highest total combined score in evaluation of cost and quality will be ranked as H-1 followed by the bidders securing lesser marks as H-2, H-3 etc. The bidder securing the highest combined score and ranked as H-1 will be invited for negotiation, if required and shall be considered for awarding the contract/order. The formula for working out the combined score will be as under: Total scores= T (w) x T (s) + F (w) x F(s) T (w) stands for weightage for Technical score i.e. 0.6 T(s) stands for Technical score evaluated as mentioned in (v) above F(w) stands for weightage for Financial score i.e. 0.4 F(s) stands for Financial score evaluated as mentioned in (v) above We produce below an example to clarify the matters. Suppose, there are three bidders (A, B & C) qualified based on the marks received / technical parameters and the marks received by them and rate quoted by them are as under: Bidder Marks obtained in Rate quoted Market rate Price Ratio of Technical bid Rs. 14 Total Score of the bidder will be as under: A = 0.6 X X = (L3) B= 0.6 X X 100 = (L2) C= 0.6 X X = (L1) Bidder c is the successful and L-1. Bank may purchase flats from L-1 after due evaluation. In case, the complete requirement of flat is not fulfilled by the L-1 bidder, Bank may purchase flats from L-2 at the rate agreed by L-1 multiplied by the percentile of marks obtained by L-2 in the Technical Bid or the actual rate quoted by L2 in the Price Bid whichever is lower. Even if the requirement is not fulfilled, then Bank may purchase flats from L-3 also at the rate agreed by L- 1 multiplied by percentile of marks obtained by L-3 or the actual rate quoted by L3 in the Price Bid whichever is lower. In case there is a tie between two bidders they will be asked to furnish their revised rates in a sealed cover. There is no binding on the Bank to purchase flats from any of the bidders. 14

15 Terms and Conditions for Purchase of Residential flats at Bengaluru TERMS AND CONDITIONS- Technical Bid: 1.1 The terms and conditions shall form part of the tender to be submitted by the bidder. 1.2 Tender document received by the Bank after due date and time i.e. after P.M. on August 31, 2016 shall be rejected outright. 1.3 The duly filled offer addressed to The Chief General Manager, IDBI Bank, Bengaluru to be dropped in the tender box kept at: IDBI Bank Ltd., IDBI House- 1st Floor, 58, Mission Road, Bengaluru All Annexures in the tender document must be duly filled and no column should be left blank. Nil or Not Applicable should be marked where there is nothing to report. All the pages of the tender documents should be signed by the authorized signatory of the bidder. Any over-writing or use of white ink should be duly authenticated by the bidder. The Bank reserves the right to reject incomplete tenders or in cases where information submitted is found incorrect/ambiguous. 1.5 In case the space in the tender document is found insufficient, the bidder may use separate sheets to provide full information. 1.6 The offer shall remain valid at least for a period of six months from the date of opening of Technical Bids. During the validity period of the offer, the bidder shall not withdraw / modify the offer in terms of price quoted or other terms and conditions quoted in the technical/price bids. In case they do so, the bidder shall be disqualified and the EMD shall be forfeited. 1.7 There should not be any deviation in the terms and conditions as have been indicated in the tender. 15

16 1.8 Canvassing in any form will automatically disqualify the bidder. 1.9 Property should be situated in good residential area in the Locations with congenial surroundings and proximity to public amenities like railway station, bus stop, bank, market, hospitals, schools, post office, etc. The flat/building/property shall also be elevated and not prone to water logging. The locality shall have amenities of water supply, sewerage, storm water drain etc. Bank reserves the right to reject any offer which, in its opinion, is not found to be suitable in any respect whatsoever No payment shall be given to the successful bidder before execution of sale deed registration The particulars of amenities provided / proposed to be provided inside the flat, building, complex should be furnished in the Technical Bid. Bank s minimum requirements are given in the Specification sheet attached as Annexure D Carpet area The carpet area would mean the usable carpet area at any floor level BASED ON NET FINISHED WALL TO WALL INTERNAL ROOM MEASUREMENTS EXCLUDING EXTERNAL WALLS, INTERNAL WALLS, DUCTS, SHAFTS, ALL PARTIALLY COVERED AND UNCOVERED BALCONIES, DRY BALCONIES, FLOWER BEDS, COMMON AREAS OUTSIDE THE FLAT. 50% AREA OF ONLY THE FULLY COVERED BALCONIES WHICH ARE 900MM WIDE AND ABOVE TO BE INCLUDED IN THE CARPET AREA CALCULATION.BALCONIES LESSER THAN 900MM IN WIDTH WILL NOT BE CONSIDERED FOR INCLUSION IN CARPET AREA OF THE FLAT. Joint measurement will be taken in the presence of bank officials and bidder / authorized representative for computing/finalizing the exact carpet area Technical Bids will be opened for scrutiny on August 31, 2016 at 3.30 P.M. in the presence of the bidders/ authorized representatives. All the bidders are advised in their own interest to be present on the date at the specified time. No separate intimation will be given in this regard. Only one representative from each bidder shall be entertained. The representative has to 16

17 furnish an authorization letter from the Bidder on a letter head for participation in the Technical Bid opening The short-listed properties will be visited by Bank s in-house Committee along with Bank s appointed Valuers & Architects, if required, for assessing the market value and to verify the quality of construction, materials used, etc. The bidders should provide the requisite information / documentary proof to the visiting officials / Bank s appointed valuers/architects for verification The particulars of flat numbers floor-wise, wing, building name, etc. should be furnished in the Technical Bid itself. Details of measurements of the proposed flat offered also should be furnished in the Technical Bid The flat/building/property offered should be free from encumbrances and have clear and Marketable title. Adequate documentary evidence to this effect should be furnished along with the Technical Bid. Only Flats/property with A-Khata shall be considered While furnishing the information in Technical Bid, full details of the items / materials used including the brand name, size, quantity, quality, etc. should be furnished for each and every item in the respective columns. In case of flooring, windows, doors, door shutters, etc. full particulars of quality of material used, thickness, size, brand name, etc. should be furnished. These details are subject to verification Plans duly approved by municipal authorities/competent authority should be submitted along with the Technical Bid. Particulars of TDR used, if any, and the eligible FSI and FSI used, etc. are to be furnished in the respective column along with the requisite certificates issued by the competent authorities All the legal documents required by the Bank for verification of the title clearance of the property should be submitted along with the technical bid. Bank shall conduct verification of documents submitted by the bidder during any time of the process and if any of the documents submitted by the bidder found not acceptable to the Bank, the offer submitted by the Bidder 17

18 shall be rejected, and no further communication in this regard shall be entertained. Bank s decision shall be final It is the policy of the Bank to issue Public Notice in the leading newspapers inviting claims from the public, if any, before entering into Agreement for sale/ Conveyance Deed for the flats. Bank shall enter into individual Agreement for Sale/Conveyance Deed for each flat separately. The bidder should not have any objection in this regard The bidders, at their own cost, shall obtain Income Tax and other statutory clearances as and when required The following documents should be mandatorily enclosed with the offers: a. Tender document (Page no 1-30) duly signed and stamped by authorized person. b. Receipt for Tender document fee (non-refundable) of Rs.10,000/- for each tender document. c. Receipt for EMD of a. Rs.3,00,000/- for 3BHK flats per Builder/Developer b. Rs.2,00,000/- for 2BHK flats per Builder/Developer d. Recent photographs of the flats, buildings etc. offered. e. Copy of sanctioned plan and layout. f. Copy of title investigation and Search Report for last 30 years along with copy of Title documents. g. Copy of Building use permission / Occupation Certificate from competent authority. In case the same is yet to be applied and obtained, the bidder should arrange for the same within 6 months time from the date of opening of tender. h. Site plan copy. i. Bidder s constitution documents like Articles of Association & Memorandum of Association / Partnership Deed / Proprietorship registration document etc. or any other related document specified by the Bank. j. Unconditional Acceptance of Terms & Conditions of tender and Tender Documents as per Annexure A 18

19 k. Undertaking from Bidder in case any financial assistance has been availed for the purchase of the land and/or construction of flat/building. In case there is mortgage on the property, NOC from respective bank/fi. l. Structural Stability Certificate from licensed structural engineer of Municipal Corporation / Local authority. m. Certification as per Annexure B. n. Details of Offer as per Annexure C. o. Specification list as per Annexure D. p. All the proofs necessary for prequalification as indicated in the Clause 2 of page 3 and Bank reserves the right to accept or reject any or all the tenders / offers without assigning any reason whatsoever. 19

20 Annexure A Declaration I/We further declare, confirm and undertake: (a) That the flat has clear marketable title and the premises is free from all court cases, litigation, execution proceeding, attachment and is free from any or all kind of dispute, whatsoever in nature. (b) That the flat/property will be delivered mortgage free, at the time of registration. (c) That the drafts of all documentation for transfer of title in favour of the Bank, which may be finalized by the Bank and its solicitors/lawyers, shall be final and binding on me/us. (d) That all the outgoing and other expenses will be borne by the Bank from the date of handing over of possession of the flat or conclusion of the sale transaction, whichever is later. Any expenditure/expenses pertaining to a period prior to the said date will be borne by me/us. (e) To furnish the No Dues Certificate / NOC from the concerned Society, for which the entire payment will be made by me/us, if applicable. (f) That the transfer fees or any other charges or contributions or outgo and all other expenses demanded by and / or payable for transfer of the offered flats to the Society, or to any other entity/authorities etc. incurred by either parties shall be borne and paid by me/us alone. (g) I/We am/are aware that the Bank is not bound to accept the lowest or any or all the Tenders and will not be required to give any reason for rejecting any Tender. (h) That the car parking (whether covered or stilt or open or both) would be marked as per the measurement at site and would be incorporated in the sale deed before execution of the sale deed. (i) The form which is downloaded from the website has not been changed or corrected in any manner, and all the conditions as appearing in the original will be treated as valid. (j) That all the terms and conditions specified in this Tender Form are acceptable to me/us and that all the required details have been furnished in the appropriate blank places. (k) That there is no mention of any financial details in the Technical Bid or anywhere else other than Price Bid, and that there are no technical and commercial conditions in Price Bid. 20

21 (l) I/We am/are aware that the evaluation done by the Bank under CQCCBS is at the sole discretion of the Bank and is final and binding on me/us. (l) That the following documents as per the requirement of the Bank or its solicitors/advocates will be provided: Sale deed or any other title documents through which the offered property was purchased by me/us as earlier. All original chain documents pertaining to the property. Receipt of payment of latest Society charges, Electricity Bill, if applicable, and any other charges. Receipt for payment of Municipal taxes. Non-encumbrance Certificate and any other document required for effective transfer of the flat to the Bank. (m) My/our offer is open for acceptance for a period of 6 months from the date of opening of technical bids. (n) I/We, the undersigned am/are submitting this offer as per the directions given in the instructions/tender document and I/we have understood the instructions fully. (o) There are 32 pages in the Technical and Price Bids including the Annexures and I have signed on each page. 32 TERMS AND CONDITIONS- Price Bid 1. The offer is valid for 6 months from the date of opening of technical bids. During the validity period of the offer I/We, irrevocably undertake not to withdraw / modify the offer in terms of price and other terms and conditions. 2. The rates quoted per sq.ft. for carpet area should be inclusive of all taxes and charges whatsoever. (Viz. for charges such as car parking area charges, formation of society & apex body charges, electricity/water/gas connection charges, corpus fund for club house, Service Tax, VAT, WCT etc). The registration and stamp duty charges only shall be paid extra at actual. 3. Bank will not make any upfront payment towards the cost of the flats or any charges. 4. The bidder whose offer is finalized should execute the conveyance deed simultaneously with possession of the flats complete in all respects within the time frame informed by the Bank. Separate Conveyance Deed shall be executed for each flat. 5. Payment Terms: 95% of the cost of flat shall be paid at the time of registration of the sale deed and taking over the flat (Building use permission/occupation Certificate along with water, electrical and sewerage connection should be ready at the time of registration) and 5% of the cost will be held as retention money towards defect liability to be payable after a period of one year. During defect liability period, the bidder has to undertake all repairs / structural repairs to the building internal / external at his own cost. 6. The carpet area would mean the usable carpet area at any floor level BASED ON NET FINISHED WALL TO WALL INTERNAL ROOM MEASUREMENTS EXCLUDING EXTERNAL WALLS, INTERNAL WALLS, DUCTS, SHAFTS, ALL PARTIALLY COVERED AND UNCOVERED BALCONIES, DRY BALCONIES, FLOWER BEDS, COMMON AREAS OUTSIDE THE FLAT. 50% AREA OF ONLY THE FULLY COVERED BALCONIES WHICH ARE 900MM IN WIDTH AND ABOVE TO BE INCLUDED IN THE CARPET AREA CALCULATION.BALCONIES LESSER THAN 900MM IN WIDTH WILL NOT BE CONSIDERD FOR INCLUSION IN CARPET AREA OF THE FLAT.
