Linc USA GP, et al., the above-captioned debtors and debtors in possession (collectively, the Debtors ), by and through their undersigned attorneys, file this Motion to Assume Unexpired Leases of Nonresidential Real Property (the Motion ). In support thereof, the Debtors would show as follows: I. JURISDICTION 1. This Motion constitutes a core proceeding as defined in 28 U.S.C. 157(b)(2). Together, the Debtors operate an oil and gas exploration and business with a primary focus on the Texas Gulf Coast. Each of the Debtors is a direct or indirect subsidiary of Linc USA GP. Each of the Debtors is based in Houston, Texas. The Debtors properties are operated by Debtor Linc Energy Operations, Inc. ( LEO ). 3. On May 29, 2016 (the Petition Date ), the Debtors filed voluntary petitions for relief under chapter 11, Title 11 of the United States Code (the Bankruptcy Code ) in the United States Bankruptcy Court for the Southern District of Texas, Houston Division (the Court ). Pursuant to sections 1107(a) and 1108 of the Bankruptcy Code, the Debtors are operating their businesses and managing their property as debtors in possession. No trustees or examiners have been appointed in these cases. 4. On May 30, 2016, the Court entered its Order Granting Motion for Joint Administration [Dkt. No. 21] and on June 1, 2016 the Court entered its Order Granting Complex Chapter 11 Bankruptcy Case Treatment [Dkt. No. 32]. 5. On June 12, 2016, the Court entered its Order Approving Bidding Procedures and Protections; Approving Procedures for the Assumption and Assignment of Contracts and Leases; Scheduling Bidding Deadline, Auction Date, and Sale Hearing Date; And Approving Form and Notice Thereof [Dkt. No. 205]. 6. On August 31, 2016, the Court entered the following orders: (1) Order (A) Authorizing and Approving (I) the Asset Purchase Agreement for the Gulf Coast Assets; (II) the Sale of the Debtors Gulf Coast Assets Free and Clear of All Liens, Claims, Encumbrances, and Interests; and (III) The Assumption and Assignment of Certain Executory Contracts and -2-

No. 347]; (2) Order (A) Authorizing and Approving (I) the Asset Purchase Agreement for the Wyoming Assets; (II) the Sale of the Debtors Wyoming Assets Free and Clear of All Liens, Claims, Encumbrances, and Interests; and (III) The Assumption and Assignment of Certain Executory Contracts and Unexpired Leases; and (B) Granting Related Relief (the Wyoming Sale Order ) [Dkt. No. 348]; and (3) Order (A) Authorizing and Approving (I) the Asset Purchase Agreement for the Alaska Assets; (II) the Sale of the Debtors Alaska Assets Free and Clear of All Liens, Claims, Encumbrances, and Interests; and (III) The Assumption and Assignment of Certain Executory Contracts and Unexpired Leases; and (B) Granting Related Relief (the Alaska Sale Order, and together with the Gulf Coast Sale Order and the Wyoming Sale Order, the Sale Orders ) [Dkt. No. 349]. III. RELIEF REQUESTED 7. The Debtors seek entry of an order pursuant to section 365(a) authorizing the Debtors to assume all unexpired nonresidential real property leases under which any Debtor is a lessee. This request includes the assumption of any and all unexpired oil and gas leases under which the Debtor is a lessee Section 365(a) of the Bankruptcy Code provides that the Debtor, subject to the Court s approval, may assume any unexpired lease of non-residential real property. 11 U.S.C. 365(a). 9. In determining whether to permit a Debtor to assume an unexpired lease, Courts apply the business judgment test. Richmond Leasing Co. v. Capital Bank, N.A., 762 F.2d 2 The Debtors assert that oil and gas leases are transfers of real property interests and seek the relief requested herein as to such oil and gas leases out of an abundance of caution. The Debtors are thus assuming all unexpired oil and gas leases and interests of the Debtors, including but not limited to, those unexpired oil and gas leases and interests listed on the attached Exhibit A. -3-

The Debtors oil and gas leases are their most valuable assets, and the Debtors are working towards the closings for the sales of such leases via a court approved sale process. There are no outstanding amounts owed by the Debtors under the oil and gas leases. Consequently, it is the Debtors business judgment that in order to preserve value to the estate, the unexpired oil and gas leases should be preserved through assumption. 10. In addition to the business judgment test, the Debtors must satisfy the requirements of Section 365(b)(1) prior to assuming an unexpired lease. Under this Section, the Debtor must cure or provide adequate assurance that it will promptly cure any default under an unexpired lease, and provide adequate assurance of future performance. See 11 U.S.C. 365(b)(1). The Debtors respectfully submit that the provisions in the Sale Orders relating to the cure of defaults on the unexpired leases and the future performance under such leases satisfies the requirements of Section 365(b)(1). IV. PRAYER WHEREFORE, the Debtors respectfully request that the Court authorize the Debtors to assume all unexpired oil and gas leases to the extent they are found to be executory contracts and grant the Debtors such other and further relief as it deems just and proper. -4-
