1 MUNICIPALITY OF MONROEVILLE ALLEGHENY COUNTY, PENNSYLVANIA RESOLUTION NO A RESOLUTION OF THE MUNICIPALITY OF MONROEVILLE, ALLEGHENY COUNTY, PENNSYLVANIA, APPROVING A COOPERATIVE MEMORANDIUM OF AGREEMENT BETWEEN THE MUNICIPALITY OF MONROEVILLE, THE MU1\fICIPALITY OF MURRYSVILLE, AND THE TOWNSHIP OF SALEM FOR THE MULTI JURISDICTIONAL INSYNC ADAPTIVE TRAFFIC SIGNAL IMPLEMENTATION PROJECT ALONG THE WILLIAM PENN HIGHWAY (S.R. 0022) CORRIDOR. NOW, THEREFORE BE IT RESOLVED, by Council of the Municipality of 1y1onroeville, as follows: SECTION 1. Council for the Municipality ofmonroeville hereby approves the Multi-Jurisdictional InSync Adaptive Traffic Signal Implementation Project Agreement with the Municipality ofmurrysville and the Township ofsalem. A copy ofsaid Agreement is attached hereto and made part of this Resolution. SECTION 2. The proper Municipal Officials are hereby directed to execute any and all documents in furtherance of this approved Multi-Jurisdictional Agreement. SECTION 3. If any section, clause, provision or portion ofthis Resolution shall be held invalid or unconstitutional by any court ofcompetent jurisdiction, such decision shall not affect any other section, clause, provision or portion ofthis Resolution so long as it remains legally enforceable minus the invalid portion. 2 COOPERATIVE MEMORANDUM OF AGREEMENT US 22 MULTI-JURISDICTIONAL SIGNAL SYSTEM THIS COOPERATIVE MEMORANDUM OF AGREEMENT, made this day of, 2014, by and between The Municipality ofmurrysville, located at 4100 Sardis Road, Murrysville, PA 15668, The Municipality ofmonroeville, located at 2700 Monroeville Blvd, Monroeville, PA 15146, The Township of Salem, located at 244 Congruity Road, Greensburg, PA, and and WITNESSETH: WHEREAS, the Commonwealth ofpennsylvania hereinafter called the "Commonwealth", is about to upgrade traffic signals along US 22 through the Municipality of Murrysville, Municipality ofmonroeville and the Township of Salem as part ofwestmoreland and Allegheny Counties, SR 22 Congested Corridor Improvement Program hereinafter called the "Project"; and, WHEREAS, the Project includes the installation ofa communications system to interconnect traffic signals, the installation of an InSync adaptive signal system, ill.lg other small-scale traffic signal enhancements, hereinafter called the "Communications and Adaptive Control System WHEREAS, the previous Traffic Signal Enhancements and the Communications and Adaptive Control System will become one multi-jurisdictional signal system, hereinafter called "US 22 - MISS". NOW, THEREFORE, in consideration ofthe foregoing premises and the mutual covenants hereinafter contained, the parties, with intent to be legally bound, agree as follows: 1. The Commonwealth has made application to the Federal Highway Administration for certain federal funds to enable the Commonwealth to construct and implement the US 22 - MJSS and to make operational refinements to the US 22 - MJSS and associated signal timings during a contractually designated test period. The Commonwealth shall undertake such Project, only, ifit receives Federal Highway Administration funding. The obligations of the parties set forth below are contingent upon the Commonwealth obtaining Federal Highway Administration funding and proceeding with the construction and implementation ofthe US 22 - MJSS. If the Commonwealth determines that it shall not proceed with the US 22 - MJSS, the parties shall have no further obligations under this Agreement, and the Agreement will be terminated.

3 2. Project construction will include a testing and operational suppoli period. Construction documents will require the Contractor to provide operational oversight and Communications and Adaptive Control System maintenance during that period. Maintenance of specific traffic signals will be the responsibility ofthe permit holder as defined on each signal installation's current "Applicationji)l' Permit to lnslall and Operate Traffic Signals" and will remain in effect until construction bcgins and the construction operational support period ends. Upon completion of the testing and operational support period, the parties shall continue to maintain the Adaptive Traffic Signal System within their respcctive corporate limits. Maintenance ofthe Adaptive Control System, together with the other requirements ofthis agreement include: a. US 22 - MJSS Oversight Rcquirements: 1. Biweekly confirmation to all parties and their traffic signal maintenance providers noting the system is functioning. This includes verification there is active two-way communication to all traffic signals, verification the system software andtraffic responsive software is operational, and confirmation all detection zones are functioning. 11. Biweekly review ofcvent logs and notilication to impacted stakeholders and their traffic signal maintenance providers if the system is malfunctioning. Notilication does not include authority to authorize repairs The implementation and coordination oftiming plan revisions in areas covered by the US 22 - MJSS due to other projects of the Commonwealth, any ofthe parties, or due to upgrades associated with approved highway occupancy permits. J. Timing modifications are to be reviewed and approved by the Commonwealth consistent with existing signal timing modification procedures. 2. Approved timing plan modifieations will be implemented within two weeks from time of notification. IV. The implementation ofthe special events timing plan at the discretion ofthe pariies and with input agreement from the Commonwealth. v. Participation in the US 22 - MJSS status meetings as noted in Paragraph S.d and e below. b. Communications and Adaptive Control System Maintenance Requirements: 1. Maintain System-wide communications systems, central computers and system software in accordance with PennDOTPublication 19J, Guidelinesfor the Maintenance oftrafjic Signal Systems and

4 manufacturer maintenance guidance. 11. Provide and implement system-wide software updates as well as traffic signal controller and detection system software updates as are provided under the soliware licenses at no cost to the licensee and does not include upgrades to new software versions. 1I1. Communication components (copper, fiberoptic, or radio) between two traffic signals maintained by the samc Pariy will be entirely the responsibility (lfthe respective Party to maintain. Maintenance responsibilities for communication component between two traffic signals maintained by different municipalities will be as follows: J. Maintenance responsibilities for communication cables between any two signals will be shared proportionally based upon the len!,>th of the cable located in each municipality between those two traffic signals. 2. Maintenance responsibilities for radio communication equipment installed at a traffic signal will be entirely the responsibility ofthe Party which maintains that traffic signal. 3. Maintenance responsibilities for radio relays between traffic signals wil.l be shared evenly between the two Parties who maintain tile traffic signals. c. Traffic Signal Maintenance Requirements: I. Biannual preventive maintenance ofpennitted tramc signals in accordance with Penn])OT Publicarion 191. Guidelinesfor the Mainrenance o.ftraffic Signal Systems and per manufacturer maintenance guidance. 11. Response maintenance of permitted traffic signals within 24 hours of notification and in accordance with PennDOT Publication 191. Guidelines/or the Maintenance of7i'affic Signal Systems Record keeping in accordance with l'enndot Publication 191, Guidelinesfor the Maintenance o/7htj.1ic Signal Sysrems. IV. Other maintenance requirements to be agreed upon by the parties. d. System Monitoring Capabilities: 1. System computer and monitoring software will be provided to all parties at a location of their choosing via the Commonwealth's project contract documents. II. One spare adaptive control component (processor) will be housed in the US 22 and Gates Avenue controller cabinet. Processor to be used in the event ofknoekdowns after the contract warranty expires as needed. 3. The parties agree to support the interoperability and compatibility ofus 22 - MJSS

5 by requiring future enhancements and upgrades to the US 22 - MJSS to usc emergency preemption systems, video and radar detection equipment, signal controllers and other equipment compatible with the existing US 22 - MJSS. For all signal projects (Developer-led, Municipality-led, State-led), plans, specifications and estimates shall be provided to the Commonwealth and to each party for review. 4, The parties agree to require developers or other transportation enhancement projects to fund the following items at the discretion and direction of the Commonwealth: a. Furnish and install adaptive control and communication equipment at the approval ofthe Commonwealth and the parties for all new signals installed within one-half mile ofthe US 22 - MJSS or all new signals installed within one mile of the US 22 - MJSS, ifthe proposed development will impact the intersection, b, Maintain system timing plan cycle lengths in traffic impact analysis, if the "impact" (defined below) ofthe development does not extend beyond four intersections within the US 22 - MJSS coverage area. c. Analyze the impact on the entire US 22 - MJSS, if the proposed development has an "impact" (defined below) on more than four intersections within the US 22 - MJSS coverage arca. Data collection would be required at only those intersections impacted and analysis for all other intersections would be conducted using historic traffic volumcs and approved adjustments. d. Provide materials and equipment necessary to meet operational compatibility as defined in paragraph 5 above. e. Impact is defined as a five percent increase in total intersection traffic volume during one or more peak hours, a level of service impact as defined by the cnrrent PennDOT TIS guidelines, as governed in the municipal traffic engineering requirements, or as designated in a pre-traffic impact study coordination meeting, 5, The pmties agree to coordinate as needed to maximize safe and efficient US 22 MJSS operations for the life ofthe system. Key coordination activities include: a. Implementation oftiming plans. b. Implementation of a maintenance plan in accordance with paragraph 2 above. Each Party will coordinate the implementation of this agreement. e. Agreement to support the interoperability and compatibility of US 22 - MJSS as detailed in paragraphs 5 and 6 above, d. Agreement to have a US 22 - MJSS status meeting on a quarterly (as needed) basis to be initiated by the Municipality ofmurrysville.

6 e. Agreement to meet annually (as needed) to review US 22 - MJSS operations and diseuss future enhancements. Municipality of Murrysville will coordinate these meetings. 1'. Agreement to address dispute resolution as detailed in paragraph 8 below. g. Coordination with any Traffic Signal Program. 6. Disputes arising between the parties should be resolved in the following manner: a. All parties agree to meet to discuss the dispute and identify a resolution. b. If the dispute is not resolved; the parties agree to meet with an arbitrator to resolve the dispute. The decision of the arbitrator shall be final and conclusive. 7. This Agrcement is contingent upon the governing body of each party granting appj'oval at a public meeting,pursuantto and in accordance with the Intergovernmental Cooperation Act, 53 Pa. C.S et seq. This Agreement is also contingent upon its execution by all parties to the Agreement along with PennDOT moving forward with the Projcct and receipts of funds. This agreement shall remain in place for the life of the multijurisdictional signal systems unless discontinued by all parties. Removal by individual parties will be coordinated with the County such that adjustments to remaining US 22 - MJSS elements can be made.
