2 Cntract # C.C. McCray City Auditrium Lease Agreement A refundable depsit f $ (fr events withut alchl) / $500 (fr events with alchl) is required upn applicatin t the City fr an event. The depsit will be returned upn satisfactry inspectin by City staff after cmpletin f the event within tw weeks. The rental depsit is nt part f the rental fee. The depsit may be refunded either in full r in part minus any expenses fr damages, lsses, cleaning expenses, mving and re-arranging charges f wner s furniture and accessries, special cntractr charges, extrardinary maintenance r repairs, security charges deemed necessary r caused by the Lessee and/r Lessee s caterer, agents, emplyees r any f the invitees f Lessee, r any persn r persns attending a functin spnsred by Lessee, t building, grunds, furniture, carpet and any equipment. The City f Waycrss will prvide detailed charges against the depsit. Any charges in excess f the depsit will be billed t Lessee. All excess damages are t be paid within five (5) days frm the date f the statement. Failure t make any attempts t pay additinal csts will result in denial f future facility bking requests and pssible litigatin. All applicants must prvide a gvernment issued pht identificatin at time f applicatin. A fee f $35.00 will be assessed t the Lessee fr a returned check. Full amunt is due at date f this agreement, if agreement is less than 30 days f scheduled date f event. Insufficient funds will result in the cancellatin f an event. Balance f within 30 days f statement receipt r at settlement f ticketed events. Accessibility fr the day prir t event is ffered at full price. The date is nt guaranteed unless rental fee is paid in advance. If facility is still pen the week f the scheduled event, the Lessee may have access t the facility with a rental fee f half the daily price. All crrespndence regarding rental prir t event will be made accrding t cntact infrmatin prvided here n this lease. This will be the respnsibility f the Lessee t remain in cntact with the Lessr regarding the availability f the prir date. This Agreement is gd if received, signed, executed by bth parties and delivered with the depsit by 4:00 p.m. n. The Lessee s sle purpse in renting the space is All sums payable by the Lessee t the C.C. T retain the right t use f lease prtins f the facility nt bund by this agreement. 4. T retain all advertising space n the premises and all receipts therefrm will g t the C.C. McCray City Auditrium. 5. T reserve all rights and privileges fr utging radi and televisin bradcasts riginating frm the facility during the terms f this agreement. The Lessee hereby agrees: 1. T use and ccupy the C.C. McCray City Auditrium in a safe and careful manner and cmply with all laws, rules, regulatins and rdinances f the City f Waycrss, Gergia, and any state, cunty, r gvernmental authrity cntrlling the C.C. McCray City Auditrium. 2. T maintain the C.C. McCray City Auditrium in the cnditin existing at the beginning f the event r repair any damage t the premises, beynd nrmal wear and tear fr which the Lessee, its attendees r its cntracted utside agents are respnsible. 3. T NOT bstruct, in any way, ingress r egress. 4. T NOT bring any electricity prducing devices, flammable r inflammable liquid, gas r slid n the premises withut the prir written apprval f the City Manager r his/her designate. 5. T NOT bring any fg machine, fg generatr, smke machine, r any device that prduces and emits a dense vapr that is, r appears similar t, fg r smke. 6. T assume all csts arising frm the use f patented, trademarked, franchised, r cpyrighted music, materials, devices, prcesses r dramatic rights used n r incrprate in the event and t indemnify, save, hld harmless and indemnify the C.C. McCray City Auditrium, the C.C. McCray City Auditrium staff, and the Mayr and City Cmmissin f the City f Waycrss, and its emplyees and fficers, against any and all suits, lsses, damages, and expenses incurred r sustained. 7. McCray City Auditrium is in n way respnsible fr any Lessee prperty. Any items left by the Lessee will becme the prperty f the C.C. McCray Auditrium and will be dispsed f at the discretin f the City Manager r his/her designee. 10. All fd and beverage debris, decratin supplies and ther trash must be picked up, bagged and remved frm the prperty by the Lessee, Cntracted Caterer, Bartender r respnsible party. The facility, including the grunds, must be left in an rderly cnditin. Failure t cmplete any f these tasks will result in a partial r cmplete lss f depsit. The City f Waycrss staff persn n duty will perfrm a walk-thrugh f the premises prir t dismissing the caterer. 11. Lessee is respnsible fr supplying all tableclths, napkins, dishes, utensils and cffee/tea beverage service. N utensils r lines will be prvided by the City f Waycrss. 12. Mps, brms and the cleaning supplies are available fr use. If fd is served, Lessee may utilize kitchen facility, sink, ven and refrigeratr. Lessee shall clean the kitchen, supplying its wn dishtwels and cleaning supplies fr dishes, silverware, etc. N grease f any srt shall be placed in r washed dwn the drains in the sinks in the kitchen r restrms. Damage t pipes and/r plumbing will result in autmatic frfeiture f depsit and Lessee will be charged fr damages, cleaning expenses, special cntractr charges, maintenance r repairs, as deemed necessary by the City f Waycrss. 13. The C.C. McCray City Auditrium and its fficers, representatives, agents, and emplyees engaged in the peratin and maintenance f the C.C. McCray City Auditrium reserve the right t enter and have free access t said premises at any time and all times. 14. Shuld the Lessee cancel within 10 days f the event cvered under this agreement, n depsit refund will be made and the full rental fee guarantee as called fr in this Agreement will be payable by the Lessee t the C.C. McCray City Auditrium as liquidated damages and nt a penalty, and the Lessee agrees t als pay any reimbursable expenses incurred by Lessr in cnnectin with the event cvered by this agreement. 15. All events that require unifrmed security will be prvided by the Waycrss Plice Department. Rates and number f required security persnnel will be determined by the Chief f Plice r his/her designee. 16. T prvide the C.C. McCray City Auditrium a full and detailed utline f Lessee s requirements fr the facilities t be used, including but nt limited t all stage, sund, lighting, Page 5 f 10

McCray City Auditrium cncerning the event nt less than 5 business days prir t the event. 17. All items and merchandise assciated with the Lessee will be brught int r taken ut f the building nly at such entrances as may be designated by the C.C. McCray City Auditrium. 18. Agrees t present full advance infrmatin as t the nature and cntent f any advertising relating t the Lessee s use f the C.C. McCray City Auditrium. 19. The sale, dispensing r distributin f alchl is prhibited withut an Alchl License. Prf f license is required prir t event scheduled. 20. N brwn bagging f alchl shall be allwed. 21. The Lessee will have n right f terminatin fr the sle purpse f hlding the event at anther facility r in anther city. 22. The Lessee will be required t clean the facility after use. Cleanup must be cmpleted by 2:00 a.m. the fllwing day. 23. N sprting events shall take place at r within the C.C. McCray City Auditrium withut prir written apprval f the Waycrss City Cmmissin. The C.C. McCray Auditrium and Lessee hereby agrees: 1. Any charges, additins r stipulatins t the cntract will nt be binding t the ther party until such additins, clauses, r stipulatins have been apprved in writing and signed by bth parties. 2. The City reserves the rights t terminate the agreement between the City and Lessee. 3. The City reserves the right t enter the facility befre, during and after the cmpletin f the scheduled event. 4. The perfrmance f this agreement fr either party is gverned by the laws f Gergia and is subject t acts f Gd, ware, gvernment regulatins, disaster, fire, strikes r threats f strikes, civil disrder, curtailment f transprtatin facilities, r ther similar cause beynd the abilities Page 6 f 10

Occupancy limits in excess f thse apprved culd result in the immediate clsure f the event and the frfeiture f any and all depsits and payments made t the City f Waycrss. McCray City Auditrium Lease Agreement INDEMNIFICATION AGREEMENT FOR VALUE RECEIVED, including the right t hld a public functin n prperty belnging t the City f Waycrss, Gergia, the undersigned jintly and severally agree t indemnify and hld harmless the City f Waycrss, Gergia and its successrs and assigns frm any claim, actin, liability, lss damage r suit, arising frm the fllwing: In the event f any asserted claim, the City f Waycrss shall prvide the undersigned written ntice f same, and thereafter the undersigned shall at its wn expense defend, prtect and hld harmless the City f Waycrss, Gergia against the asserted claim r any lss r liability there under. If the undersigned shall fail t s defend and/r indemnify and hld harmless, then in such circumstance, the City shall have full rights t defend, pay r settle said claim n their wn behalf withut ntice t undersigned and with full rights t recurse against the undersigned fr all fees, csts, expenses and payments made r agreed t be paid t discharge said claim. Upn default, the undersigned further agree(s) t pay all reasnable attrney fees necessary t enfrce this agreement. This agreement shall be unlimited as t amunt r duratin.
