NO. 16 RECEIVED NYSCEF: 11/21/2016 FISHKILL OP /13/96 ESTOPPEL AND NON-DISTURBANCE AGREEMENT THIS ESTOPPEL AND NON-DISTURBANCE AGREEMENT ("Agreement") is made this 1st day of November, 1996, among William David Brooks, Jr., Leonard Gibson Brooks, Pamela Irene Caldwell, Debra Ann Brestovansky, and James Alexander Brooks, Sr., a/k/a Ridgefield Farms, as Landlord, P.O. Box J, Carey Road, Fishkill, New York 12524, and Orange County Poughkeepsie Limited Partnership, as Subtenant, having its principal office and place of business at c/o Bell Atlantic NYNEX Mobile, 180 Washington Valley Road, Bedminster, New Jersey WITNESSETH: 1. Landlord owns certain property described in deeds recorded in the Dutchess County Clerk's Office in Liber 1854 of Deeds at page 763; in Liber 1937 of Deeds at page 498; in Liber 1971 of Deeds at page 290; and in Liber 1975 of Deeds at page Communications Concepts of New York, Inc., d/b/a Mid-Hudson Helicopter & Tower, Inc. ("Tenant"), with its mailing address located at P.O. Box 177, Hopewell Junction, New York 12533, entered into a Lease Agreement ("Lease"), for a term commencing on the first day of June, 1996, for a 4.39 acre parcel of the Landlord's property for the construction of a wireless communications facility on Honness Mountain near Carey Road in the Town of Fishkill, Dutchess County, New York, together with the non-exclusive right of access and for utilities across an existing road on their property. 3. Tenant entered into, a Tower Sublease Agreement with Orange County Poughkeepsie Limited Partnership effective November 1, So long as Orange County Poughkeepsie is not in default in the performance of any of the terms of the Sublease beyond any applicable cure period, the parties agree that in the event Landlord terminates the Lease for any reason. Orange County Poughkeepsie shall be bound to the Landlord under all of the terms of the WASH

2 - 2 - Sublease for the balance of the term thereof remaining. Notwithstanding anything herein to the contrary, Orange County Poughkeepsie shall be under no obligation to pay rent to the Landlord until Orange County Poughkeepsie receives written notice from the Owners that they have terminated the Lease with Tenant. 5. If the Lease with Tenant is terminated for any reason and so long as Orange County Poughkeepsie is not in default beyond any applicable notice/grace period. Orange County Poughkeepsie's rights under the Sublease and Orange County Poughkeepsie's use and enjoyment of the Sublease Premises shall not be disturbed. In no event shall the Landlord be subject to any offsets or defenses which Orange County Poughkeepsie might have against Tenant, or be bound by any rent or additional rent which Orange County Poughkeepsie might have paid to Tenant for more than the current month. 6. The Landlord represents and covenants that: (a) Tenant 's (Communications Concepts of New York, Inc.'s) leasehold interest in the Compound and right-of-way is in full force and effect. (b) There are no defaults or claims by Landlords or others, to Landlords' knowledge, against Tenant. (c) There is no mortgage on the Landlord's property subject to the Lease with Tenant. (d) There are no other liens, judgments, or impediments of title on the Landlords' property, or affecting Landlords' title to the same or Tenant's leasehold interest. WASH01:48896
