Present at the meeting were Supervisor John Moody, Supervisor Jim Wells, Chairman Bruce Van Meter, Supervisor John Reich, Supervisor Fernando Valverde, ' Executive Director Brian Wheeler, Attorney Steve Johnson and Administrative Secretary Nilsa C. Diaz. ( A group picture of the originating board was taken, Dr. George Gant, Commissioner Paul Owen and former Toho Board member, Mary Jane Arrington were present.) 8/27/ 2008 Location City of Kissimmee Commission Chambers Time Item Minutes 5:08: 25 PM MEETING CALLED' II~ called to order by Chairman Bruce Van TO ORDER Mt::lt::1 5:08: 37 PM INVOCATION AND i Executive Director Brian Wheeler gave the PLEDGE OF Invocation and Supervisor John Moody led the ALLEGIANCE audience in the Pledge of Allegiance. 5:09:31 PM The Executive Director requested that Item 10A. APPROVAL TO AWARD THE CONSTRUCTION I CONTRACT TO ROWE DRILLING COMPANY, INC., FOR THE CONSTRUCTION OF A SALINE MONITORING WELL AT THE LAKE AJAY WTP SITE WHICH WILL BE USED FOR MONITORING OF THE LOWER PORTIONS OF THE FLORIDAN APPROVAL OF AQUIFER TO DETERMINE IF SALT WATER THE AGENDA INTRUSION IS OCCURRING, be added to the Agenda. Supervisor John Moody moved for approval of the Agenda with the addition of Item 10A; Supervisor Fernando Valverde seconded the motion. Motion passed 5 to O. AWARDS AND SPECIAL PRESENTATIONS i NONE I 5:10:22 PM PUBLIC HEARING i NONE 5:10: 27 PM HEAR THE AUDIENCE Mr. Gary Suhl, 958 South Hoagland Boulevard, Kissimmee, FL , addressed the Board to explain a construction issue he encountered with Toho Water Authority. Mr. Suhl explained that in 2005 he had an engineer develop plans for a warehouse project and submitted them to TWA for review and comment. This year he

2 initiated construction of the warehouse project after obtaining a building permit from Osceola County. Mr. Suhl was unaware of the Authority' s policy of requiring each individually occupied bay in the project to have an individual meter. He initiated, construction providing for just a single master meter. The TWA construction inspector informed Mr. Suhl of the individual meter requirement. While Mr. Suhl has modified his construction to meet the metering requirement, he was of the opinion that inadequate communication between TWA and Osceola County contributed to him not being aware of the metering requirement. He wanted to advise the Board of his problems and hoped that they could take some steps to insure that future developments did not experience similar problems. After much discussion about policies and processes, Executive Director Wheeler agreed to look into the issue and report to the Board at its next Board meeting. 5:28:10 PM and 7F were pulled for discussion. Supervisor Reich motioned for approval of the Consent Agenda after pulling Items 7B and 7F. Supervisor Moody seconded the motion. Motion approved 5 to O. CONSENT AGENDA 7B. APPROVAL OF POTABLE WATER WELL # 4 SETBACK EASEMENT AGREEMENT WITH OSCEOLA APARTMENTS, LP. - After the Agenda was published, a change was made in the amount to be paid for the easement to include reimbursement of the property owner' s attorney costs; rather than do a separate agenda item, the agenda item was revised to reflect the new amount of $11, Supervisor Moody moved for approval of Item 7B and Supervisor Wells seconded the motion. Motion passed 5 to o. 7F. ADDENDUM TO KZF' S ARCHITECTURAL SERVICES CONTRACT FOR THE ADDITION OF THE FOURTH FLOOR TO THE TWA' ADMINISTRATION BUILDING; DEVELOPMENT OF A 32/ 32 SCALE BUILDING AND SITE MODEL AND ADDn" IONAL SERVICES REQUIRED TO

3 RESOLVE THE 100 YEAR FLOOD PLAIN ISSUES Supervisor Reich asked to pull this item to briefly go over the numbers. Supervisor Reich moved for approval of Item 7F and Supervisor Moody seconded the motion. Motion passed 5 to O. 9A. PATTERSON BACH COMMUNICATIONS ( PB) WILL MAKE A PRESENTATION ON THE FALL CAMPAIGN - Brian Margolis gave a PowerPoint presentation which summarized the branding advertizing in Flight One and to go over a time line for Flight Two. Supervisor Reich requested more information on the value of advertising in the Osceola Star ( a publication geared towards the Hispanic population) in so far as where it goes, how much readership, how many are published. Supervisor Valverde asked if the Authority is working with the Polk side of Poinciana as far as the schools is concerned. UNFINISHED 1BUSINESS 9B. UPDATE OF " rhe ADMINIS" rrative BUILDING COSTS - John Morgan, KZF and Mr. Tim Ferris, Balfour Beatty, were present to answer questions concerning the projected costs for the administration building. Robert Pelham presented the latest cost estimate for schematic design following several value engineering modifications which have resulted in an estimate of $12,907, 000. Mr. Pelham commented that he anticipated the building schematic design construction costs estimate to be further reduced because there were a few more value engineering issues to be resolved, the contingency would be reduced as design became more complete and the Construction Manager fees and general conditions had not been negotiated to a level acceptable to staff. Supervisor Wells requested information on comparable costs from other public buildings and class A office buildings. Supervisor Reich further requested to see comparables in the last two or three years. Supervisor Reich expressed a concern that the traffic impact fee estimate was high and that it should be evaluated, potentially with a traffic study to justify a reduced amount. Chairman Van Meter

4 6:16: 42 PM NEW BUSINESS asked that the staff bring back an update to the next Board meeting. Brian Wheeler said that the Board needs to come to a resolution on the budget and pricing to keep the project on schedule. Supervisor Reich requested a general breakdown of the 12.9M. 10A. APPROVAL TO AWARD THE CONSTRUCTION CONTRACT TO ROWE DRILLING COMPANY, INC. FOR THE CONSTRUCTION OF A SALINE MONITORING WELL AT THE LAKE AJAY WTP SITE WHICH WILL BE USED FOR MONITORING OF THE LOWER PORTIONS OF THE FLORIDAN AQUIFER TO DETERMINE IF SALT WATER INTRUSION IS OCCURRING - STOPR' s 20 year water use permit required a saline monitoring well be constructed to determine if pumping from the Floridan aquifer is causing salt water intrusion into the aquifer. The cost of constructing the well is to be shared by the STOPR group members with Toho' s share being 36. 3%. Rowe Drilling was the lowest bidder and staff recommends approving the construction award to Rowe Drilling. 6:24:28 PM Supervisor Wells motioned for approval of the construction award to Rowe Drilling in the amount of $827, Supervisor Reich seconded the motion. Motion passed 5 to O Rick Figueroa, Finance Manager, presented the Financial Report and stated that after doing some research, as requested by the Board, the Interlocal Agreement provides that the Pilot fees will be paid on a monthly basis, but does not specify whether at the beginning or the end of the month. STAFF REPORTS Supervisor Valverde was pleasantly surprised and impressed by the Community and Customer Education Outreach report but would like to see the number of students and seminar attendees. Supervisor Wells said that St. Johns River Water Management District is doing a study of the St. Johns River related to the potential water withdrawals. This study won' t be complete for several years. Supervisor Wells was wondering if

5 the Authority needs to be looking for an exit strategy on the Taylor Creek Project. 6:42: 01 PM Chairman Van Meter expressed an opinion that the Authority should not be entering into agreements allowing payment of impact fees in installments over time without charging any interest. BOARD REPORTS Executive Director Wheeler explained that the Authority had this policy in place but had not had to use it until City Centre. The policy calls for the CRA to pay for 50% of the impact fees and the developer then pays the Authority the other 50% over a 5 year period. Chairman Van Meter wants to look at the policy to protect the lost revenue and bring back for discussion. 6:57: 45 PM There being no further business to come before the Board, Chairman Van Meter adjourned the meeting at 6:57 PM.
