We have worked on construction projects of all kinds, including complex mixed use developments involving residential, hotel, retail, commercial and/or industrial components, build-to-suit projects and public works projects. We represent owners and developers in all facets of the development process, including land acquisition, planning the appropriate structure for the development and negotiating and documenting the development, design and construction agreements for the project. GE Asset Management Represented an affiliate of GE Asset Management in the development of the 2520 North Lakeview condominium tower in Chicago, including the negotiation of the development agreements and the design and construction contracts for the project. Mutual of Omaha Represented East Campus Realty, an affiliate of Mutual of Omaha, the owner and developer of Midtown Crossing, an approximately 1 million square foot mixed use condominium, apartment, hotel and retail development located in the Midtown area of Omaha, Nebraska. Citadel Center Represented Prime Group Realty Trust in connection with the construction, development, leasing and sale of Citadel Center, Chicago. WORKOUTS AND RESTRUCTURING We represent our clients in connection with the financing on their deals in both the good times and the challenging times. In challenging times, when a property fails to perform as expected and a loan default exists or is imminent, we counsel our clients regarding their options; assist them in communications with investors, lenders, servicers and other third parties such as franchisors; and negotiate and document loan workouts and restructurings. Rally Capital Services, LLC Represented receiver of a high-rise condominium project in River North. At the time our client was appointed, 154 units were incomplete and unsold. Over the course of two years, we renegotiated construction contracts to permit completion of construction, worked out a series of mechanics liens and construction claims and amended the condominium documents to coincide with building as constructed. We assisted our client in more than 100 individual unit sales and negotiated a note sale. Throughout the foreclosure process, we represented the Receiver in monthly Chancery Division hearings, which the Judge anointed as his most successful foreclosure matter. Represented receiver of a 750,000 SF suburban shopping center. During the course of the receivership we have assisted our client in the sale of outlots, and lease of shop spaces with national and local retail tenants. We have assisted in the implementation of a Special Service Area Agreement among the developer, the municipality and the Big Box owners of lots within the shopping center.

Our corporate services transactions involve multi-state and international assets and we work with our clients and their in-house teams to provide sophisticated legal support for such deals. General Motors Company Represented General Motors Corporation in connection with its 2009 sale of substantially all of its assets, including the transfer of substantially all of its real estate, to a new entity sponsored by the U.S. Treasury, as part of a sale process under Section 363 of the United States Bankruptcy Code.
