EXHIBIT AGREEMENT This Agreement sets forth the terms between the National Association of Real Estate Brokers, Inc., located at 9831 Greenbelt Road, Lanham, MD 20706, Suite 309, (the NAREB ), and, (the Exhibitor ), located at, both herein also referred to as (the Parties ). RECITALS WHEREAS, NAREB is offering exhibition space at its 71 st Annual Convention in Atlanta, Georgia, July 24-29, 2018; WHEREAS, The Exhibitor desires to promote its brand and product by securing exhibition space during the aforementioned convention; THEREFORE, the NAREB AND THE Exhibitor hereby agree to the following terms, obligations and conditions: 1. NAREB agrees to the following: a. To provide a designate space(s) for the purposes of exhibition of Exhibitor s product subject to compliance with all terms and conditions herein. 2. Exhibitor agrees to comply with the following terms and conditions: a. Exhibitor will set-up, maintain and operate their exhibit booth during the hours indicated in this document. b. Any exhibitor using sound equipment, such as film or tape recorders, shall maintain the volume at a minimum to prevent distracting other exhibitors. The exhibitor will be responsible for electricity and extra lighting. c. Exhibitor may NOT sell items with the name of the National Association of Real Estate Brokers, Inc. or NAREB, its affiliates or chapters, nor use NAREB's Logo without written permission of the National Association of Real Estate Brokers, Inc. d. Photos of attendees and NAREB personnel may not be taken during the Convention and/or used for sale or promotion without the written permission of the National Association of Real Estate Brokers, Inc. e. The sale of foods or drinks is prohibited by all exhibitors. f. The National Association of Real Estate Brokers, Inc. reserves the right to cancel any agreement should a vendor violate any term(s) of this agreement or engage in any illegal activity. g. Exhibitors must carry their own liability insurance, listing NAREB as a named insured, and provide proof thirty-days (30) prior to the event. The Exhibitor agrees that National Association of Real Estate Brokers, Inc., its agents, personnel, or assigns will not be liable for theft or damage to the exhibitor or their products. h. An exhibitor's failure to set up during the specified day and time will result in forfeiture of exhibit fees; and the National Association of Real Estate Brokers, Inc. at its option, may resell said exhibit booth(s). 3. Independent Contractor: The Exhibitor is recognized and agrees that it is an independent contractor and is solely responsible for maintenance and payment of any and all insurance, federal, state, and local taxes, and any other obligation associated and/or required herewith. The Exhibitor acknowledges [1]

2 that it is not a NAREB agent or representative and has no authority to bind or commit NAREB to any agreements or other obligations. 4. Assignment: This Agreement is non-assignable and non-transferrable. Any attempted assignment or transfer of herein is hereby null and void. 6. Entire Agreement and Amendment: This Agreement between the Parties is reflected in its entirety herein, and no oral or any other purported agreement has effect hereto, except by mutual agreement and attached hereto as a written addendum. This Agreement constitutes the entire understanding between the Parties with respect to the subject matter hereof and may not be amended except by an agreement signed by the authorized representatives of the Exhibitor and NAREB. 7. Governing Law and Forum: This Agreement shall be governed by the laws of the State of Maryland. Any legal actions brought by either Party hereunder shall be in the appropriate court or forum in Maryland in which the city of Lanham is located. 8. Exhibitor agrees to the terms and conditions outlined in Attachment #1, which is hereby incorporated herein by reference. 9. No exhibit application will be valid without authorized signatory, Exhibitor category designation and full payment. The completion and receipt of this application for exhibit space, the notice of space assignment from NAREB, and the full payment of exhibit charges constitute a contract for the right to use the exhibit space assigned.
