Consideration of Proposed Resolution No UR, Regarding the Application Summary The applicant, King Soopers, is requesting an urban renewal site plan (URSP) and use by special review for a fuel station with convenience kiosk. A final plat is requested to dedicate right-of-way for W. 120th Avenue. A site development plan/urban renewal site plan (SDP/URSP) text amendment is requested to modify a stormwater detention pond to revise the grading and landscaping to allow a new driveway to be extended from the fuel center to E. 1st Avenue. A subdivision improvement agreement is requested to outline the owner's responsibility for constructing public utilities and other public improvements such as right-of-way landscaping and sidewalks which are necessary to serve the proposed building. Variances are requested through the URSP to allow a custom sign package for the fuel center. The business includes two buildings (fuel canopy and kiosk). The applicant is requesting signage be allowed for the fuel center canopy as well as the kiosk. The variances include an increase in the number of signs and total sign area. On March 14, 2016, the Planning and Zoning Commission (P&Z) voted 5-0 to recommend approval of the proposed SDP/URSP text amendment, use by special review, URSP and final plat with no conditions. Proposed Resolution No would approve the final plat, site development plan second text amendment, and subdivision improvement agreement. Proposed Resolution No UR would approve the urban renewal site plan and use by special review. Prior Council and BURA Action The property was annexed into Broomfield on February 14, 1971, with the adoption of Ordinance No City Council approved the 120th Avenue Gateway Corridor Urban Renewal Plan on November 9, 2004, by Ordinance No City Council approved modifications to the 120th Avenue Gateway Corridor Urban Renewal Plan and renamed the plan to the Amended West 120th Avenue Urban Renewal Plan on August 13, 2013, by Ordinance No A concept review for the proposed fuel station was held by the City Council on April 21, Financial Considerations The proposal is consistent with the land use assumptions in the Comprehensive Plan and Long Range Financial Plan. Alternatives Based on the testimony and evidence presented on the record at the public hearing: If the proposed application complies with applicable Broomfield Municipal Code (BMC) and Urban Renewal Plan (URP) review standards and is consistent with the intent of the Comprehensive Plan: o Approval. If the proposed plans do not comply with applicable BMC and URP review standards or are inconsistent with the intent of the Comprehensive Plan: o Remand the case to the Planning and Zoning Commission for additional review and recommendations; o Postpone action on the resolution and continue the hearing to a date certain; or o Direct the City and County Attorney to draft findings to support denial of the application. Proposed Actions/Recommendations Hold the City Council and BURA public hearings simultaneously. SUMMARY OF APPLICATION The application is for consideration of an urban renewal site plan (URSP) and use by special review for a fuel station. The fuel center would be associated with the King Soopers grocery store located north of E. 1st Avenue within the Broomfield Town Centre shopping center. A text amendment to the Broomfield Town Centre Site Development Plan/Urban Renewal Site Plan is requested to allow a new driveway connection from the site to E. 1st Avenue. The one-acre site is currently occupied by the Broomfield Veterinary Hospital, which plans to relocate to another location within Broomfield and the existing building will be demolished. The site plan shows a fuel center with nine fuel dispensers and a sales kiosk. Access to the site would be provided from E. 1st Avenue and W. 120th Avenue. The property is located west of Sheridan Blvd. on the north side of W. 120th Avenue. Property Owner and Applicant The owners are 5275 W. 120th, LLC (fuel center site) and AEW Capital Management (stormwater detention pond). The applicant is King Soopers. 11(c) 14(a) - Page 3

4 Brunner Subdivision Filing No. 1 Replat A (King Soopers Fuel Center) Page 4 Concept Review Plan A concept review was held for the subject property on April 21, The concept review included a fuel center with nine fuel dispensers and a sales kiosk. Comments during the concept review meeting were positive in regard to the architecture and landscaping. There were concerns expressed regarding an access drive proposed to Sheridan Boulevard and impact on the stormwater detention pond. The applicant revised the plans after the concept review to remove the access drive to Sheridan Boulevard which also reduced the impact on the stormwater detention pond. II. ZONING, PREVIOUSLY APPROVED DEVELOPMENT PLANS FOR THE PROPERTY, AND STATUS OF DEVELOPMENT Zoning The site is comprised of one lot zoned B-2 and within the Amended West 120th Avenue Urban Renewal Area. A fuel center requires a use by special review in the B-2 zone district and in this portion of the urban renewal area. Final Plat The subject site was platted through the minor subdivision process as Lot 1 of Brunner Subdivision Filing No. 1 as approved administratively on September 7, The adjacent property to the north and west was originally platted as Tract D of Broomfield Town Centre Final Plat approved by the City Council on January 13, On April 6, 1998, the City Manager approved the Broomfield Town Centre Replat A minor subdivision, which renamed the tract to "Tract A." Site Development Plan/Urban Renewal Site Plan The stormwater detention pond located west and north of the fuel center site is located within a portion of the Broomfield Town Centre Site Development Plan/Urban Renewal Site Plan. The area is shown for stormwater detention and is shown with low growing grass landscaping. III. APPLICABLE CITY AND COUNTY OF BROOMFIELD PLANS Relationship to Comprehensive Plan and Financial Plan Comprehensive Plan The Broomfield Comprehensive Plan designation for the subject property is Town Center. The Town Center designation is intended for a mix of retail, professional services, offices, entertainment uses, civic services, housing, public outdoor spaces, and transit service. The applicant s proposal of a fuel center is consistent with the land use designation. 11(c) 14(a) - Page 4

6 Brunner Subdivision Filing No. 1 Replat A (King Soopers Fuel Center) Page 6 Relationship to Urban Renewal Plan The site is within the Amended West 120th Avenue Urban Renewal Plan adopted by the City Council on August 13, West 120th Avenue Corridor Sub-Area Plan The Sub-Area Plan establishes the framework to guide development and redevelopment along the West 120th Avenue corridor from Main Street to Lowell Boulevard. The vision identified by the Sub- Area Plan is to create an attractive, quality commercial and mixed-use district providing civic amenities, a variety of uses, and a landscape palette to create a special identity for Broomfield. The Sub-Area plan sets forth the design guidance used to evaluate the specific site plan under consideration. Area Context and Property Location IV. AREA CONTEXT The site is currently occupied by the Broomfield Veterinary Hospital. The building to the east is occupied by CenturyLink. Property to the immediate north and west of the site is utilized for drainage. Surrounding properties have developed into commercial retail, service, and restaurant uses within the Broomfield Town Centre development. CURRENT APPLICATION DETAILED DESCRIPTION AND STAFF REVIEW The application is for consideration of a fuel center and sales kiosk for the King Soopers located in Broomfield Town Centre. The site is approximately an acre located between E. 1st Avenue and W. 120th Avenue which is currently occupied by Broomfield Veterinary Hospital. The site plan includes a nine-dispenser fuel center with a sales kiosk. Access is proposed to the property from W. 120th Ave. and E. 1st Avenue. A portion of the kiosk (49 square feet) is located beneath the canopy with only 222 square feet of the kiosk left uncovered. **Less right-of-way dedication Existing Site Conditions The property is currently occupied by the Broomfield Veterinary Hospital, which plans to relocate to another location within Broomfield and the existing building will be demolished. A site development plan was approved for the veterinary hospital south of Midway Boulevard and the west side of Lowell Boulevard. The area where drives are proposed to be constructed in Tract A of Broomfield Town Centre Replat A is an existing stormwater detention pond. Final Plat A final plat is requested to dedicate right-of-way to the City and County of Broomfield for W. 120th Avenue. The plat includes the single lot where the fuel station will be located, right-of-way for W. 120th Avenue, and additional easements needed to service the development. Vehicular Access, Circulation, and Parking The site has existing access from W. 120th Avenue. The existing drive is limited to right-in and right-out movement due to a median in W. 120th Avenue. The site plan proposes to relocate the existing drive farther to the west. The Colorado Department of Transportation has reviewed the plan and has indicated they have no objection to the plan. To provide connectivity to the shopping center where King Soopers is located, the applicant is also proposing an access drive through the property to the west to E. 1st Avenue (known as Tract A). There is an existing access easement across this property designed to accommodate such a drive. The drive is shown crossing the existing stormwater detention pond located in Tract A. The drives will be designed to ensure they will not impair functioning of stormwater facilities. A traffic study was provided by the applicant and was reviewed by the Traffic Engineer to ensure the access point onto E. 1st Avenue is safe and functional. The urban renewal site plan includes two striped parking spaces along the east side of the property. Vehicles are expected to temporarily park on the site only when utilizing the fueling dispensers. The kiosk will provide services for the fueling vehicles only. 11(c) 14(a) - Page 8

9 Brunner Subdivision Filing No. 1 Replat A (King Soopers Fuel Center) Page 9 Pedestrian Circulation There is an existing attached sidewalk along the north side of W. 120th Avenue. Due to existing grades, a railing is located adjacent to the sidewalk. The applicant has agreed to relocate the sidewalk and adjust the grades to minimize the use of railing along the sidewalk. The applicant has proposed a sidewalk extension along the west side of the drive from W. 120th Avenue to E. 1st Avenue. A bus stop is located immediately west of the drive access to W. 120th Avenue and the new pedestrian walk will provide a safe path of travel for pedestrians from the sidewalk along W. 120th Avenue and the bus stop to the kiosk and into the Broomfield Town Centre. Landscaping The Sub-Area Plan requires a 50-foot wide landscape zone adjacent to W. 120th Avenue. The site plan includes the 50-foot wide landscape zone and includes new landscaping along this frontage including grass, shrubs, and trees. The site conforms to the minimum 25% open area requirement of the Sub-Area Plan. In addition to the 50-foot wide landscape zone, new landscaping is shown along the project perimeter. Architecture The fuel center will utilize colors and materials used in the adjacent Broomfield Town Centre development. The canopy and kiosk will feature beige colors. The support columns of the fuel canopy are wrapped in split face masonry veneer to match the nearby King Soopers grocery store to ensure compliance with the Sub-Area Plan design guidelines. Signage Signage is proposed for the canopy of the fuel center. A monument sign is proposed along the W. 120th Avenue frontage. Variances are requested from the Broomfield Municipal Code to allow additional signage for the canopy. The Broomfield Municipal Code requires a building to have a "pedestrian entrance" to determine the building frontage and thus the amount of signage allowed based on the length of the building frontage. Since the canopy does not have a "pedestrian entrance" it would not typically qualify for signage. The proposed variance includes an increase in the number of signs from five to seven and an increase in the square footage from 25.5 square feet to 270 square feet. The significant increase in signage is due to signage only being allowed for the kiosk per the Broomfield Municipal Code. Similar variances have been requested and approved for additional signage at fuel centers (including additional signs and increases in maximum square footage) such as Murphy Express at Palisade Park, Murphy Oil at W. 120th Avenue, and King Soopers Fuel Center at the Shops at Quail Creek. Site Development Plan/Urban Renewal Site Plan Text Amendment The applicant is proposing a driveway from the fuel center site to E. 1st Avenue. The driveway aligns with an existing access easement within Tract A of Broomfield Town Centre Filing No. 1 Replat A. Tract A was previously included in the Broomfield Town Centre Site Development Plan/Urban Renewal Site Plan (SDP/URSP). In the approved SDP/URSP, the tract is designed with low growing grasses and graded for stormwater detention. 11(c) 14(a) - Page 9

10 Brunner Subdivision Filing No. 1 Replat A (King Soopers Fuel Center) Page 10 The applicant has shown revised landscaping and grading for Tract A as part of the URSP for the fuel center. The Engineering Division has reviewed the revised grading to ensure adequate stormwater detention is maintained for the area. By changing the contours of the grading within the basin, the applicant was able to accommodate stormwater while also providing the new driveway from the fuel center to E. 1st Avenue. The applicant is proposing a SDP/URSP text amendment to add a note to the SDP/URSP stating the landscaping and grading for Tract A are per the Brunner Subdivision Filing No. 1 Replat A URSP. The owner of Tract A has signed the text amendment and will also sign the Brunner Subdivision Filing No. 1 Replat A URSP. Subdivision Improvement Agreement The proposed subdivision improvement agreement (SIA) is between 5275 W. 120th Ave, LLC, (the Owner), King Soopers (the Developer) and the City and County of Broomfield. The SIA, attached to accompanying Resolution No , includes an itemized list of public improvements and associated cost estimates (Exhibit C, attached to the agreement). The special provisions for this development are set forth in section 15.0 and are as follows: 15.1 W. 120th Ave Sidewalk and Landscaping - The sidewalk and right-of-way landscaping adjacent to Lot 1, Brunner Subdivision Filing No. 1 Replat A shall be completed by the Developer prior to the issuance of a certificate of occupancy for Lot 1, Brunner Subdivision Filing No. 1 Replat A The Developer shall obtain a Letter of Map Revision based on Fill (LOMR-F) from the Federal Management Agency for the sales kiosk or Letter of Map Revision (LOMR) for the site prior to the issuance of a Certificate of Occupancy for Lot 1, Brunner Subdivision Filing No. 1 Replat A. The development must be submitted to FEMA within six (6) months of the completion of grading work and prior to acceptance of Public Improvements A Pond Volume Certification with accompanying SDI Infiltration and Detention Design Data Sheet is required prior to construction acceptance of the Improvements. VI. STAFF REVIEW OF KEY ISSUES Staff has not identified any key issues with the proposed applications. VII. PLANNING AND ZONING COMMISSION RECOMMENDATION On March 14, 2016, the Planning and Zoning Commission held a public hearing concerning the proposed site development plan/urban renewal site plan second text amendment, urban renewal site plan, use by special review and final plat. The Commission recommended approval of the proposed applications by a vote of 5-0 with no conditions. 11(c) 14(a) - Page 10

11 Brunner Subdivision Filing No. 1 Replat A (King Soopers Fuel Center) Page 11 VIII. APPLICABLE MUNICIPAL CODE STANDARDS A public hearing is required. At the conclusion of the public hearing, the City Council reviews the application based on the following provisions of the BMC. FINAL PLAT Review standards. The recommendation of the planning and zoning commission and the decision of the city council shall be based on whether the applicant has demonstrated that the proposed preliminary plat meets the following standards: (A) The project should not create, or should mitigate to the extent possible, negative impacts on the surrounding property. (B) The project should provide desirable settings for buildings, make use of natural contours, protect the view, and afford privacy and protection from noise and traffic for residents and the public. (C) The project should preserve natural features of the site to the extent possible. (D) The proposed traffic flow and street locations should be consistent with the city's master plan, should be in accordance with good engineering practice, and should provide for safe and convenient movement. (E) The lots and tracts should be laid out to allow efficient use of the property to be platted. (F) The proposed public facilities and services should be adequate, consistent with the city's utility planning, and capable of being provided in a timely and efficient manner. (G) The proposal should comply with the design standards of chapter 16-28, the improvement requirements of chapter 16-32, and the standards and specifications of chapter (H) The proposal should be consistent with the need to minimize flood damage. (I) The proposal should have public utilities and facilities, such as sewer, gas, electrical, and water systems, located and designed to minimize flood damage. (J) The proposal should have adequate drainage provided to reduce exposure to flood damage. (Ord , 1987; Ord , 1988; Ord , 1995; Ord , Final plat; hearing and notice; planning and zoning commission. The planning and zoning commission shall hold a public hearing on the final plat. Notice shall be given in accordance with the provisions of chapter (Ord , 1987; Ord , 1995; Ord , 2011) Final plat; recommendation; planning and zoning commission. Within thirty days of the conclusion of its public hearing on the final plat, the planning and zoning commission shall adopt a resolution recommending approval, disapproval, or conditional approval. If the approval is conditional, the conditions under which the final plat would be acceptable shall be set forth. (Ord , 1987; Ord , 1995; Ord , 2011) SITE DEVELOPMENT PLAN Site development plan; hearing and notice; city council. The city council shall hold a public hearing on the site development plan. Notice shall be given in accordance with the provisions of chapter (Ord , 1987) Site development plan; decision; city council; recording. (A) Within thirty days of the conclusion of its public hearing on the site development plan, the city council shall adopt a resolution of approval, disapproval, or referral back to the planning and zoning commission for further study. (B) The site development plan shall include a legal description of the real property within the boundaries of the site development plan and a vicinity map showing the location in the city of the site development plan, which shall be recorded in the office of the director of recording, elections, and motor vehicles. (Ord , 1987; Ord , 1995; Ord , 1999; Ord , 2001; Ord , 2011) Review standards. The recommendation of the planning and zoning commission and the decision of the city council shall be based on whether the applicant has demonstrated that the proposed site development plan meets the following standards: (A) The proposal should be consistent with the intent of this chapter as set forth in section (B) The proposal should identify and mitigate potential negative impacts on nearby properties. (C) The proposal should identify and maximize potential positive impacts on nearby properties. (D) The proposal should include adequate facilities for pedestrians, bicyclists, and motorists. (E) The proposal should include adequate public improvements (both on and off site) to be provided in a timely fashion. (F) The proposal should optimize conservation of energy, water, and other resources on a site-specific scale. (G) (H) The land uses within the plan should be compatible with one another and with nearby properties. The proposal should provide for open area at a rate of not less than forty percent of the developable site in residential areas and twenty-five percent in other areas as provided in section below. 11(c) 14(a) - Page 11

12 Brunner Subdivision Filing No. 1 Replat A (King Soopers Fuel Center) Page 12 (I) The proposal should include any common areas serving the site, and adequate provisions should be made for the ownership and maintenance of such areas. (J) The proposal should justify any proposed deviations from the Broomfield Municipal Code in terms of the overall quality of the plan. (K) The proposal should be consistent with the approved PUD plan. (L) For residential-use PUD plans and site development plans, the proposal should be consistent with adopted uniform standards. (Ord , 1987; Ord , 1994; Ord , 1995; Ord , 1998; Ord , 2011) Exceptions. For good cause shown by the applicant, the city council may eliminate, alter, or vary some or all of these uniform subdivision standards for a residential PUD plan or for a residential site development plan. (Ord , 1997) USES PERMITTED BY SPECIAL REVIEW Approval required. Uses permitted by special review may be allowed in the designated districts upon approval by the city council following recommendations by the planning and zoning commission Request; submittal when. All requests for a use permitted by special review shall be submitted in writing to the secretary of the planning and zoning commission meeting and shall include an application fee of Application; contents. (A) The application shall contain a site plan showing, when applicable, the location of the building, off-street parking areas, off-street loading areas, service and refuse areas, ingress and egress to the property; major landscaping or other screening proposals, signs, pedestrian areas, a time schedule for development, and any other items which may help the planning and zoning commission to make a reasonable recommendation Request; review. The planning and zoning commission shall hold a public hearing on the request. Notice shall be given in accordance with the provisions of chapter (A) Except for oil and gas wells or injection wells, factors to be considered are the relation of the requested uses to the character of the surrounding neighborhood, the desirability and need for such a use in the specific area of the community, adverse environmental influence that might result from its location, and, in general, compliance with the intent of this title Request; approval, conditional approval; denial. The city council shall consider the request and the planning and zoning commission's recommendation and shall make a final decision of approval, or approval with conditions, or of denial. Factors to be considered are those specified in section The city council shall hold a public hearing prior to making its final decision. Notice shall be given in accordance with chapter Decision to be stated in official minutes. Any decision of the planning and zoning commission or city council on special reviews shall state in the official minutes the reasons for such decision Approval; period; void when. All special review requests approved by city council prior to January 1, 1988, shall be valid for one year from the approval date. All special review requests approved by city council after January 1, 1988, shall be valid for three years from the approval date. If the approved use is in operation by the end of the specified period, the approval shall remain valid so long as the use continues. If the approved use is not in operation at the end of the specified period, or if it thereafter ceases, the approval shall be deemed void and of no further force and effect, and no building or other construction permits shall be issued until and unless the special review request is reapproved by the city council. BROOMFIELD AMENDED WEST 120TH AVENUE URBAN RENEWAL PLAN The Broomfield Amended West 120th Avenue Urban Renewal Plan requires a review of a use by special review and an urban renewal site plan by the Planning and Zoning Commission and Broomfield Urban Renewal Authority as follows: 11(c) 14(a) - Page 12

To assure that those purposes are accomplished, the Authority shall hold a public hearing on all plans or proposals for development or redevelopment in the Urban Renewal Area to determine compliance with the Plan. No building permit shall be issued for a new structure or significant exterior modification prior to and unless the Authority makes a finding of compliance with the Plan, the Sub-Area Plan, and any applicable Design Guidlelines and Standards. The decision of the Authority shall be based on whether a proposed Site Plan meets the following standards. (1) The proposal should be consistent with any element, purpose, vision, and standard of this Plan and, if applicable, the Sub-Area Plan and Design Guidelines and Standards. (2) The proposal identifies and specifies factors that mitigate any potential negative impacts on nearby properties. (3) The proposal identifies and specifies factors that maximize potential positive impacts on nearby properties. (4) The proposal includes adequate facilities for pedestrians, bicyclists and motorists. (5) The proposal optimizes conservation of energy, water, and other resources on a site-specific scale. (6) The land uses within the proposal are compatible with one another. (7) The proposal includes any common areas serving the site, and contains adequate provisions for ownership and maintenance of such areas. WITNESSETH: WHEREAS, Owner is the owner of a parcel of property (the Property) situated in The City and County of Broomfield, the description of which is set forth in Exhibit A, and is incorporated herein by this reference; and WHEREAS, Owner has designated the Property as Brunner Subdivision Filing No. 1 Replat A and wishes to obtain the City's approval of a final plat, a copy of which is attached hereto as Exhibit B and is incorporated herein by this reference; NOW, THEREFORE, in consideration of the premises cited hereinabove and the mutual covenants and promises contained herein, the sufficiency of which is acknowledged, the parties hereto agree as follows: 1.0 Improvements. At all times during construction of the Improvements, in presence of Developer's agent, the City shall have the right, but not the duty, to inspect materials and workmanship, and all materials and work shall conform to the accepted plans and specifications. Any material or work not conforming to the accepted plans and the City and County of Broomfield Standards and Specifications ("Standards and Specifications") shall promptly be removed or replaced to the satisfaction of the city engineer at the Developer's expense. 1.4 Utilities. Developer shall furnish proof that proper arrangements have been made for the installation of water, sanitary sewer, gas, electric, cable television, and telephone services. 1.5 Completion of Improvements. The obligations of the Developer provided for in this paragraph 1.0, including all subparagraphs hereof, shall be performed on or before May 1, 2019, and proper application for acceptance of the Improvements shall be made by such date No Improvements shall be deemed to be completed until the city engineer has certified, in writing, that the Improvement has been completed in general conformance with the plans therefor as accepted by the City Developer shall provide the city engineer with a sworn affidavit, signed by the Developer's authorized representative, that the Improvements completed have been paid for, in full, by the Developer. 20 Subdivision Improvement Agreement for Brunner Subdivision Filing No. 1 Replat A The Improvements within the Property may be constructed by the Developer in two or more phases as approved by the City and as more particularly described in Exhibit C. 1.6 Fees. Developer is responsible for all permit fees associated with the construction or installation of the improvements. These fees include but are not limited to Public/Private Improvement Permit fees, Grading Permit fees, Water License Fees, Water Tap and Meter fees, Building Permit fees and Contractor License fees. 2.0 Rights-of-way and Easements. Before commencing the construction of any Improvements herein agreed upon, the Developer shall acquire at its own expense good and sufficient title to streets and easements, free and clear of any liens or encumbrances, on all lands and facilities, if any, traversed by the proposed Improvements. All such streets and easements shall be dedicated or conveyed to the City and the documents of dedication or conveyance shall be furnished to the City for recording. A policy of title insurance insuring title in the City may be required by the City, and the Developer shall pay the premium for such title insurance policy. 3.0 Engineering Services. Developer shall furnish, at its own expense, all engineering services required for the Property and the Improvements. 3.1 Engineering services shall be performed by a professional engineer registered in the State of Colorado. Such engineering services shall conform in all respects to the Standards and Specifications. 3.2 Engineering services shall consist of, but not be limited to, survey, designs, plans and profiles, estimates, construction supervision, and the furnishing of necessary documents in connection therewith. All engineering plans shall be submitted for review by, and be subject to the stamped acceptance by the city engineer. 21 Subdivision Improvement Agreement for Brunner Subdivision Filing No. 1 Replat A 4.0 Liability. 4.1 Release of Liability. Developer shall indemnify and hold harmless the City from any and all suits, actions, and claims of every nature and description caused by, arising from or on account of any act or omission of the Developer, or of any other person or entity for whose act or omission Developer is liable, with respect to the performance of all obligations of Developer pursuant to this Agreement; and Developer shall pay any and all judgments rendered against the City as a result of any suit, action, or claim together with all reasonable expenses and attorney's fees incurred by the City in defending any such suit, action or claim. The Developer shall require that all contractors and other employees engaged in construction of Improvements shall maintain adequate workmen's compensation insurance and public liability coverage and shall comply with the provisions of the Federal Occupational Safety and Health Act. 4.2 Drainage Liability. The Developer shall indemnify and hold harmless the City for any liability the latter may have on account of any change in the nature, direction, quantity, or quality of historical drainage flow resulting from the development of this Property or from the construction of streets or storm sewers therein. In addition, the Developer promises to reimburse the City for any and all costs including, but not limited to, reasonable attorney's fees, which the City incurs in acquiring or condemning any rights-of-way or easements which the City is required to acquire or condemn or which the City is held to have acquired or condemned, for drainage as a result of the development of this Property. 4.3 Tax Liability. The Developer shall pay all property taxes on property dedicated to the City to the extent such taxes are due as of the date of dedication or conveyance, but not after, and the Developer shall indemnify and hold harmless the City for any such property tax liability. 5.0 Acceptance. If the Improvements are satisfactorily completed, then upon written request of Developer, accompanied by documents required by the Standards and Specifications, the City shall accept the Improvements in accordance with then-applicable procedures. Upon acceptance, said Improvements shall become public facilities and property of the City, subject to repair and replacement as set forth in the Standards and Specifications. 22 Subdivision Improvement Agreement for Brunner Subdivision Filing No. 1 Replat A acceptance by the City Council, the Developer shall bear all risk of loss, damage, or failure to any of the Improvements. 5.1 If desired by the City, portions of the Improvements may be placed in service when completed, but such use shall not constitute an acceptance. Until the Improvements are accepted by the City, Developer shall be solely liable for any repairs or replacements which, in the opinion of the city engineer, shall become necessary. If, within thirty days after Developer's receipt of written notice from the City requesting such repairs or replacements, the Developer shall not have undertaken with due diligence to make same, the City may make such repairs or replacements at the Developer's expense and shall be entitled to draw upon the performance guarantee described in paragraph 7.0 either before undertaking to make such repairs or at any time thereafter. In case of emergency, such written notice shall be waived, and the City shall proceed as it deems necessary, at Developer's expense. 5.2 The City may, at its option, issue building permits for construction on lots for which the Improvements detailed herein have been started, but not completed. The City shall not issue certificates of occupancy or install water meters for lots unless (1) the Improvements serving those lots are completed and placed in service; (2) the progress of work on the Improvements throughout the Property is satisfactory to the City; and (3) all terms of this Agreement have been faithfully kept by the Developer. Any waiver of the terms of this Agreement by the City in any particular instance shall not be deemed a waiver of such terms in any subsequent instance. No delay in enforcement of the terms of this Agreement by the City shall be deemed a waiver of the City's rights hereunder. 6.0 Warranty. The Developer shall, at its own expense, make all needed repairs or replacements which, in the opinion of the city engineer, shall become necessary during the two-year warranty period or longer if required by the warranty provisions of the Standards and Specifications (the Warranty Period). In case of emergency, such written notice shall be waived, and the City shall proceed as it deems necessary, at the Developer's expense. 7.0 Performance Guarantee. Before starting work on the Improvements and before any building permit is issued for any structure to be erected in the Property, the Developer shall furnish to the City, at Developer's expense, an irrevocable stand-by letter of credit, in a form and content satisfactory to the city attorney, in which the City is designated as the beneficiary of an amount equal to the total cost, for the items shown on the "Schedule of Improvements" (Exhibit C), of the Improvements described in Exhibit C. The city engineer may permit the Developer to furnish the City with a performance guarantee for each phase or any combination of phases within the Property for the Improvements described in Exhibit C. As provided in section of the Broomfield Municipal Code, the Developer may provide the City with fifteen percent of the cost of the Improvements on the condition that the City will not issue building permits until all improvements are installed, completed and accepted within the Property or within a phase of the Property. Letters of credit shall be substantially in the form and content set forth in Exhibit D, attached hereto and incorporated herein, and shall be subject to the review and approval of the city attorney. 7.1 The estimated cost of completion of the Improvements may increase in the future. Accordingly, the City reserves the right to review and adjust the cost estimates at any time in the future, before or after Developer provides a letter of credit. Adjusted cost estimates will be made according to changes in the Construction Cost Index as published by the Engineering News Record. If the City adjusts cost estimates for the Improvements, the City shall give written notice to Developer. The Developer shall, within thirty days after receipt of said written notice, provide the City with a new or amended letter of credit in the amount of the adjusted cost estimates. If the Developer refuses or fails to so provide the City with a new or amended performance guarantee, the City may withhold building permits, water licenses, and certificates of occupancy within the Property. 7.2 Releases of the letter of credit shall be in accordance with the Standards and Specifications. 6 Revised: 3/7/16 Subdivision Improvement Agreement - 3,d Party.doc 11(c) 14(a) - Page 23

24 Subdivision Improvement Agreement for Brunner Subdivision Filing No. 1 Replat A 7.3 The letter of credit shall be maintained at an amount sufficient to fund all remaining improvements, said amount to be determined by the city engineer but shall not exceed 100% of the cost of the Improvements, until all improvements have been accepted by the City. Thereafter, the letter of credit shall be maintained at the amount required by the Standards and Specifications during the two-year repair and replacement period referred to in paragraph 6.0 or longer if required by the warranty provisions of the Standards and Specifications. 7.4 If a letter of credit is to expire within fourteen calendar days and the Developer has not yet provided a satisfactory replacement, the City may draw on the letter of credit and either hold such funds as security for performance of this Agreement, or spend such funds to finish improvements or correct problems within the Property, as the City deems appropriate. If City elects to hold the funds as security, then the entire amount held as security shall be returned to Developer with five (5) days of the City's acceptance of the Improvements. 8.0 Availability of Utilities. The City will use every reasonable means to plan for and provide water and sewer services for the Property. However, it is expressly understood by the Developer that the City cannot guarantee its ability to provide water or sewer services. The Developer, for itself, its heirs, successors, and assigns hereby acknowledges the municipal utility limitations of the City and agrees to accept and comply with all policies, ordinances, development criteria, and platting restrictions currently in effect or enacted in the future to allocate or regulate the use of the City's utility resources. 9.0 Breach of Agreement. If at any time this Agreement or any part hereof has been breached by the Developer or if satisfactory progress has not been made on the Improvements, the City may draw on the performance guarantee described in paragraph 7.0, may withhold approval of any or all building permits, certificates of occupancy, and water licenses applied for in the Property, and shall be under no obligation to approve or to issue any additional building permits, certificates of occupancy or water licenses for any area within the Property. If the City draws on the performance guarantee, it shall not be under obligation to complete the Property Improvements. Notwithstanding the rights guaranteed by this paragraph, the City may pursue whatever additional remedies it may have at law or in equity. If the City brings legal action against the Developer or the issuer of the letter of credit or of the bond, and if the City is substantially successful in such litigation, the Developer shall pay the City's costs and attorneys' fees. The waiver of any one or more breaches of the Agreement shall not constitute a waiver of the remaining terms thereof Recording of Agreement. This Agreement shall be recorded and shall be a covenant running with the land herein described in Exhibit A so that prospective purchasers and other interested parties are on notice as to the terms and provisions hereof Binding Effect. This Agreement shall be binding upon the heirs, successors, and assigns of the parties hereto Transfer or Assignments. In the event of a sale, transfer or ground lease from Owner to Developer, said sale, transfer, or ground lease shall be allowed, provided that an agreement satisfactory to the City, delineating and allocating between Owner and Developer the various rights and obligations under this Agreement has been approved by the City Manager Title. Authority, and Recognition of Existing Obligations: A Ground Lease contemplated by and between Owner and Developer expressly warrants and represents to the City that Owner is the record owner in fee simple of the Property. Owner and Developer represent that they intend to eventually transfer a leasehold estate in the property to Developer. However, until such time as a leasehold estate is created in favor of Developer and a statement of rights and responsibilities is issued by the City Manager as set forth in 12.0, Owner remains obligated to fulfill all of its obligations under this Agreement. Owner and Developer further represent and warrant that the undersigned individuals have full power and authority to enter into this Agreement.
