2 STATE OF LLNOS COUNTY OF KANE RESOLUTON NO APPROVNG AN NTERGOVERNMENTAl AGREEMENT BETWEEN THE COUNTY OF KANE AND THE VLLAGE OF BURLNGTON REGARDNG ACCESS AND MPROVEMENTS TO PLANK ROAD KANE COUNTY SECTON N FP WHEREAS, the llinois Constitution of 1970, Article V, Section 10 and 5 LCS 2201 et seq. authorizes the County of Kane (hereinafter the "County") and the Village of Burlington (hereinafter the "Village") to cooperate in the performance of their respective duties and responsibilities by contract and other agreements; and WHEREAS, the County and the Village desire to enter into an agreement to construct, improve and realign Kane County Highway No. 22 (also known as Plank Road) within the Village limits (hereinafter the "Project") and plan for the realignment of Kane County Highway No. 11 (also known as Peplow Road and French Road; and ( WHEREAS, the Project is of regional transportation significance and is funded from local sources; and WHEREAS, the County and the Village have determined a mutually satisfactory allocation of responsibilities and costs for said Project as set forth in an intergovernmental agreement between the Village and the County (a copy of which is on file in the office of the Kane County Clerk). RECTALS WHEREAS, the \T.LAGE and KANE have entered into an intergovernmental agreement entitled NTERGOVERNMENTAL AGREEMENT BETWEEN THE COUNTY OF KANE AND THE VLLAGE OF BURLNGTON FOR THE REALGNMENT OF PLANK ROAD MPROVEMENT AT BURLNGTON ROAD, recorded June 26, 2014 in the Office of the Kane County Recorder as Document 2014K030790, (hereinafter referred to as the "Agreement"). The Agreement provides for the conveyance of VLLAGE owned real estate to KANE, the granting of Permanent and Temporary Easements by VLLAGE to KANE and the temporary assignment of pennanent and temporary easements previously granted to the VLLAGE by others, for the facilitation of the completion of the realignment of Plank Road as set forth in the Agreement (hereinafter the "realigned Plank Road project"; and WHEREAS, the VLLAGE, is the fee simple owner of the real property legally described and depicted on Exhibit "A-1" and "A-2" as parcel numbers; BU T, BU T, BU-13-0lO.T and BU-13-0lO.OlP,, which exhibits are attached hereto and made a part hereof; and

4 -- WHEREAS, the VLLAGE desires to grant Temporary Drainage Easements to KANE over, Wlder, across and through the real property legally described Wlder Parcels BU T, BU T and BU-13-0O.T on Exhibit "A-1" and "A-2" and a Permanent Stormwater Management Easement over, llllder and across the real property legally described Wlder Parcel BU P on Exhibit "A-1" ; and WHEREAS, the VLLAGE has retained or acquired in accordance with various instruments recorded in the Office of the Kane Collllty Recorder and known as Documents 2014K031164, 2014K and 2014K031187, all recorded Jlllle 27, 2014, assignable temporary drainage easement rights over, Wlder, across and through the real property legally described and depicted on Exhibit "A-2" and "A-3" (which exhibit is also attached hereto and made a part hereof) and referred to by Parcel Numbers: BU T, BU T, BU T, BU T, BU T, BU T,, BU T and BU T, and the VLLAGE desires to temporarily assign its temporary drainage easement rights over, Wlder, across and through said real property to KANE for its use in constructing the realigned Plank Road project; and WHEREAS, the VLLAGE has acquired in accordance with said Document 2014K031166, assignable permanent sidewalk and permanent village u9lity easement rights over, Wlder and across the property referred to as Parcel Number BU P1egally described and depicted on Exhibit "A-3" and the VLLAGE desires to temporarily assign said permanent sidewalk and village utility easement rights over, Wlder, across and through the real property referred to as Parcel No. BU P to KANE for its use in constructing the realigned Plank Road project; NOW, THEREFORE, in consideration of the mutual covenants and conditions set forth herein and for additional consideration, the receipt and sufficiency of which is hereby mutually acknowledged, and for TEN DOLLARS ($10.00), the parties hereby agree as follows: 1. ncorporation The preambles stated hereinabove are incorporated into and made a part of this Agreement. 2. Grant of Permanent Easement (a) VLLAGE, hereby grants to KANE, together with its respective licensees, successors and assigns, a non-exclusive permanent stormwater management easement over, Wlder and across Parcel BU P, which parcel is graphically depicted and legally

5 described on the Plat of Easement attached hereto as Exhibit "A-1" to design, construct, operate, maintain, expand, alter, renew, relocate and remove, from time to time, a stormwater management facility for the purpose of providing the stormwater retention, detention and conveyance needs of the realigned Plank Road project to be constructed by KANE, and the stormwater retention, detention and conveyance needs of KANE for future improvements to Kane County highways which are upstream and tributary to any stormwater management facility constructed on Parcel BU P by KANE. (b) (c) VLLAGE reserves the right, for its own stormwater management purposes and those of its successors and assignees, to use, operate, reconstruct, expand, alter and maintain any stormwater management facility on Parcel BU P in any manner that does not interfere with the stormwater management uses of KANE. The VLLAGE agrees to notify the Kane County Engineer in writing ninety (90) days prior to any alteration of any facility constructed by KANE on said stormwater management easement premises. VLLAGE agrees to provide mowing maintenance of the above granted permanent stormwater management easement premises, no less frequently than the frequency KANE mows the Plank Road right of way. 3. Grant of Temporary Drainage Easements (a) (b) (c) VLLAGE, hereby grants to KANE, together with its respective licensees, successors and assigns, a non-exclusive temporary drainage easement, over, under and across Parcel BU-13-0lO.T, which parcel is graphically depicted and legally described on the Plat of Easement attached hereto as Exhibit "A-1" to design, construct, operate, renew and maintain drainage facilities to convey stormwater from the realigned Plank Road project and its upstream watersheds. VLLAGE, hereby grants to KANE, together with its respective licensees, successors and assigns, a non-exclusive temporary drainage easement, over, under, across and through Parcel BU T and Parcel BU T, which parcels are graphically depicted and legally described on the Plat of Easement attached hereto as Exhibit "A-2" to design, construct, operate, renew and maintain drainage facilities to convey stormwater from the realigned Plank Road project and its upstream watersheds. The temporary drainage easements granted in the above paragraphs (a) and (b) to KANE will expire upon the completion of the realigned Plank Road pn~.iect or on October 15, 2017, whichever occurs first, unless otherwise extended by mutual agreement of the parties hereto. 4. Temporary Assignment of Existing Temporary Drainage Easements (a) VLLAGE, hereby temporarily assigns to KANE, together with its respective licensees, successors and assigns, the temporary drainage easement rights it has acquired in the easement agreement on file in the Office of the Kane County Recorder and known as Document 2014K031166, over, under, and across Parcel BU T, which parcel

6 is graphically depicted and legally described on the Plat of Easement attached hereto as Exhibit "A-2" to construct, operate and maintain drainage facilities to convey stonnwater from the realigned Plank Road project and its upstream watersheds. (b) (c) (d) (e) VLLAGE, hereby temporarily assigns to KANE, together with its respective licensees, successors and assigns, the temporary drainage easement rights it has acquired through the easement agreement on file in the Office of the Kane County Recorder and known as Document 2014K031187, over, under and across Parcel BU T and ParcelBU T, which parcels are graphically depicted and legally described on the Plat of Easement attached hereto as Exhibit "A-2" to construct, operate and maintain drainage facilities to convey stonnwater from the realigned Plank Road project and its upstream watersheds. VLLAGE, hereby temporarily assigns to KANE, together with its respective licensees, successors and assigns, the temporary drainage easement rights it has acquired by the deed on file in the Office of the Kane County Recorder an known as Document 2014K031164, over, under and across Parcel BU T, which parcel is graphically depicted and legally described on the Plat of Easement attached hereto as Exhibit "A-3" to construct, operate and maintain drainage facilities to convey stonnwater from the realigned Plank Road project and its upstream watersheds. VLLAGE, hereby temporarily assigns to KANE, together with its respective licensees, successors and assigns, the temporary drainage easement rights it has acquired by the easement agreement on file in the Office of the Kane County Recorder and known as Document 2014K031166, over, under and across Parcel BU T and Parcel BU T, which parcels are graphically depicted and legally described on the Plat of Easement attached hereto as Exhibit "A-3" to construct, operate and maintain drainage facilities to convey stonnwater from the realigned Plank Road project and its upstream watersheds. The temporary assignment of the temporary drainage easements in the above paragraphs (a), (b), (c) and (d) will expire upon the completion of the realigned Plank Road project or on October 15, 2017 whichever occurs first unless otherwise extended by mutual agreement of the parties hereto. 5. (a) Temporary Assignment of Existing Permanent Sidewalk Easement and Village Utility Easement VLLAGE, hereby temporarily assigns to KANE, together with its respective licensees, successors and assigns, the permanent sidewalk easement and village utility easement rights it has acquired in the Mutual Grant of Easement Agreement on file in the Office of the Kane Cmmty Recorder known as Docmnent 2014K031166, over, under and across Parcel BU P, which parcel is graphically depicted and legally described on the Plat of Easement attached hereto as Exhibit "A-3", to construct a sidewalk, relocate a VLLAGE water main and to use as otherwise necessary for the construction and completion of the realigned Plank Road project

(b) The temporary assignment of permanent sidewa1k easement and permanent village utility easement rights in the above paragraph (a) will expire upon the completion of the realigned Plank Road project or on October 15, 2017 whichever occurs first unless otherwise extended by mutual agreement of the parties hereto. 6. nsurance Prior to the commencement of any construction of facilities within the temporary or permanent easements herein granted or assigned, by any entity, whether by contract, subcontract, permit, franchise agreement or intergovernmental agreement, the VLLAGE and KANE shall require any and all contractors, sub-contractors, engineers, surveyors or others, working within the easements herein granted or assigned, to provide evidence to the property owner of the land on which work is being done, of a minimum $2,000,000 in commercial general liability insurance naming the Village of Burlington, its employees and agents, Engineering Enterprises, nc. and any owner of the fee underlying any temporary easement or permanent easement herein granted or temporarily assigned, each as an additionally named insured on a primary and non-contributory basis. 7. Miscellaneous Provisions. (a) (b) (c) (d) (e) The covenants and provisions contained herein shall inure to the benefit of and be binding upon the VLLAGE and KANE and their respective heirs, successors and assigns. The invalidity of any covenant, restriction, condition, limitation or any other part or provision of this Agreement shall not impair or affect in any manner the validity, enforceability or effect of the remainder thereof. This Agreement shall be governed and construed in accordance with the laws of the State of illinois with all disputes to be resolved in the Circuit Court of Kane County, illinois. This Agreement contains the entire agreement and understanding of the VLLAGE and KANE with respect to the subject matter set forth herein.
