1 TITLE CHANGE REQUEST CHECKLIST AND INSTRUCTIONS Thank yu fr allwing Interval Servicing t assist yu with yur title change request. We want yur transactin t be prcessed smthly and efficiently. Please be sure t review this checklist and instructins. Required Items: 1. Current Member(s) Infrmatin Frm. This frm must be signed by all parties and ntarized. * If all Owner signatures cannt be btained, the Executr/Executrix must sign the frm and the signature must be ntarized and legal dcuments must be attached (*) 2. New Member(s) Infrmatin Frm. This frm must be signed by all parties. Please be aware that the infrmatin prvided n this frm will be the full legal name under the new membership agreement. 3. Cmplete Original Membership Agreement / Cntract (bklet) and addendum 1 and addendum 2. Please d nt send phtcpies, partial cntracts r thse marked Fr Yur Recrds. If the riginal Membership Agreement set is nt available, use the Lst Membership Cntract Affidavit. The frm must be signed by all parties and ntarized. If all Owner signatures cannt be btained, the Executr/Executrix must sign the frm and the signature must be ntarized and legal dcuments must be attached(*). 4. Include a check made payable t Interval Servicing fr US $ fr each title change request. Please issue the fee separate frm any ther fee(s) that may be assciated with the accunt. Imprtant Dcumentatin: If btaining riginal signatures is nt pssible, be sure t include the required supprting dcumentatin: Death Certificate with legal dcumentatin appintment the Executr r Executrix Pwer f Attrney that references the specific Membership Agreement / Cntract (nly valid if the persn giving the pwer f attrney is living) Divrce Decree including the curt signature / seal and referencing the specific Membership Agreement / Cntract. Imprtant Instructins: The Annual Maintenance / Club Service Fees must be paid befre a transfer can be executed: (a) If the unit is cmmitted with an exchange cmpany (fr the year cmmitted). See availability. (b) If the maintenance fees has been already billed. The Membership accunt must be in gd standing r paid in full. New Member(s) must acknwledge their first ccupancy year. 2 Unit Availability Requirements Title Change can nly be perfrmed when the unit is NOT COMMITTED with any Internal r External prgram. The title change request will be returned if the unit is cmmitted with any f the fllwing prgrams fr mre than the current year. Internal Prgrams: Rental Prgram If any prtin f yur Villa/Unit is in the rental prgram, it must be remved in rder t prcess the Title Change. If it is nt able t be remved frm the rental prgram, then the title change will be pstpned till tw weeks after the rental week has passed t assure that prceeds are sent apprpriately. Resale Prgram If yur Villa/Unit is currently listed with the resale prgram, it must be remved in rder t prcess the Title Change. Resale Department must receive a signed letter by all members requesting the remval. Guest/Owner Lan If any prtin f yur Villa/Unit has a Guest/Owner Lan ccupying fr the current year (n mre than ne year), the maintenance fee must be paid prir t the transfer and the new wner (buyer) must agree in writing f the next year usage. Internal/Frced Exchange: If any prtin f yur Villa/Unit has been placed in the Internal / Frced Exchange prgram fr the current year (n mre than ne year) the maintenance fee fr that year must be paid prir t the transfer and the new wner (buyer) must agree in writing f the next year usage. External Prgrams: If any prtin f yur Villa/Unit is listed in ne f the fllwing prgrams, yu must cntact the cmpany directly t request the remval f yur Villa/Unit. Interval Internatinal (II) Resrt Cndminium Internatinal (RCI) Any ther cmpany: In the event that yu cannt get the unit back, the title change will nt be accepted until the listed year has passed. ***REMINDER*** The Annual Maintenance Fees must be paid prir t the transfer: 1. If the accunt has already been billed 2. Fr the year that the unit is cmmitted with an external/internal prgram.

6 Welcme. Timeshare Sale Escrw Agreement Yu ve taken the first step t transferring yur timeshare interest in a mre secure manner. We knw that yu value yur vacatin prperty and we want yu t feel sure that when yu chse t, we can help yu transfer it with cnfidence. Interval Servicing is pleased t ffer ur Escrw Service t help take the wrry ut f yur timeshare transactin. Step 1 Review and cmplete this Agreement by bth parties. A signed riginal agreement is required. The Buyer and Seller may cmplete a separate frm. The Seller submits their riginal cntract with all the riginal frms. Step 2 Return this dcument with the escrw fee and the first payment. Interval Servicing will verify the details f the transactin and upn cmpletin, prepare new Buyer s dcuments. The escrw fee may be paid as agreed by the Seller and Buyer. Please make a separate check fr the escrw fee and all escrw fund checks shuld be made payable t Interval Servicing C, LLC. Step 3 Return executed dcuments with the final payment. Once the fully executed dcuments are received frm the Buyer and all payments clear, Interval Servicing will release funds frm escrw and send them t the Seller. At that time the unit will be released t the Buyer fr their enjyment. Agreement This Agreement and Escrw Instructins (the "Agreement") are entered int by and between Seller and Buyer, as identified herein, and Interval Servicing C LLC (the Escrw Agent ) fr the purpse f securely transferring wnership and/r all interests in and t the timeshare prperty (the Prperty ) as described abve. Seller and Buyer may hereinafter individually be referred t as a "Party" and jintly as the "Parties". The effective term f this Agreement herein after referred t as the Escrw Perid will cmmence as f the date that bth Parties have submitted a cmpleted and executed Agreement frm, t Interval Servicing and cncludes at sixty (60) calendar days frm cmmencement r sner in accrdance with the mutual cvenants herein. This Agreement, submitted in cunterpart, will represent ne Agreement, and bth cunterparts are cnsidered merged as ne dcument. Escrw Agent is directed t act as escrw hlder pursuant t this Agreement. Escrw Fee: The ne-time Nn-Refundable Escrw Fee shall, in advance f transfer, be paid by a separate cashier r persnal check r electrnic transfer, payable t Interval Servicing by either Party as agreed by same. Buyer agrees that funds may be received by Escrw Agent in up t tw (2) installments. The fee fr the first tw installment payments is cvered under the riginal escrw fee. At the written request f the seller, additinal installment payments may be requested. Additinal installments payments must be accmpanied by a separate check made payable t Interval Servicing fr Thirty ($30) US dllars fr administrative prcessing. 2. Escrw Funds: The Escrw Funds will be the Purchase Price as indicated abve exclusive f all fees including the Escrw Fee and any ther fees incurred during the transmittal f the Escrw Funds. Escrw funds may, at the discretin f Interval Servicing, be held in a cmingled bank accunt that may r may nt bear interest; and n such interest, if accrued, will be credited t the Escrw transactin r distributed amng the Parties. 3. Indemnificatin: Bth Parties agree that this Agreement is nt an agreement fr the purchase r sale f said Prperty r substitute fr such agreement theref; that it is recmmended each Party seek qualified legal cunsel as each deems apprpriate; and that Interval Servicing has nt prvided advice, cuncil r ther recmmendatins r assertins either written r verbal with respect t either Party r the Prperty. 8 Bth Seller and Buyer understand and agree that the Escrw Agent is nt an agent, representative, assign, r brker f the Prperty nr des Interval Servicing manage, versee, r cause t manage any aspect f peratin f the Prperty r the entity r entities that are r may be respnsible fr such actins. Bth Parties further agree that Escrw Agent shall nt be called upn t arbitrate any dispute that arises as a cnsequence f this transactin; that the Parties are bligated t perfrm as required per this Agreement; and mnies held in escrw in excess f the Escrw Perid are subject t expiratin and terminatin f this Agreement. Bth Seller and Buyer agree t indemnify and hld harmless Escrw Agent fr the return f dcuments and funds in cnnectin with any such afrementined default r terminatin and will further hld harmless Escrw Agent frm any lss r interruptin f mail whether physical, electrnic r f any ther means f transmittal. Bth parties acknwledge that the use and benefits (e.g. Ryal Resrts Signature Club) f said Prperty are subject t the rules and terms f use as mandated by the Resrt; that the respnsibility fr disclsure f such lies exclusively between the Buyer and Seller, and that Interval Servicing is nt liable fr such disclsure at any time. 4. Clsing: Bth Parties agree t execute and cnvey with expediency all further dcuments, including withut limitatin, riginal cntracts r membership agreements (Seller), duly ntarized cntracts r membership agreement (Buyer), r ther frms r dcuments frm either Party necessary t effectuate the transactin cntemplated herein within ten (10) calendar days f receipt r ther ntice. Clsing will cmmence fllwing the expiratin f the perid set frth in sectin 5 belw and nce all funds, including withut limitatin, the Purchase Price, Nn-Refundable Escrw Fee, transactin csts and extraneus expenses are received and funds have cleared (estimated ten (10) t furteen (14) business days frm depsit). Funds will be disbursed in accrdance t the prvisins t this agreement and/r any mutually agreed revisin theret. This transactin shall be deemed clsed upn successful cnveyance f Prperty t Buyer. 5. Terminatin & Default: Either Party may terminate this Escrw Agreement upn delivery f written ntice t Escrw Agent via certified US mail. Receipt f such terminatin ntice must be received within seven (7) business days frm executin f this Agreement; and after such perid, bth Parties irrevcably agree that Escrw Agent shall be empwered t perfrm their duties in accrdance with this Agreement. Bth Parties agree that a terminatin f this Agreement in n way inhibits the full frce and perfrmance f any such private sales agreement if ne exists. Bth Parties agree that upn default r terminatin f either party, slely with respect t this Agreement and exclusive f all ther agreements r arrangements, either written r verbal, that the result f such default r terminatin will be the return f all dcuments and funds received frm either Seller r Buyer respectively excluding the nn-refundable escrw fee. If fr any reasn, within the Escrw Perid, either Party fails t perfrm in accrdance t the terms f this Agreement, then this Agreement, withut ntice, will be terminated and all dcuments and funds received frm either Seller r Buyer respectively will be returned exclusive f the nn-refundable escrw fee. 6. General Prvisins: This Agreement shall be binding upn, and shall inure t the benefit f Seller and Buyer and their respective successrs, heirs, executrs, administratrs and assigns. This Agreement is tandem t and des nt supplant a Title Change Agreement. Where questins f title, unit descriptin r specifics might arise, the Title Change Agreement shall prevail. 7. Yur Membership must be in gd standing r paid in full. The Club Service and Annual Maintenance fee must be paid prir t the transfer. This Agreement shall be gverned by and interpreted in accrdance with the laws f the State f Flrida. This Agreement cnstitutes the entire agreement between the parties with respect t the subject matter heref and supersedes all prir negtiatins, representatins and agreements between the parties. This Agreement may nly be amended by written instrument submitted by Seller r Buyer fr executin by all f the parties.
