3 Agenda items for December 14, 2017 Meeting A copy of all the attachments are at New Business a) Committee Assignments Chair Herston will assign Commissioners to the various committees. b) T-Hangar Leasing Commissioner Hancik asked that this item be placed on the Agenda. Attached are current leasing documents and a draft of a proposed new lease drawn up by the Authority s aviation consultant law firm. c) Set Special Meeting to Select Wetland Mitigation Consultant The Authority has set a workshop for January 18, 2018, and no business can be conducted. The Wetland Mitigation project has been advertised and selection of a consultant needs to be done by the Board. Staff is suggesting that a Special Meeting be set for fifteen minutes before the start of the workshop at 8:45 on the 18 th for the selection of a consultant. Staff Recommended Action: Board set a Special Meeting for January 18, 2018 at 8:45 a.m. d) Selection Committee to Review and Score Wetland Mitigation Consultant Packages Appoint a Board member or members to sit on the selection committee to review and score the Wetland Mitigation consultant packages along with staff or appoint staff to do the review and scoring of the Wetland Mitigation consultant packages. Staff Recommended Action: Board discretion.

4 CHARLOTTE COUNTY AIPRORT AUTHORITY MINUTES OF REGULAR MEETING NOVEMBER 16, :00 A.M Call to Order 2. Invocation 10 Commissioner Herston gave the invocation. 3. Pledge of Allegiance Roll Call Present: Chair Andrews; Commissioners Coppola, Hancik and Herston; CEO Parish; Attorney Carr; Mrs. Cauley; Ms. Desguin; Mr. Laroche; Mr. Mallard; Mr. Ridenour and Mrs. Smith. Others present: Jim Kaletta, Mark Kistler, Stan Smith, Dave Goode, Mike Mapstone, Alan Boynton, Gary Harrell, Ray Neilson, Gary Skillman, Jim Deutsch, Jennifer Hamilton, Commissioner Deutsch, Councilwoman Prafke, other people from the private sector and a member of the press. Absent: Commissioner Seay. 5. Citizen s Input Additions and/or Deletions to the Agenda 7. Consent Agenda 30 Commissioner Herston made the motion to approve the Consent Agenda. Commissioner Coppola seconded. Motion passed unanimously. 8. Secretary/Treasurer s Report Mr. Parish reported that the larger past due accounts receivables are down and are working with the others. Commissioner Herston commented on the Avis account and New World Trade. Mr. Parish reported that there was a small loss for September due to the Hurricane. Commissioner Herston suggested combining the profit and loss and income statement items into income statement on the agenda. 9. Committee Reports a) Land Use Commissioner Herston reported that the County is looking at the ECAP zoning. He commented that there is a lot going on in the private side. 45 b) Metropolitan Planning Organization Commissioner Herston reported that the joint meeting that was scheduled has been canceled. He commented that he could not attend the MPOAC meeting and asked Mr. Harrell to report on it. Mr. Harrell gave a report on what

5 CCAA Regular Meeting 2 November 16, 2017 was discussed at the meeting which included where to hold the meetings, Legislation, transportation issues, funding, Strategic Intermodal System, Sun Trails System, maintenance of highways and traffic safety c) Personnel Commissioner Coppola presented Mr. Ray Neilson with a fifteen-year serviced award. d) Public Relations and Special Events Commissioner Coppola reported on the historical marker dedication, Veteran s Day, various articles that were published, the Air Show and the Christmas Parade. e) Governmental Liaison Mr. Parish reported on his trip to Tallahassee with the Florida Airports Council s board and his trip to Washington, DC with some other airport directors to discuss the PFC increase. He commented on the Aviation Trust Fund not being funded by the ancillary fees that the airlines charge. He commented that there is less money for airport development and the airports are having to come up with more money and the only way to do that is charge the airlines more or charge the passengers. Commissioner Hancik asked what is the position of the elected officials on the PFC increase. Mr. Parish commented that Senators Nelson and Rubio are for it. He commented that it is not in the House yet and no one in the House will say they are for it. f) Economic Development Chair Andrews had nothing to report. 25 g) Aviation Activities Report Commissioner Hancik reported on the passenger numbers, fuel sales, aircraft operations, Allegiant destinations and the rental car companies are getting ready for Thanksgiving. 10. Attorney s Report Attorney Carr reported on the fire support agreement progress with the County, the meeting with the Property Owners Association being positive, no progress on the Western Michigan University agreement, Gulf Contours lease, the draft agreement for the Air Show is a work in progress and he is counsel for both the Authority and the Air Show and the two personal injury matters. 11. CEO s Report a) Master Plan Mr. Parish reported that the Master Plan is progressing, the only reviewer for the Environmental Assessment at the Airports District Office (ADO) passed away unexpectedly, the final stakeholder meeting will be December 6 th and a presentation on January 22 nd. b) Development Update Mr. Parish reported on the ramp expansion project, hangar door replacement project, weather equipment and FIDO, SIDA bag belt and the tree removal. Commissioner Herston asked if capital improvement projects cannot be started without the approval of the Master Plan. Mr. Parish commented that capital improvements can be done

6 CCAA Regular Meeting 3 November 16, 2017 but if they are in the Master Plan the Authority cannot get funding for them. He commented on the upcoming Christmas Parade and the tower hours have been extended Citizen s Input Commissioner Deutsch Reported that there are two serious companies coming into the Industrial Development Agency, getting the debris cleaned up and FEMA reimbursement. 13. Old Business 14. New Business a) Election of Officers Chair Andrews passed the gavel to Attorney Carr. Attorney Carr opened the nominations for Chair. Commissioner Andrews nominated Commissioner Herston for Chair. Commissioner Coppola seconded. Commissioner Herston nominated Commissioner Hancik. Commissioner Coppola seconded. Attorney Carr closed the nominations and called for a roll call vote. Commissioner Andrews voted for Commissioner Herston. Commissioner Herston voted for Commissioner Hancik. Commissioner Coppola voted for Commissioner Hancik. Commissioner Hancik voted for Commissioner Herston. Attorney Carr announced the nominations fail. He opened nominations for the Chair. Commissioner Andrews nominated Commissioner Herston. Commissioner Coppola seconded. Attorney Carr closed the nominations and called for a roll call vote. Commissioner Andrews voted for Commissioner Herston. Commissioner Herston voted Herston. Commissioner Coppola voted for Commissioner Herston. Commissioner Hancik voted for Commissioner Herston. Attorney Carr commented that by unanimous vote Commissioner Herston will serve as Chair for the upcoming year. He opened the nominations for Vice-Chair. Commissioner Herston nominated Commissioner Hancik. Commissioner Coppola seconded. Chair Andrews nominated Commissioner Seay. There was not a second. Attorney Carr closed the nominations and called for a roll call vote. Commissioner Herston voted for Commissioner Hancik. Commissioner Andrews voted for Commissioner Hancik. Commissioner Coppola voted for Commissioner Hancik. Commissioner Hancik voted Hancik. Attorney Carr congratulated Commissioner Hancik. He opened the nominations for Secretary/Treasurer. Commissioner Herston nominated Commissioner Coppola. Commissioner Andrews seconded. Attorney Carr closed the nominations. He called for a roll call vote. He called for nominations for the Assistant Secretary/Treasurer. Commissioner Andrews nominated Commissioner Seay. Commissioner Herston seconded. Commissioner Hancik nominated Commissioner Andrews. Commissioner Coppola seconded. Attorney Carr closed the nominations. He called for a roll call vote. Commissioner Herston voted for Commissioner Andrews. Commissioner Coppola voted for Commissioner Andrews. Commissioner Hancik voted for Commissioner Andrews. Commissioner Andrews voted Andrews. Attorney Carr commented that this completes the election and passed the gavel to Chair Herston.

7 CCAA Regular Meeting 4 November 16, b) Proposed Meeting Schedule for Dec Dec Mr. Parish went over the proposed meeting schedule. Attorney Carr commented that he nor anyone from his firm would be able to attend the May 17 th meeting and would not be available the 18th. Commissioner Hancik opined that he would rather see something rescheduled rather than canceled. Mr. Parish commented that if a meeting is needed an emergency meeting can be called. Chair Herston recommended that the Authority move forward with the proposed calendar with the exception a special meeting can always be called. c) John Deere Tractor Purchase Mr. Parish commented a tractor that was bought seven or eight years ago had an electrical fire that totaled the tractor. He explained the insurance settlement and that there is a replacement tractor on the State Contract. He commented that this was not on the CIP plan. Commissioner Hancik asked if there was money in the budget. Mr. Parish commented that there is money in the budget for capital purchases and may be able to defer. Commissioner Hancik made the motion to authorize staff to make the purchase of a new mower tractor for an out of pocket price of $70, Commissioner Andrews seconded. Motion passed unanimously. d) Land Acquisition Mr. Parish commented that Commissioner Hancik asked that this be put on the agenda. He explained that there is some land on the northside of the airport and a small triangle south of the airport that is needed for runway protection zones. He commented that they are listed in the short-term CIP and Master Plan. He commented that the Authority is looking at the land to the north to be a PFC project and is dealing with the land owner of the land to the south. He commented that once the Master Plan is approved the Authority can move forward. Commissioner Hancik commented on needing the land to do runway expansions. Mr. Parish explained the reason to use PFC funds to purchase the land. Commissioner Hancik commented on his concerns of losing the land and the purchase being reimbursable. Mr. Parish commented that he would like to have the FAA s blessing first and will be in the next PFC application. He commented on the environmental assessment being approved before any projects can be started. He commented that he will get with the FAA and put it on the agenda next month. Chair Herston asked about land leases. Mr. Parish explained that some of the leases say the building becomes the Authority s at the end of the lease and some say the tenant owns the building. e) Board Travel to AAAE Conference and Exposition Mr. Parish explained that the dates have just been announced for the AAAE conference. He commented that there is money in the budget for one person to attend. Commissioner Hancik commented it is in San Diego this year. Commissioner Coppola asked if there is a benefit. Commissioner Hancik commented that he is a liaison with other airport officials. Mr. Parish explained that Board travel must be approved. Commissioner Andrews made the motion to Board travel to the AAAE conference. Commissioner Coppola seconded. Motion passed unanimously. 15. Citizen s Input 45 Councilmember Prafke Distributed the pickle ball paddle that were used at the groundbreaking ceremony for the Pickle Plex. She asked about the $20, contribution that was to be on the agenda for the Authority to be a sponsor and have their logo at the

8 CCAA Regular Meeting 5 November 16, Pickle Plex. Attorney Carr commented that he had some concerns with the request that it could be revenue diversion. He explained what is considered revenue diversion. He communicated with the Authority s FAA counsel who specializes in that area and asked if the Authority should consider this and his strong reply was absolutely not. He commented that as legal counsel to the Authority he does not think there is any legal capability for the Charlotte County Airport Authority to meet Councilmember Prafke s request. Councilmember Prafke asked about marketing. Attorney Carr explained why it could not be used as marketing. Mr. Parish commented that the Authority may be able to participate in individual events. Councilmember Prafke commented she will update the Pickle Plex board. Jim Kaletta Commented on the FAA instructor course at Western Michigan University building, the CAP will be teaching emergency management for the aircraft and teaching the CAP personnel observer and scanner. 16. Commissioner s Comments Commissioner Coppola Commented that she did not support a bonus for Mr. Parish because of the downturn in business the Authority had the previous month. She commented that Mr. Parish has done a phenomenal job and it was only economics. She suggested protecting the pictures that are in the Bailey Terminal. Mr. Parish commented that they can replace them if necessary. She wished everyone a Happy Thanksgiving. Commissioner Hancik Suggested giving sixty days notice if a Board member is not going to be at a meeting. He commented on the budget adjustment on the Consent Agenda and needed more information. Wished everyone a nice warm Thanksgiving. Chair Herston reminded Commissioner Hancik that a Board member can pull anything from the Consent Agenda. Commissioner Andrews Congratulated the Chair and thanked everyone for attending the meeting. Chair Herston Reminded everyone the next meeting will be December 14 th. He thanked God for all he does for the airport. He thanked staff for their hard work and Attorney Carr. He opined he is a very qualified attorney. 16 Charlotte County Airport Authority CEO s Report - Development Update December 14, Terminal Expansion Construction and Baggage System Terminal Expansion No changes from the previous report. Following the August 31, 2017 Airport/FAA meeting at PGD to review the closeout book submittal requesting additional funding, a follow-up meeting was conducted at the FAA offices on September 19, The continued discussion centered around the difference between the grant application requested dollar amount and the actual grant offer dollar amount. The difference is $635,722. FAA stated at the meeting, they will review our financial document submittal items and get back to us Hangar Door Repair/Replacement Construction activities associated with the replacement of twenty-two (22) T-Hangar doors continues. To date, 12 doors have been replaced. The completion of all twenty-two (22) is scheduled to be completed in January Airport staff continues coordinating with tenants on the construction schedule for moving of aircraft and storage of tenant contents. This project is funded by the Airport at 50%, and the remaining 50% by FDOT Air Carrier Ramp Expansion Construction activities associated with the expansion of the air carrier ramp continues. Currently the contractor is installing underground drainage and utility facilities along with excavation and grading and compaction of the sub-base. The placement of the base material is scheduled to begin on December 11, 2017 followed by the first pour of concrete on December 20, The air carrier commercial ramp was scheduled to be completed on or before January 21, However, due to delays in the submittal and review of shop drawings, and delays of the fabrication of structures associated with Hurricane Irma, the completion date is now pushed to the end of January or to the beginning of February The Air Trek ramp re-construction is scheduled to be completed in early February FDIOR and Secondary Weather Equipment As reported in previous reports, on May 18, 2017, the Airport Authority accepted the JPA with FDOT for the purchase of FDIOR Equipment in the Air Traffic Control Tower and Secondary Weather Equipment for the airfield. FDIOR (Flight Data Input Output Remote No new information, below is the status from the previous report. On June 14, 2017, per the reimbursable agreement with FAA, the Airport sent a check to FAA for the work. FAA has programed the work and plan to be completed in the first quarter Secondary Weather Equipment Following the September 21, 2017 Airport Authority approval of the contract with Wolen, LLC, airport staff issued the formal Notice to Proceed on October 3, The contractor submitted the project schedule as shown below. 17 Charlotte County Airport Authority CEO s Report - Development Update December 14, 2017 We are awaiting FAA s determination of the airspace analysis for the new weather system. We were anticipating receipt of FAA s review by December 4, On consultant (Wolen, LLC) is requesting as status for FAA and the revised date for receipt of the determination Wetland Mitigation Phase 1 of 2 The mitigation and filling of wetlands was identified in the Wildlife Hazard Management Plan and is included in the Master Plan Update as a short-term project. The project consists of the design, permitting and construction required to fill approximately 14 acres of existing wetlands on airport property. This project also includes the purchase of required wetland mitigation credits. On December 8, 2017 the Request for Qualifications (RFQ) was advertised requesting submittal packages from qualified consultants. The submittal due date is January 9, The results of the submittal review is scheduled to be presented to the Airport Authority on January 18, 2018 for selection of a consultant. The FAA pre-application grant was submitted on November 15, A formal grant application is scheduled to be submitted in June 2018 with construction bids. The construction work is scheduled to begin in August or September Miscellaneous Projects Outbound Baggage Belt The construction of the extension of the baggage belt was completed on November 10, We are now scheduling the installation of the canopy. Tree Removal We have added additional tree clearing limits to the project based on the results of the Master Plan Update, Airport Layout Plan (ALP) set. The ALP depicts tree penetrations in the various Approach, Departure and Part 77 Imaginary Surface. Tree clearing operations began on December 5, 2017 at the Runway 15 End and east of the 600 T-Hangars series and was completed. On December 6, 2017 tree clearing operations began on the Runway 33 End. After completion of the Runway 33 End, the contractor will begin clearing operations along the Airport s east property line fence. Passenger Boarding Ramps The passenger boarding ramps are in manufacturing. The expected arrival date is January Page 2 of 3

18 Charlotte County Airport Authority CEO s Report - Development Update December 14, Master Plan Update Since the Master Plan Update report and associated Airport Layout Plan are nearing completion, this status report has been revised to summarize the four (4) main tasks of the project scope of work. The table showing details for each task completed for each month has been retained, but removed from this report. Master Plan Update and Airport Layout Plans The formal Master Plan Update report and associated Airport Layout Plans are in final development. The last Stakeholder meeting occurred on December 6, 2017 which presented the remaining Working Papers, which were #4 Facility Implementation Plan and Airport Layout Plan and #5 Financial Feasibility Analysis. As a result of the above, the Airport s consultant (AECOM) will make a formal presentation of the Master Plan and Airport Layout Plan to the Airport Authority Commissioners on January 22, 2018 at 5:00 PM. Following the presentation and acceptance, the consultant will submit the documents to FAA and FDOT for review and approval. The FAA and FDOT approvals are expected in the Spring of Please note, the Airport has no control over the FAA review period time durations. Electronic Airport Layout Plan (e-alp) The work on this portion of the master plan update continues. It is an electronic version of the paper Airport Layout Plan set. In 2008 the FAA released new standards for federally funded projects to be completed in a specific Geographical Information System (GIS) format. The consultant has completed work on the Safety Critical Data portion of the e-alp and continues work generating the Existing Conditions and Planned data. Incremental submittals to FAA of data continues. The final FAA approvals are expected in Spring Please note, the Airport has no control over the FAA review period time durations. Environmental Assessment (EA) The consultant continues work on the EA for the Short-Term projects. The first set of deliverables were sent to FAA on November 28, 2017, which were the Project Definition Report and the Purpose and Needs/Alternatives Working Paper. Currently the FAA Orlando ADO does not have an environmental planner to conduct review of the submittals. As a result, we are concerned about the schedule for the completion of the EA review and approval process. The Airport and the consultant (AECOM) are working to get a meeting with current FAA staff to review and discuss the submittal, review, and approval schedule. Airport Recycling, Reuse and Waste Reduction Plan The final plan was completed on July 7, The plan documents current waste management practices and information associated with recycling, reuse and waste reduction and provides recommendations for increasing waste diversion at the Airport. It is understood and agreed by and between the parties that the premises hereby rented is being rented to the TENANT so that they, as the owner of the above identified aircraft, may be the subject of an active restoration or new project. B. The hangar is not to be used for any commercial activity. C. Tenant will use the premises and associated utilities only for the subject of an active restoration or new project and will allow no unlawful, improper or offensive use of the leased premises in violation of the OWNER'S Minimum Standards or T-Hangar End Unit Rules and Regulations as attached in Exhibit B. Once the aircraft restoration or new project is completed owner will have (if available) the opportunity to rent a T-hangar unit. D. TENANT may park his/her car in/on the Premises during such time that TENANT is using the aircraft. No other storage or activity shall be allowed. Storage of boats, campers or other non-aviation items on the premises may be allowed only with the written permission of the Executive Director. E. This provision is not to be construed as a prohibition for storage of maintenance materials, cleaning materials, tools, parts, spares and other aircraft components. F. TENANT will be responsible and liable for the conduct of its invitees in and around the Hangar.. G. TENANT will dispose of used oil only in approved receptacles. 5. CONDITION OF PREMISES A. The TENANT will keep the premises clean and free of debris at all times. B. The TENANT will make no structural, electrical or other modification to (including painting, wall and/or floor coverings) the premises. C. TENANT further agrees to be responsible for the custody of one (1) 20 pound ABC fire extinguisher assigned to the T-Hangar End Unit. TENANTs are responsible for the fire extinguisher assigned to their T-hangar End Unit. If the fire extinguisher is misplaced or lost it is the tenant's responsibility to pay for a replacement. There will be no impairment to the access of the fire extinguisher. D. On the termination of this Lease, by expiration or otherwise, TENANT agrees to surrender possession of the hangar end unit and will remove, at its sole expense, the aircraft and all other property there from, leaving the premises in the same condition as when received, normal wear and tear, damage by storm, fire, lightning or hurricane excepted. E. It is the responsibility of TENANT to report any damage, necessary repairs or maintenance to the T-Hangar End Unit to the OWNER immediately.

25 F. TENANT will be liable for any and all damage to the hangar end unit or to the hangar end unit premises caused by TENANT s use, including, but not limited to, bent or broken interior walls, damage due to fuel spillage or damage to doors due to TENANT s improper or negligent operation. When damage is due to the fault of the TENANT, he or she will reimburse OWNER for the cost of necessary repairs. G. No locks are to be replaced without permission of the CCAA. H. TENANT will be issued a key to allow access to their hangar end unit. The first key is issued at no charge. Additional or replacement keys shall be purchased for a non-refundable fee of $10.00 each. Upon termination of the lease, all keys issued to TENANT will be returned to the OWNER. If keys are not returned, a charge of $20.00 for a lock change will be initiated. If, during the duration of the lease, TENANT requests a lock change, there will be a charge of $20.00 for the lock and $10.00 per key, plus tax. 6. INSPECTION. The OWNER, or its agents, will have the right at any reasonable time during the term of this Rental Agreement, to enter the hangar end unit for the purpose of inspecting the premises and making any repairs or improvements thereon. TENANT will be notified by letter of any violations found during the inspection. TENANT will have ten (10) days from the date of the letter to rectify any problem. The OWNER will not, during the course of any such inspection, unreasonably interfere with TENANT s use and enjoyment of the premises. At a minimum, the premises will be inspected annually. 7. INDEMNIFICATION. The TENANT will indemnify and save the OWNER and the persons herein above designated from any judgment recovered by anyone for personal injury or property damage sustained or claimed to have been sustained by reason of the activities of the TENANT and the TENANT will pay all expenses in defending against any such claim made against the OWNER or any of the persons above enumerated 8. INSURANCE. All projects must have builders liability insurance with a minimum of $300, liability coverage for property damage and bodily injury. Bodily injury may be limited to $100, per person. All insurance companies must be authorized to do business in the State of Florida. Coverage must name the Charlotte County Airport Authority as an additional insured with ten (10) days notice of cancellation. The OWNER carries insurance to cover the building itself. It is the TENANT s responsibility to carry insurance on the aircraft and contents of the hangar. I have read and understand Article 8 in its entirety. Tenant 9. DISCLAIMER OF LIABILITY The OWNER hereby disclaims and TENANT hereby releases the OWNER from any and all liability, whether in contract or tort (including strict liability and negligence) for any loss, damage or injury of any nature whatsoever sustained by TENANT, its employees, agents or invitees during the term of this Lease, including, but not limited to, loss, damage or injury to the aircraft or other personal property of TENANT that may

26 be located or stored in the premises due to fire, flooding, hurricanes, tornados, Acts of God or any other natural disasters. 10. ASSIGNMENT/SUBLEASE. TENANT will not assign this T-Hangar End Unit Rental Agreement or grant any license to use the premises. Any aircraft in a hangar end unit that is not registered to the hangar owner without prior written permission of the Executive Director will be considered a sub lessee and the TENANT will be in violation of the lease agreement. I have read and understand Article 10 in its entirety. Tenant 11. TERMINATION. The OWNER or the TENANT may terminate this rental agreement upon giving a written notice at least fifteen (15) days prior to the next rental payment period. Failure of the TENANT to provide 15 days notice of termination will result in the obligation of the TENANT to pay the next month's rent in full. 12. NOTICE. In the event that it becomes necessary to enforce collection of rent or performance of the terms under which the TENANT is permitted to rent and occupy the premises as set forth above, the TENANT will be responsible for all costs of collection or enforcement including reasonable attorney's fees. 14. TAXES AND LEVIES LESSEE agrees and covenants to pay and discharge all taxes, assessments, levies and other charges, general and special, ordinary and extraordinary, of whatever name, nature and kind, which are or may be during said term levied, assessed, imposed and charged upon land or the premises hereby demised and leased or upon any building and improvement now thereon or rentals there from; and all of which may be levied, assessed, imposed or charged upon the leasehold estate hereby created and upon the reversionary estate in said premises during said term hereby granted. If at any time, during the term of this Lease, the present method of taxation or assessment shall be changed so that the whole or any part of the taxes, assessments, levies or charges now levied, assessed and imposed on the said real estate and improvements thereon, will be transferred to the rentals received from said real estate, the LESSEE agrees and covenants to pay such taxes and assessments, whether levied on in whole or in part, it being the intention of all parties hereto that the LESSOR will receive the rents reserved

27 herein without deduction of taxes and assessments, levied or charges, in respect to the real estate improved thereon. 15. RULES AND REGULATIONS. The TENANT will abide by and observe all of the rules and regulations attached hereto as Exhibit "B, "T-Hangar End Unit Rules and Regulations" and made a part hereof and of such other and further rules or regulations as may be adopted from time to time by the OWNER. 16. SECURITY The TENANT will abide by all rules and regulations imposed by the OWNER and its agents and staff and will comply with all directives issued. TENANT acknowledges that the FAA or Homeland Security or subdivision may enact laws or regulations regarding security at General Aviation Airports such that the OWNER may not be able to comply fully with its obligations under this Lease, and TENANT agrees that the OWNER will not be liable for any damages to TENANT or TENANT s personal property that may result from said noncompliance. Each hangar end unit tenant will be allowed gate access to their hangar end unit. Each tenant must provide evidence of aircraft ownership, partnership, club membership or spousal relationship to obtain a free gate pass. Additional or replacement cards for authorized individuals shall be purchased for a non-refundable fee of $ I have read and understand Article 16 in its entirety. Tenant 17. SPECIAL EVENTS/CLOSURES During special events at the Airport, TENANT acknowledges that the standard operation procedure at the Airport may be altered such that egress and ingress to the premises may be altered by the OWNER. OWNER will notify TENANT in writing of any special events or closures that will impede TENANT s use of the Premises. Tenant s failure to comply with the altered procedure is a default of this Lease, and the OWNER may proceed to terminate this Lease. During time of war or national emergency, the OWNER will have the right to enter into an agreement with the United States Government for military or naval use of part or all of the landing area, the publicly-owned air navigation facilities and/or other areas or facilities of the airport. If any such agreement is executed, the provisions of this instrument, insofar as they are inconsistent with provisions of the agreement with the Government, will be suspended. I have read and understand Article 17 in its entirety. Tenant 18. SEVERABILITY If a provision hereof will be finally declared void or illegal by any court or administrative agency having jurisdiction over the parties to this Lease, the entire Lease will not be void, but the remaining provisions will continue in effect as nearly as possible in accordance with the original intent of the parties.

29 EXHIBIT B T-HANGAR END UNIT RULES AND REGULATIONS 1. All vehicles will be parked in areas so as not to block TAXIWAYS, HANGAR DOORS or restrict movement of any aircraft. 2. Speed limit on T-Hangar ramp will not exceed 10 M.P.H. for vehicular traffic. 3. All aircraft will observe prudent taxi speeds in accordance with current FAA guidelines or directives. 4. TENANT vehicles may not enter any RUNWAY, TAXIWAY or SAFETY AREA. Please be aware of your location at all times and limit the amount of driving you must do on the aprons and ramp areas to an absolute minimum. No tenants are permitted to operate their vehicles on the main ramp area. 5. TENANT will keep his T-Hangar End Unit clean at all times and it will be subject to inspection by the airport personnel. If any fire or accident hazards are discovered, TENANT will be so informed and TENANT will, within ten (10) days of this notice, correct the problem. Each tenant is authorized to store one (1) five (5) gallon container of gasoline. The gasoline container must be an approved safety container. Tenants having more than six (6) containers (not to exceed 1 quart each) of flammable material must store the material in an approved fire safety cabinet. 6. T-Hangar End Units are for the active restoration or new project of aircraft. Major aircraft repairs and painting therein is prohibited. Storage of boats, campers, or other non-aviation items may only be allowed with the written permission of the Executive Director. 7. While projects may be authorized, welding, spray painting, power sanding, or the generation of any nuisance (dust etc.) or other hazard to the T-hangar building or other tenant is prohibited. Engine major overhauls and fuel system drainage are prohibited in the hangar. 8. Kerosene or gas fired heaters or any type of open flame heater or apparatus are prohibited. 9. No partitions shall be removed nor any structural changes made in the hangar end unit. No changes may be made to the T-Hangar End Unit electrical or water systems. 10. Locks are furnished with each hangar. These locks will not be replaced or removed. 11. Aircraft engines are not to be started or run inside T-Hangars for any reason at any time. 12. Airport facilities and resources are for aircraft use only. The washing or maintenance of cars, trucks, boats or other mechanical apparatus is prohibited. 13. The creation of any environmentally hazardous condition is prohibited. 14. In accordance with NFPA 70, Article (C) Special Equipment, aircraft energizers will be designed and mounted so that all electric equipment and fixed wiring will be at least 18 in. above floor level including, but not limited to, refrigerators and fans.

Failure to receive the statement in a timely manner does not absolve TENANT from making rental payment on the first of each month. There will be an extra charge of $30.00 on any check returned by the bank for insufficient funds or account not existing. Any rental payment not received within ten (10) days of its due date will carry an additional charge of 1.5% as a late penalty fee.

31 4. USES OF PREMISES: A. It is understood and agreed by and between the parties that the premises hereby rented is being rented to the TENANT so that they, as the registered owner of the above identified aircraft, may store the same therein. A copy of the FAA registration and Bill of Sale must be provided to OWNER before occupying the premises. Said aircraft must either be maintained as airworthy in accordance with FAA regulations or be the subject of an active restoration or new project. The aircraft will not be derelict. B. The hangar is not to be used for any commercial activity. C. Tenant will use the premises and associated utilities only for the storage and operation of aircraft and will allow no unlawful, improper or offensive use of the leased premises in violation of the OWNER'S Minimum Standards or T-Hangar Rule and Regulations as attached in Exhibit B. If the above aircraft should be sold, the tenant will have six (6) months to replace the aircraft. This time line may be extended at the Executive Director s discretion. Under no circumstances does the sale of the aircraft imply that the hangar is passed on to the new owner. D. TENANT may park his/her car in/on the Premises during such time that TENANT is using the aircraft. Storage of boats, campers or other non-aviation items on the premises may be allowed only with the written permission of the Executive Director. E. This provision is not to be construed as a prohibition for storage of maintenance materials, cleaning materials, tools, parts, spares and other aircraft components. F. TENANT will be responsible and liable for the conduct of its invitees in and around the Hangar.. G. TENANT will dispose of used oil only in approved receptacles. 5. CONDITION OF PREMISES A. The TENANT will keep the premises clean and free of debris at all times. B. The TENANT will make no structural, electrical or other modification to (including painting, wall and/or floor coverings) the premises without first obtaining the OWNER s express written consent and obtaining Charlotte County permit(s) as required. Any and all repairs, maintenance, improvements or alterations made by TENANT will be accomplished in accordance with the Charlotte County Fire Codes. All fixtures installed and improvements made to the Hangar will become the property of the OWNER and will remain in the Hangar at the termination of this Agreement without compensation or payment to the TENANT. C. TENANT further agrees to be responsible for the custody of one (1) 20 pound ABC fire extinguisher assigned to the T-Hangar Unit. TENANTs are responsible for the fire extinguisher assigned to their T-hangar bay. If the fire extinguisher is

32 misplaced or lost it is the tenant's responsibility to pay for a replacement. There will be no impairment to the access of the fire extinguisher. D. On the termination of this Lease, by expiration or otherwise, TENANT agrees to surrender possession of the hangar and will remove, at its sole expense, the aircraft and all other property there from, leaving the premises in the same condition as when received, normal wear and tear, damage by storm, fire, lightning or hurricane excepted. E. It is the responsibility of TENANT to report any damage, necessary repairs or maintenance to the T-Hangar to the OWNER immediately. F. TENANT will be liable for any and all damage to the hangar or to the hangar premises caused by TENANT s use, including, but not limited to, bent or broken interior walls, damage due to fuel spillage or damage to doors due to TENANT s improper or negligent operation. When damage is due to the fault of the TENANT, he or she will reimburse OWNER for the cost of necessary repairs. G. No locks are to be replaced without permission of the CCAA. H. TENANT will be issued a key to allow access to their hangar. The first key is issued at no charge. Additional or replacement keys shall be purchased for a nonrefundable fee of $10.00 each. Upon termination of the lease, all keys issued to TENANT will be returned to the OWNER. If keys are not returned, a charge of $20.00 for a lock change will be initiated. If, during the duration of the lease, TENANT requests a lock change, there will be a charge of $20.00 for the lock and $10.00 per key, plus tax. 6. INSPECTION. The OWNER, or its agents, will have the right at any reasonable time during the term of this Rental Agreement, to enter the hangar for the purpose of inspecting the premises and making any repairs or improvements thereon. TENANT will be notified by letter of any violations found during the inspection. TENANT will have ten (10) days from the date of the letter to rectify any problem. The OWNER will not, during the course of any such inspection, unreasonably interfere with TENANT s use and enjoyment of the premises. At a minimum, the premises will be inspected annually. 7. INDEMNIFICATION. The TENANT will indemnify and save the OWNER and the persons herein above designated from any judgment recovered by anyone for personal injury or property damage sustained or claimed to have been sustained by reason of the activities of the TENANT and the TENANT will pay all expenses in defending against any such claim made against the OWNER or any of the persons above enumerated 8. INSURANCE Tenants with aircraft projects must have prior written authorization from the airport Executive Director to begin work on the project. All projects must have builders liability insurance with a minimum of $300, liability coverage for property damage and bodily injury. Bodily injury may be limited to $100, per person. All insurance companies must be authorized to do business in the State of Florida. Coverage must name the Charlotte County Airport Authority as an additional insured with ten (10) days notice of cancellation.

33 The OWNER carries insurance to cover the building itself. It is the TENANT s responsibility to carry insurance on the aircraft and contents of the hangar. I have read and understand Article 8 in its entirety. Tenant 9. DISCLAIMER OF LIABILITY The OWNER hereby disclaims and TENANT hereby releases the OWNER from any and all liability, whether in contract or tort (including strict liability and negligence) for any loss, damage or injury of any nature whatsoever sustained by TENANT, its employees, agents or invitees during the term of this Lease, including, but not limited to, loss, damage or injury to the aircraft or other personal property of TENANT that may be located or stored in the premises due to fire, flooding, hurricanes, tornados, Acts of God or any other natural disasters. 10. ASSIGNMENT/SUBLEASE. TENANT will not assign this Rental Agreement or grant any license to use the premises. Subleases may be authorized for aircraft only. The Executive Director s authorization for sublease must be in writing. Subleases may also be authorized where multiple aircraft may fit. Subtenant must sign a subtenant lease with the CCAA. Under all sublease arrangements the primary tenant is responsible for payment of the rent. The OWNER will give first opportunity for subleases to those individuals or entities on the OWNER s Waiting List. Any aircraft in a hangar that is not registered to the hangar owner without prior written permission of the Executive Director will be considered a sub lessee and the TENANT will be in violation of the lease agreement. I have read and understand Article 10 in its entirety. Tenant 11. TERMINATION. The OWNER or the TENANT may terminate this rental arrangement upon giving a written notice at least fifteen (15) days prior to the next rental payment period. Failure of the TENANT to provide 15 days notice of termination will result in the obligation of the TENANT to pay the next month's rent in full. 12. NOTICE. Any notice for which provision is made in this Lease will be in writing and may be given by either party to the other and will be deemed to have been duly given only if delivered personally or sent by registered or certified mail in a postpaid envelope addressed, if the TENANT, at the address as listed on page 1 of this Lease or if to the OWNER, at: CHARLOTTE COUNTY AIRPORT AUTHORITY A-1 Airport Road Punta Gorda, FL or, to either at such other address as the TENANT or the OWNER, respectively, may designate in writing. Notice will be deemed to have been duly given, if delivered personally, on delivery thereof, and if by mail, on the third day after the mailing thereof.

34 13. ENFORCEMENT. In the event that it becomes necessary to enforce collection of rent or performance of the terms under which the TENANT is permitted to rent and occupy the premises as set forth above, the TENANT will be responsible for all costs of collection or enforcement including reasonable attorney's fees. 14. TAXES AND LEVIES LESSEE agrees and covenants to pay and discharge all taxes, assessments, levies and other charges, general and special, ordinary and extraordinary, of whatever name, nature and kind, which are or may be during said term levied, assessed, imposed and charged upon land or the premises hereby demised and leased or upon any building and improvement now thereon or rentals there from; and all of which may be levied, assessed, imposed or charged upon the leasehold estate hereby created and upon the reversionary estate in said premises during said term hereby granted. If at any time, during the term of this Lease, the present method of taxation or assessment shall be changed so that the whole or any part of the taxes, assessments, levies or charges now levied, assessed and imposed on the said real estate and improvements thereon, will be transferred to the rentals received from said real estate, the LESSEE agrees and covenants to pay such taxes and assessments, whether levied on in whole or in part, it being the intention of all parties hereto that the LESSOR will receive the rents reserved herein without deduction of taxes and assessments, levied or charges, in respect to the real estate improved thereon. 15. RULES AND REGULATIONS. The TENANT will abide by and observe all of the rules and regulations attached hereto as Exhibit "B, "T-Hangar Rules and Regulations" and made a part hereof and of such other and further rules or regulations as may be adopted from time to time by the OWNER. 16. SECURITY The TENANT will abide by all rules and regulations imposed by the OWNER and its agents and staff and will comply with all directives issued. TENANT acknowledges that the FAA or Homeland Security or subdivision may enact laws or regulations regarding security at General Aviation Airports such that the OWNER may not be able to comply fully with its obligations under this Lease, and TENANT agrees that the OWNER will not be liable for any damages to TENANT or TENANT s personal property that may result from said noncompliance. Each hangar tenant will be allowed gate access to their hangar. Each tenant must provide evidence of aircraft ownership, partnership, club membership or spousal relationship to obtain a free gate pass. Additional or replacement cards for authorized individuals shall be purchased for a non-refundable fee of $ I have read and understand Article 16 in its entirety. Tenant 17. SPECIAL EVENTS/CLOSURES During special events at the Airport, TENANT acknowledges that the standard operation procedure at the Airport may be altered such that egress and ingress to the premises may be altered by the OWNER. OWNER will notify TENANT in writing of any special events or closures that will impede TENANT s use of the

35 Premises. Tenant s failure to comply with the altered procedure is a default of this Lease, and the OWNER may proceed to terminate this Lease. During time of war or national emergency, the OWNER will have the right to enter into an agreement with the United States Government for military or naval use of part or all of the landing area, the publicly-owned air navigation facilities and/or other areas or facilities of the airport. If any such agreement is executed, the provisions of this instrument, insofar as they are inconsistent with provisions of the agreement with the Government, will be suspended. I have read and understand Article 17 in its entirety. Tenant 18. SEVERABILITY If a provision hereof will be finally declared void or illegal by any court or administrative agency having jurisdiction over the parties to this Lease, the entire Lease will not be void, but the remaining provisions will continue in effect as nearly as possible in accordance with the original intent of the parties. 19. INTEGRATION This Lease constitutes the entire agreement between the parties, and as of its effective date supersedes all prior independent agreements between the parties related to the leasing of the Premises. Any change or modification hereof must be in writing and signed by both parties. 36 EXHIBIT B T-HANGAR RULES AND REGULATIONS 1. All vehicles will be parked in areas so as not to block TAXIWAYS, HANGAR DOORS or restrict movement of any aircraft. 2. Speed limit on T-Hangar ramp will not exceed 10 M.P.H. for vehicular traffic. 3. All aircraft will observe prudent taxi speeds in accordance with current FAA guidelines or directives. 4. TENANT vehicles may not enter any RUNWAY, TAXIWAY or SAFETY AREA. Please be aware of your location at all times and limit the amount of driving you must do on the aprons and ramp areas to an absolute minimum. No tenants are permitted to operate their vehicles on the main ramp area. 5. TENANT will keep his T-Hangar clean at all times and it will be subject to inspection by the airport personnel. If any fire or accident hazards are discovered, TENANT will be so informed and TENANT will, within ten (10) days of this notice, correct the problem. Each tenant is authorized to store one (1) five (5) gallon container of gasoline. The gasoline container must be an approved safety container. Tenants having more than six (6) containers (not to exceed 1 quart each) of flammable material must store the material in an approved fire safety cabinet. 6. T-Hangars are for storage of aircraft. Major aircraft repairs and painting therein is prohibited. Storage of boats, campers, or other non-aviation items may only be allowed with the written permission of the Executive Director. The aircraft owner's automobile may be parked in the hangar while the aircraft is being flown. 7. TENANT is permitted to perform those repairs and/or maintenance, which the tenant is FAA certified to complete under Federal Air Regulations, Part 43. Any other aircraft maintenance performed on the tenant s aircraft or in the tenant s T-Hangar must be completed by an OWNER approved aircraft mechanic. While projects may be authorized, welding, spray painting, power sanding, or the generation of any nuisance (dust etc.) or other hazard to the T- hangar building or other tenant is prohibited. Engine major overhauls and fuel system drainage are prohibited in the hangar. 8. Kerosene or gas fired heaters or any type of open flame heater or apparatus are prohibited. 9. No partitions shall be removed nor any structural changes made in the hangar without written permission from the Airport Authority. No changes may be made to the T-Hangar electrical or water systems. 10. Locks are furnished with each hangar. These locks will not be replaced or removed.

44 T-HANGAR RULES AND REGULATIONS 1. All vehicles will be parked in areas so as not to block TAXIWAYS, HANGAR DOORS or restrict movement of any aircraft. 2. Speed limit on T-Hangar ramp will not exceed 10 M.P.H. for vehicular traffic. 3. All aircraft will observe prudent taxi speeds in accordance with current FAA guidelines or directives. 4. TENANT vehicles may not enter any RUNWAY, TAXIWAY or SAFETY AREA. Please be aware of your location at all times and limit the amount of driving you must do on the aprons and ramp areas to an absolute minimum. No tenants are permitted to operate their vehicles on the main ramp area. 5. TENANT will keep his T-Hangar clean at all times and it will be subject to inspection by the airport personnel. If any fire or accident hazards are discovered, TENANT will be so informed and TENANT will, within ten (10) days of this notice, correct the problem. Each tenant is authorized to store one (1) five (5) gallon container of gasoline. The gasoline container must be an approved safety container. Tenants having more than six (6) containers (not to exceed 1 quart each) of flammable material must store the material in an approved fire safety cabinet. 6. T-Hangars are for storage of aircraft. Major aircraft repairs and painting therein is prohibited. Storage of boats, campers, or other non-aviation items may only be allowed with the written permission of the Executive Director. The aircraft owner's automobile may be parked in the hangar while the aircraft is being flown. 7. TENANT is permitted to perform those repairs and/or maintenance, which the tenant is FAA certified to complete under Federal Air Regulations, Part 43. Any other aircraft maintenance performed on the tenant s aircraft or in the tenant s T-Hangar must be completed by an OWNER approved aircraft mechanic. While projects may be authorized, welding, spray painting, power sanding, or the generation of any nuisance (dust etc.) or other hazard to the T- hangar building or other tenant is prohibited. Engine major overhauls and fuel system drainage are prohibited in the hangar. 8. Kerosene or gas fired heaters or any type of open flame heater or apparatus are prohibited. 9. No partitions shall be removed nor any structural changes made in the hangar without written permission from the Airport Authority. No changes may be made to the T-Hangar electrical or water systems. 10. Locks are furnished with each hangar. These locks will not be replaced or removed. time. 11. Aircraft engines are not to be started or run inside T-Hangars for any reason at any

45 12. Airport facilities and resources are for aircraft use only. The washing or maintenance of cars, trucks, boats or other mechanical apparatus is prohibited. 13. The creation of any environmentally hazardous condition is prohibited. 14. In accordance with NFPA 70, Article (C) Special Equipment, aircraft energizers will be designed and mounted so that all electric equipment and fixed wiring will be at least 18 in. above floor level including, but not limited to, refrigerators and fans.

The term of this Rental Agreement will commence on the day of 2015and will continue in effect on a month to month basis, being automatically renewed each month unless terminated by either party upon due notice. (Due to the age of these hangars, it is difficult and cost prohibitive to find the motors and/or the parts needed to fix the doors when they are in need of repair. The CCAA will no longer repair these doors. Should a repair be needed to the motor on the door to Hangar, TENANT will relocate to another hangar on the field at the replacement hangar s current rent rate.) 3. RENT. Pri or to occupying the T-Hangar, TENANT will deposit with the OWNER, a sum equal to the first month s rent (prorated)$ and last $ month's rent (sales tax included) plus an amount equal to one month's rent as a security deposit $ All subsequent rental payments will be due in advance on the first of each calendar month thereafter. OWNER will mail a courtesy statement on or about the first of each month. Failure to receive the statement in a timely manner does not absolve TENANT from making rental payment on the first of each month. There will be an extra charge of $30.00 on any check returned by the bank for insufficient funds or account not existing. Any rental payment not

47 received within ten (10) days of its due date will carry an additional charge of 1.5% as a late penalty fee. 4. USES OF PREMISES: A. It is understood and agreed by and between the parties that the premises hereby rented is being rented to the TENANT so that they, as the registered owner of the above identified aircraft, may store the same therein. A copy of the FAA registration and Bill of Sale must be provided to OWNER before occupying the premises. Said aircraft must either be maintained as airworthy in accordance with FAA regulations or be the subject of an active restoration or new project. The aircraft will not be derelict. B. The hangar is not to be used for any commercial activity. C. Tenant will use the premises and associated utilities only for the storage and operation of aircraft and will allow no unlawful, improper or offensive use of the leased premises in violation of the OWNER'S Minimum Standards or T-Hangar Rule and Regulations as attached in Exhibit B. If the above aircraft should be sold, the tenant will have six (6) months to replace the aircraft. This time line may be extended at the Executive Director s discretion. Under no circumstances does the sale of the aircraft imply that the hangar is passed on to the new owner. D. TENANT may park his/her car in/on the Premises during such time that TENANT is using the aircraft. Storage of boats, campers or other non-aviation items on the premises may be allowed only with the written permission of the Executive Director. E. This provision is not to be construed as a prohibition for storage of maintenance materials, cleaning materials, tools, parts, spares and other aircraft components. F. TENANT will be responsible and liable for the conduct of its invitees in and around the Hangar. G. TENANT will dispose of used oil only in approved receptacles.. 5. CONDITION OF PREMISES A. The TENANT will keep the premises clean and free of debris at all times. B. The TENANT will make no structural, electrical or other modification to (including painting, wall and/or floor coverings) the premises without first obtaining the OWNER s express written consent and obtaining Charlotte County permit(s) as required. Any and all repairs, maintenance, improvements or alterations made by TENANT will be accomplished in accordance with the Charlotte County Fire Codes. All fixtures installed and improvements made to the Hangar will become the property of the OWNER and will remain in the Hangar at the termination of this Agreement without compensation or payment to the TENANT.

48 C. TENANT further agrees to be responsible for the custody of one (1) 20 pound ABC fire extinguisher assigned to the T-Hangar Unit. TENANTs are responsible for the fire extinguisher assigned to their T-hangar bay. If the fire extinguisher is misplaced or lost it is the tenant's responsibility to pay for a replacement. There will be no impairment to the access of the fire extinguisher. D. On the termination of this Lease, by expiration or otherwise, TENANT agrees to surrender possession of the hangar and will remove, at its sole expense, the aircraft and all other property there from, leaving the premises in the same condition as when received, normal wear and tear, damage by storm, fire, lightning or hurricane excepted. E. It is the responsibility of TENANT to report any damage, necessary repairs or maintenance to the T-Hangar to the OWNER immediately. F. TENANT will be liable for any and all damage to the hangar or to the hangar premises caused by TENANT s use, including, but not limited to, bent or broken interior walls, damage due to fuel spillage or damage to doors due to TENANT s improper or negligent operation. When damage is due to the fault of the TENANT, he or she will reimburse OWNER for the cost of necessary repairs. G. No locks are to be replaced without permission of the CCAA. H. TENANT will be issued a key to allow access to their hangar. The first key is issued at no charge. Additional or replacement keys shall be purchased for a nonrefundable fee of $10.00 each. Upon termination of the lease, all keys issued to TENANT will be returned to the OWNER. If keys are not returned, a charge of $20.00 for a lock change will be initiated. If, during the duration of the lease, TENANT requests a lock change, there will be a charge of $20.00 for the lock and $10.00 per key, plus tax. 6. INSPECTION. The OWNER, or its agents, will have the right at any reasonable time during the term of this Rental Agreement, to enter the hangar for the purpose of inspecting the premises and making any repairs or improvements thereon. TENANT will be notified by letter of any violations found during the inspection. TENANT will have ten (10) days from the date of the letter to rectify any problem. The OWNER will not, during the course of any such inspection, unreasonably interfere with TENANT s use and enjoyment of the premises. At a minimum, the premises will be inspected annually. 7. INDEMNIFICATION. The TENANT will indemnify and save the OWNER and the persons herein above designated from any judgment recovered by anyone for personal injury or property damage sustained or claimed to have been sustained by reason of the activities of the TENANT and the TENANT will pay all expenses in defending against any such claim made against the OWNER or any of the persons above enumerated

49 8. INSURANCE Tenants with aircraft projects must have prior written authorization from the airport Executive Director to begin work on the project. All projects must have builders liability insurance with a minimum of $300, liability coverage for property damage and bodily injury. Bodily injury may be limited to $100, per person. All insurance companies must be authorized to do business in the State of Florida. Coverage must name the Charlotte County Airport Authority as an additional insured with ten (10) days notice of cancellation. The OWNER carries insurance to cover the building itself. It is the TENANT s responsibility to carry insurance on the aircraft and contents of the hangar. I have read and understand Article 8 in its entirety. Tenant 9. DISCLAIMER OF LIABILITY The OWNER hereby disclaims and TENANT hereby releases the OWNER from any and all liability, whether in contract or tort (including strict liability and negligence) for any loss, damage or injury of any nature whatsoever sustained by TENANT, its employees, agents or invitees during the term of this Lease, including, but not limited to, loss, damage or injury to the aircraft or other personal property of TENANT that may be located or stored in the premises due to fire, flooding, hurricanes, tornados, Acts of God or any other natural disasters. 10. ASSIGNMENT/SUBLEASE. TENANT will not assign this Rental Agreement or grant any license to use the premises. Subleases may be authorized for aircraft only. The Executive Director s authorization for sublease must be in writing. Subleases may also be authorized where multiple aircraft may fit. Subtenant must sign a subtenant lease with the CCAA. Under all sublease arrangements the primary tenant is responsible for payment of the rent. The OWNER will give first opportunity for subleases to those individuals or entities on the OWNER s Waiting List. Any aircraft in a hangar that is not registered to the hangar owner without prior written permission of the Executive Director will be considered a sub lessee and the TENANT will be in violation of the lease agreement. I have read and understand Article 10 in its entirety. Tenant 11. TERMINATION. The OWNER or the TENANT may terminate this rental arrangement upon giving a written notice at least fifteen (15) days prior to the next rental payment period. Failure of the TENANT to provide 15 days notice of termination will result in the obligation of the TENANT to pay the next month's rent in full.

50 12. NOTICE. Any notice for which provision is made in this Lease will be in writing and may be given by either party to the other and will be deemed to have been duly given only if delivered personally or sent by registered or certified mail in a postpaid envelope addressed, if the TENANT, at the address as listed on page 1 of this Lease or if to the OWNER, at: CHARLOTTE COUNTY AIRPORT AUTHORITY A-1 Airport Road Punta Gorda, FL or, to either at such other address as the TENANT or the OWNER, respectively, may designate in writing. Notice will be deemed to have been duly given, if delivered personally, on delivery thereof, and if by mail, on the third day after the mailing thereof. 13. ENFORCEMENT. In the event that it becomes necessary to enforce collection of rent or performance of the terms under which the TENANT is permitted to rent and occupy the premises as set forth above, the TENANT will be responsible for all costs of collection or enforcement including reasonable attorney's fees. 14. TAXES AND LEVIES LESSEE agrees and covenants to pay and discharge all taxes, assessments, levies and other charges, general and special, ordinary and extraordinary, of whatever name, nature and kind, which are or may be during said term levied, assessed, imposed and charged upon land or the premises hereby demised and leased or upon any building and improvement now thereon or rentals there from; and all of which may be levied, assessed, imposed or charged upon the leasehold estate hereby created and upon the reversionary estate in said premises during said term hereby granted. If at any time, during the term of this Lease, the present method of taxation or assessment shall be changed so that the whole or any part of the taxes, assessments, levies or charges now levied, assessed and imposed on the said real estate and improvements thereon, will be transferred to the rentals received from said real estate, the LESSEE agrees and covenants to pay such taxes and assessments, whether levied on in whole or in part, it being the intention of all parties hereto that the LESSOR will receive the rents reserved herein without deduction of taxes and assessments, levied or charges, in respect to the real estate improved thereon. 15. RULES AND REGULATIONS. The TENANT will abide by and observe all of the rules and regulations attached hereto as Exhibit "B, "T-Hangar Rules and Regulations" and made a part hereof and of such other and further rules or regulations as may be adopted from time to time by the OWNER. 16. SECURITY The TENANT will abide by all rules and regulations imposed by the OWNER and its agents and staff and will comply with all directives issued. TENANT acknowledges that the FAA or Homeland Security or subdivision may enact laws or regulations regarding security at General Aviation Airports such that the OWNER may not be able to comply fully with its obligations under this Lease, and TENANT agrees that the OWNER will

51 not be liable for any damages to TENANT or TENANT s personal property that may result from said noncompliance. Each hangar tenant will be allowed gate access to their hangar. Each tenant must provide evidence of aircraft ownership, partnership, club membership or spousal relationship to obtain a free gate pass. Additional or replacement cards for authorized individuals shall be purchased for a non-refundable fee of $ I have read and understand Article 16 in its entirety. Tenant 17. SPECIAL EVENTS/CLOSURES During special events at the Airport, TENANT acknowledges that the standard operation procedure at the Airport may be altered such that egress and ingress to the premises may be altered by the OWNER. OWNER will notify TENANT in writing of any special events or closures that will impede TENANT s use of the Premises. Tenant s failure to comply with the altered procedure is a default of this Lease, and the OWNER may proceed to terminate this Lease. During time of war or national emergency, the OWNER will have the right to enter into an agreement with the United States Government for military or naval use of part or all of the landing area, the publicly-owned air navigation facilities and/or other areas or facilities of the airport. If any such agreement is executed, the provisions of this instrument, insofar as they are inconsistent with provisions of the agreement with the Government, will be suspended. I have read and understand Article 17 in its entirety. Tenant 18. SEVERABILITY If a provision hereof will be finally declared void or illegal by any court or administrative agency having jurisdiction over the parties to this Lease, the entire Lease will not be void, but the remaining provisions will continue in effect as nearly as possible in accordance with the original intent of the parties. 19. INTEGRATION This Lease constitutes the entire agreement between the parties, and as of its effective date supersedes all prior independent agreements between the parties related to the leasing of the Premises. Any change or modification hereof must be in writing and signed by both parties.

The OWNER will give first opportunity for subleases to those individuals or entities on the OWNER s Waiting List. Any aircraft in a hangar that is not registered to the hangar owner without prior written permission of the Executive Director will be considered a sub lessee and the TENANT will be in violation of the lease agreement. The OWNER or the TENANT may terminate this rental arrangement upon giving a written notice at least fifteen (15) days prior to the next rental payment period. Failure of the TENANT to provide 15 days notice of termination will result in the obligation of the TENANT to pay the next month's rent in full. 12. NOTICE. Any notice for which provision is made in this Lease will be in writing and may be given by either party to the other and will be deemed to have been duly given only if delivered personally or sent by registered or certified mail in a postpaid envelope addressed, if the TENANT, at the address as listed on page 1 of this Lease or if to the OWNER, at:

Notice will be deemed to have been duly given, if delivered personally, on delivery thereof, and if by mail, on the third day after the mailing thereof. 13. ENFORCEMENT. In the event that it becomes necessary to enforce collection of rent or performance of the terms under which the TENANT is permitted to rent and occupy the premises as set forth above, the TENANT will be responsible for all costs of collection or enforcement including reasonable attorney's fees. 14. TAXES AND LEVIES LESSEE agrees and covenants to pay and discharge all taxes, assessments, levies and other charges, general and special, ordinary and extraordinary, of whatever name, nature and kind, which are or may be during said term levied, assessed, imposed and charged upon land or the premises hereby demised and leased or upon any building and improvement now thereon or rentals therefrom; and all of which may be levied, assessed, imposed or charged upon the leasehold estate hereby created and upon the reversionary estate in said premises during said term hereby granted. If at any time, during the term of this Lease, the present method of taxation or assessment shall be changed so that the whole or any part of the taxes, assessments, levies or charges now levied, assessed and imposed on the said real estate and improvements thereon, will be transferred to the rentals received from said real estate, the LESSEE agrees and covenants to pay such taxes and assessments, whether levied on in whole or in part, it being the intention of all parties hereto that the LESSOR will receive the rents reserved herein without deduction of taxes and assessments, levied or charges, in respect to the real estate improved thereon. 15. RULES AND REGULATIONS. The TENANT will abide by and observe all of the rules and regulations attached hereto as Exhibit "B, "T-Hangar Rules and Regulations" and made a part hereof and of such other and further rules or regulations as may be adopted from time to time by the OWNER. 16. SECURITY The TENANT will abide by all rules and regulations imposed by the OWNER and its agents and staff and will comply with all directives issued. TENANT acknowledges that the FAA or Homeland Security or subdivision may enact laws or regulations regarding security at General Aviation Airports such that the OWNER may not be able to comply fully with its obligations under this Lease, and TENANT agrees that the OWNER will not be liable for any damages to TENANT or TENANT s personal property that may result from said noncompliance. Each hangar tenant will be allowed gate access to their hangar. Each tenant must provide evidence of aircraft ownership, partnership, club membership or spousal relationship to obtain a free gate pass. Additional or replacement cards for authorized individuals shall be purchased for a non-refundable fee of $25.00.

60 I have read and understand Article 16 in its entirety. Co-Tenant Tenant 17. SPECIAL EVENTS/CLOSURES During special events at the Airport, TENANT acknowledges that the standard operation procedure at the Airport may be altered such that egress and ingress to the premises may be altered by the OWNER. OWNER will notify TENANT in writing of any special events or closures that will impede TENANT s use of the Premises. Tenant s failure to comply with the altered procedure is a default of this Lease, and the OWNER may proceed to terminate this Lease. During time of war or national emergency, the OWNER will have the right to enter into an agreement with the United States Government for military or naval use of part or all of the landing area, the publicly-owned air navigation facilities and/or other areas or facilities of the airport. If any such agreement is executed, the provisions of this instrument, insofar as they are inconsistent with provisions of the agreement with the Government, will be suspended. SEVERABILITY If a provision hereof will be finally declared void or illegal by any court or administrative agency having jurisdiction over the parties to this Lease, the entire Lease will not be void, but the remaining provisions will continue in effect as nearly as possible in accordance with the original intent of the parties. 19. INTEGRATION This Lease constitutes the entire agreement between the parties, and as of its effective date supersedes all prior independent agreements between the parties related to the leasing of the Premises. Any change or modification hereof must be in writing and signed by both parties.

62 EXHIBIT B T-HANGAR RULES AND REGULATIONS 1. All vehicles will be parked in areas so as not to block TAXIWAYS, HANGAR DOORS or restrict movement of any aircraft. 2. Speed limit on T-Hangar ramp will not exceed 10 M.P.H. for vehicular traffic. 3. All aircraft will observe prudent taxi speeds in accordance with current FAA guidelines or directives. 4. TENANT vehicles may not enter any RUNWAY, TAXIWAY or SAFETY AREA. Please be aware of your location at all times and limit the amount of driving you must do on the aprons and ramp areas to an absolute minimum. No tenants are permitted to operate their vehicles on the main ramp area. 5. TENANT will keep his T-Hangar clean at all times and it will be subject to inspection by the airport personnel. If any fire or accident hazards are discovered, TENANT will be so informed and TENANT will, within ten (10) days of this notice, correct the problem. Each tenant is authorized to store one (1) five (5) gallon container of gasoline. The gasoline container must be an approved safety container. Tenants having more than six (6) containers (not to exceed 1 quart each) of flammable material must store the material in an approved fire safety cabinet. 6. T-Hangars are for storage of aircraft. Major aircraft repairs and painting therein is prohibited. Storage of boats, campers, or other non-aviation items may only be allowed with the written permission of the Executive Director. The aircraft owner's automobile may be parked in the hangar while the aircraft is being flown. 7. TENANT is permitted to perform those repairs and/or maintenance, which the tenant is FAA certified to complete under Federal Air Regulations, Part 43. Any other aircraft maintenance performed on the tenant s aircraft or in the tenant s T-Hangar must be completed by an OWNER approved aircraft mechanic. While projects may be authorized, welding, spray painting, power sanding, or the generation of any nuisance (dust etc.) or other hazard to the T- hangar building or other tenant is prohibited. Engine major overhauls and fuel system drainage are prohibited in the hangar. 8. Kerosene or gas fired heaters or any type of open flame heater or apparatus are prohibited. 9. No partitions shall be removed nor any structural changes made in the hangar without written permission from the Airport Authority. No changes may be made to the T-Hangar electrical or water systems. 10. Locks are furnished with each hangar. These locks will not be replaced or removed.

64 T-HANGAR SUBLEASE AGREEMENT THIS RENTAL AGREEMENT made and entered into at Punta Gorda, Charlotte County, Florida this day of, 2017 by and between the CHARLOTTE COUNTY AIRPORT AUTHORITY, herein referred to as "OWNER" and, hereinafter referred to as "SUB-TENANT". The parties agree as follows: W I T N E S S E T H 1. PREMISES. The OWNER hereby leases to the SUB-TENANT the real property in Charlotte County, Florida, described as T-Hangar Unit No., located at the Charlotte County Airport, Punta Gorda, Florida. 2. TERM. The term of this Sublease Agreement shall commence on the day of 2017, and shall continue until terminated by either party upon due notice, not to exceed six months. 3. RENT. The T-Hangar rent is the obligation of the PRIMARY T-Hangar tenant and must be billed accordingly. The primary T-Hangar tenant may not charge more for T-Hangar rent than the primary T-Hangar tenant is being charged by the CCAA. 4. USE OF PREMISES: It is understood and agreed by and between the parties that the premises hereby rented is being rented to the SUB-TENANT so that they, as the registered owner of the following identified aircraft, may store the same therein: Aircraft Identification Number: Aircraft Make and Model: The SUB-TENANT will use the premises and associated utilities only for the storage and operation of aircraft and will allow no unlawful, improper or offensive use of the leased premises in violation of the OWNER'S Minimum Standards or T-Hangar Rule and Regulations as attached in Exhibit B. 5. CONDITION OF PREMISES. The SUB-TENANT shall take good care of the premises and the premises shall not be altered, repaired or changed without the written consent of the OWNER. The SUB-TENANT further agrees to be responsible for the custody of one (1) 20-pound ABC fire extinguisher assigned to the T-Hangar Unit. SUB-TENANTS are responsible for the fire extinguisher assigned to their T-hangar bay. If the fire extinguisher is misplaced or lost it is the SUB-TENANT's responsibility to pay for a replacement SUB-TENANT agrees to return said premises to OWNER at the expiration of this lease in as good condition and repair as when first received, normal wear and tear, damage by storm, fire or lightning excepted. It is the responsibility of SUB-TENANT to report any damage or necessary repairs, or maintenance to

65 the T-Hangar to the OWNER immediately and when the fault of the SUB-TENANT, will reimburse OWNER for the cost of necessary repairs. 6. INSPECTION. The OWNER, or his agent, shall have the right at any reasonable time, during the term of this Rental Agreement, to enter the premises for the purpose of inspecting the premises and making any repairs or improvements thereon. 7. INDEMNIFICATION. The SUB-TENANT shall indemnify and save harmless the OWNER and the persons herein above designated from any judgment recovered by anyone for personal injury or property damage sustained or claimed to have been sustained by reason of the activities of the SUB-TENANT and the SUB-TENANT shall pay all expenses in defending against any such claim made against the OWNER or any of the persons above enumerated. SUB-TENANTS with aircraft projects must have prior written authorization from the airport Executive Director to begin work on the project. All projects must have builders risk insurance with a minimum of $300, coverage for property damage and bodily injury. Bodily injury may be limited to $100, per person. Coverage must name the Charlotte County Airport Authority as an additional insured with ten (10) days notice of cancellation. 8. ASSIGNMENT. SUB-TENANT shall not assign this Rental Agreement, or sublet, or grant any license to use the premises. 9. TERMINATION. The OWNER may terminate this sub-lease agreement at anytime. PRIMARY TENANT may also terminate this sub-lease agreement at anytime. SUB-TENANT may also terminate this sub-lease agreement upon giving a written notice at least fifteen (15) days prior to the next rental payment period. 70 Hangar Waiting List Terms and Conditions The following terms apply to waiting list for leasing a hangar from the Charlotte County Airport Authority (CCAA) at the Punta Gorda Airport: 1. This document signed with a $75 deposit, a copy of the driver s license and the date of hangar desired occupancy is required to put your name on the Waiting List. The $75 deposit shall be applied to the initial hangar rental cost upon execution of the lease. 2. Upon availability of a hangar, the CCAA shall contact you at the telephone number(s) and e- mail address provided. It is your responsibility to inform the CCAA of any changes in your contact information. If you do not respond to the contact within 72 hours you will dropped to the bottom of the Waiting List. 3. If the hangar space being offered is not large enough for the requestor s aircraft, the requestor shall remain on the list in the original relative position. 4. When contacted by the CCAA if requestor declines the available hangar the $75 deposit shall be deemed forfeited and this document terminated. If requestor contacts the CCAA to have its name removed from the Waiting List prior to the CCAA contacting it shall be entitled to refund of the $75 deposit. 5. At the time of lease execution, the tenant must identify the make, model and registration number of the aircraft (designated aircraft) to be stored. In addition, the tenant must provide proof of ownership or demonstrate that he/she exclusively leases the aircraft. The CCAA reserves the right to withhold the processing of an agreement if ownership cannot be verified; in that event, the potential tenant shall forfeit the $75 deposit and be removed from the hangar Waiting List. 6. The CCAA will make best efforts to work within the parameter of these terms and provisions. However, a failure of the CCAA to strictly comply with the terms shall not be cause for damages to the proposed tenant and proposed tenant waives any claims for damages. If damages are incurred and the waiver deemed no applicable any and all alleged damages are agreed to be liquidated in nature and the signer hereto specifically agree the damages are limited exclusively to the amount of the deposit. This policy does NOT create an obligation upon the CCAA to enter into a lease for a hangar and does not give rise to any right of the proposed tenant to demand a lease under any terms or conditions. The terms and condition of the lease shall be in the absolute discretion of the CCAA. If the terms are unacceptable to the proposed tenant it may reject the lease and its deposit shall be refunded. The CCAA reserves the absolute right at any time to unilaterally terminate or otherwise modify this policy and refund the deposit with no further rights or obligations or damages. 72 To The Applicant I, the undersigned, understand that the issuance of this identification limits my access to only those areas necessary for my employment or t-hangar, and that any breach of this security measure shall result in the revocation of my Airport Identification Badge. Any falsification of the information supplied within this application shall result in permanent denial/revocation of the PGD Airport Identification Badge. I understand that the Airport Identification issued to me remains the property of the Charlotte County Airport and that I am required to immediately report the loss, theft or damage to the Airport Security Coordinator by calling I agree to return my Airport Identification upon termination, retirement or separation from employment; transfer to a new position, terminate my t-hanger lease, or when requested by the Airport or designated representative for any other reason. 74 AIRPORT ACCESS RULES AND REGULATIONS Tenant vehicles may not enter any runway, taxiway or safety area. Be aware of your location at all times and limit the amount of driving you must do on the aprons to an absolute minimum. Cardholders are not permitted to operate any vehicle on the main apron. Cardholders may only gain entry nearest their hangar, tie-down or place of business. Entry to T-Hangar Buildings # will gain access using Henry St. Gate. Entry to T-Hangar Buildings # and the North Apron Tie-Down will gain access using Mooney Ave Gate. Entry to the South Tie-Down Apron and Building 115 will gain access using Beechcraft Ave Gate. Entering or exiting through a gate, vehicles operators must remain at the gate until fully closed. Do not allow any vehicle to tailgate behind you. If another vehicle follows you through a gate, record the license plate number and immediately report the vehicle to airport staff. INITIAL Ground vehicle operators are not to exceed 10mph on any apron. Operations within the vicinity of any aircraft are limited to a maximum of 5mph.. Ground vehicles may be parked in designated areas ONLY. Improperly parked vehicles and unattended vehicles will be towed at the owner s expense. Vehicles must yield to operating aircraft, aircraft under tow and all emergency equipment. Driving on the apron is a privilege. This privilege may be revoked at any time for any reason. I understand that vehicle operations must be controlled and that the Tenant Airport Identification cannot be passed between individuals for any reason. If a card is determined to have been transferred to another individual, that card will be removed from the gate system and the secondary and/or leaseholder may lose their Airport Gate Access Card privileges, as well as their lease. Lost cards will incur a $65.00 replacement fee. All cards are accountable and must be inventoried annually. If a card holder departs for duration longer than one month, the Identification Card must be returned to the airport to secure in file for re-issue. Change in ownership of aircraft or motor vehicle must BE REPORTED immediately to airport administration. Tenant Airport Identification must be displayed on your person at all times. Tenant Airport Identification expires and deactivates two years from issuance.
