1 11 October Holdings Limited Statement setting out the capital structure, results private placement and sell down, and escrow arrangements The following information is provided by Holdings Limited (NZX: PPL ASX: PPL) (the Company) for release to ASX. Placement and Sell Down On 3 October, the Company entered into an Offer Management (OMA) with Ord Minnett Limited (Lead Manager) in relation to a private placement new fully paid ordinary shares (Shares) (Placement) and an associated sale existing Shares by certain existing Shareholders (Sell Down), in each case to institutional and exempt investors. Following completion the Placement and Sell Down: (a) (b) the Company has issued an aggregate 19,138,756 new Shares at a price AU$2.09 per Share; and existing shareholders have sold an aggregate 6,901,047 existing Shares at a price AU$2.09 per Share. Capital Structure There are currently 250,318,071 fully paid ordinary Shares on issue, following the completion the Placement. 355,514 restricted share units in (RSUs) have been issued USA-based s. The RSUs are a conditional contractual entitlement to be issued Shares upon vesting, and form part the remuneration package certain s based in the USA. Up to 355,514 Shares may be issued to holders RSUs upon vesting the RSUs. There are no other classes securities currently on issue. Escrow arrangements As at the date this notice, the aggregate number Shares subject pursuant to voluntary escrow arrangements and the company Share Incentive Scheme is 151,134,516 Shares, which is approximately % the Shares on issue following the completion the Placement.
