3 CITY OF MOORHEAD - AIRPORT COMMITTEE MEETING MINUTES DECEMBER 12, 2016 AT 10:00 AM MOORHEAD CITY HALL BOARDROOM Pursuant to due call and notice thereof, a regular meeting of the Airport Committee was held at Moorhead City Hall 1 st Floor Boardroom on December 12, 2016 at 10:00 AM. 5 To: Moorhead Airport Committee Subject: T-Hangar Leasing Date: March 15, 2017 Prepared By: Kristie Leshovsky and Kim Citrowske AIRPORT COMMITTEE REPORT T-HANGAR LEASING Staff from the City and Moorhead Aviation Services met recently to discuss possible changes to t-hangar leasing and lease documents. The proposed revisions are intended to provide better customer service regarding hangar leasing and implement protocol to ensure lessees are complying with required lease and FAA policy terms (updated June 9, 2016). A. T-Hangar Policy Updates for Consideration a. Transfer maintenancee of waiting list to Moorhead Aviation Services i. Waiting list procedures: 1. Priority given to those who currently own an aircraft 2. Maintain south facing hangar waiting list for current tenants ii. City would continue to execute leases and related lease/deposit and monthly payments b. Hangar Inspections i. Hangar inspections completed by Moorhead Aviation Services ~ every days ii. Moorhead Aviation Services will maintain a list of maintenance needs and provide periodic updates to city to address batched hangar repairs c. Hangar Leases i. Revise language requiring proof of aircraft ownership from 90 days to 30 days ii. Revise language noting annual inspections for aircraft are required iii. Revise language amending assumption of lease to transfer without direct family relationship iv. Evict tenants with continued delinquencies v. Update language as recommended by the City Attorney s Office vi. Consider increase in monthly lease rate for new tenants (south three hangars) d. Storage hangars i. Require non-airport tenants who cannot show use of hangar for aeronautical use (required in airport lease and FAA policy) to remove items from storage hangars by June 1, 2017 with future use of storage spaces made available for current airport tenants or Moorhead Airport businesses only ii. Staff in conjunction with the City Attorney s office will re-draft the storage leases to allow rental by current airport users/tenants only (already in place for hangar constructed in 2012)

6 Excerpt from FAQ on FAA Hangar Policy: What aeronautical uses of a hangar does the FAA permit? Permitted uses include: storing active aircraft; sheltering aircraft for maintenance, repair, or refurbishment, but not indefinitely storing nonoperational aircraft; constructing amateur-built or kit-built aircraft provided that activities are conducted safely; storing aircraft handling equipment, e.g., tow bar, glider tow equipment, workbenches, and tools and materials used to service, maintain, repair or outfit aircraft; items related to ancillary or incidental uses that do not affect the hangars' primary use; storing materials related to an aeronautical activity, e.g., balloon and skydiving equipment, office equipment, teaching tools, and materials related to ancillary or incidental uses that do not affect the hangars' primary use; storing non-aeronautical items that do not interfere with the primary aeronautical purpose of the hangar, e.g., televisions and furniture; or parking a vehicle at the hangar while the aircraft usually stored in that hangar is flying, subject to local airport rules and regulations. What uses are not permissible under the policy? Uses not permitted include: use as a residence; operation of a non-aeronautical business, e.g., limo service, car and motorcycle storage, storage of inventory, and non-aeronautical business office; activities that impede the movement of the aircraft in and out of the hangar or other aeronautical contents of the hangar; activities that displace the aeronautical contents of the hangar or impede access to aircraft or other aeronautical contents of the hangar; storage of household items that could be stored in commercial storage facilities; long-term storage of derelict aircraft and parts; storage of items or activities prohibited by local or state law; storage of fuel and other dangerous and Hazmat materials; or storage of inventory or equipment supporting a municipal agency function unrelated to the aeronautical use. 7 Added text Deleted text HANGAR LEASE THIS LEASE is executed in duplicate this day of, 20, between the City of Moorhead, Minnesota, a Minnesota political subdivision (hereinafter referred to as Lessor ) and (hereinafter referred to as Lessee ). 1. Premises. Lessor shall hereby leases to Lessee a T hangar unit at the Moorhead Municipal Airport (the Premises ). The exact unit is set out in the map attached as Exhibit A to this Lease. 1. Use of Hangar. The Premises shall be used for the purpose of storing an aircraft identified as follows: YEAR MODEL N NUMBER Lessee shall be responsible for maintaining a neat, orderly hangar, and shall not store items which would result in a nuisance or any flammable or other hazardous materials on in the Premises. hangar. Proof of Aircraft Ownership. Lessee shall possess proof of ownership of the aircraft being stored on the Premises, in leased hangar, and aircraft must be properly licensed and receive annual inspections. certified for flight. Term. The term of this Lease will shall be month-to-month commencing, 20. Hangar leased by Lessee does not transfer with the sale of the aircraft, unless the sale of the aircraft is between direct family (parent/ child/spouse) members Assignment/Subleasing. Hangar leased by Lessee may transfer with the sale of the aircraft. New aircraft owner must enter into a new Hangar Lease agreement with the Lessor. Lessee may not assign or sublet said premises without the prior written consent of Lessor Rent/Lost Locks/Keys. Lessee shall pay a rental fee in the amount of $ per month, except, if the rental commences other than on the first (1 st ) day of the month, the rent for that month shall be prorated based on the number of days left in that month. A late fee charge of $15 shall be assessed for payments received after the tenth (10 th ) day of the month, and said late fee shall be added to the following month s payment. At or before the time this Lease is signed, Lessee shall have paid the sum of $305.00, the receipt of which is hereby acknowledged by the Lessor. The Lessor shall retain $ as a damage deposit. This amount shall be returned to the Lessee at the end of the lease term if the hangar has not been damaged through actions of the Lessee, keys/locks are turned in to the Airport Manager, and the Premises hangar is returned to the Lessor in a clean condition with all personal belongings removed from the Premises. The Lessor will also hold $ as payment for the last month s rent under this Lease. Any delinquency on monthly payments is a violation of the terms of this Lease and Lessor may begin the Termination of Lease process set forth below. Lessor may adjust the rental fee charged herein once per year. Lessor shall notify Lessee of the new rental rates at least sixty (60) days prior to the effective date of said rates. There will be a $5 $65 charge to replace lost keys and a $15 $120 charge if keys are not returned when lessee terminates lease. to replace lost locks Termination of Lease. Snow removal will be the responsibility of the Lessor at a distance from the hangar door which can be safely accomplished without incurring damage to the Premises hangar or the snow removal equipment. During periods of excessively heavy snowfall, snow removal operations will be accomplished in accordance with the priorities set forth in the airport snow removal plan. Removal of any snow or ice remaining after plowing operations cease is the responsibility of the Lessee Indemnification. Lessee assumes all risk of personal injury or death and property damage or loss from whatever causes arising out of Lessee s, or Lessee s agents or employees, use or occupancy of the Premises. Lessee expressly agrees to release, hold harmless, defend, and indemnify Lessor, Lessor s officers, employees, agents, and representatives, from any and all liability, losses, damages, claims, demands, actions, judgments, and executions in any way arising out of or regarding Lessee s, or Lesseer s agents or employees use or occupancy of the Premises, whether known or unknown, foreseen or unforeseen, liquidated, unliquidated, fixed, contingent, material or immaterial, disputed or undisputed, suspected or unsuspected, asserted or unasserted, direct or indirect, at law or in equity, from the beginning of time, and Lessee understands and acknowledges the significance of such release and waiver and hereby assume full responsibility for any injuries, damages or losses that Lessee may incur as a result of Lessee s execution of this Lease. In addition to holding Lessor harmless from any and all claims arising out of or related to Lessee s use or occupancy of the Premises, Lessee agrees to indemnify and defend Lessor from any and all actions brought against Lessor relating to or arising out of Lessee s, their agents, assignees or designees use of the Premises. Said indemnification will include, inter alia, attorney s fees, damages, whether punitive, economic or compensatory, and costs and disbursements. However, this paragraph will not apply to suits against Lessor arising out of Lessor s negligence or intentional acts, or those of its employees, agents or designees. Lessee specifically agrees and acknowledges that these release, hold harmless and indemnification provisions will survive the termination of this Lease. It is expressly agreed by the Lessee that the Lessor shall be held harmless and shall not be liable for damages to Lessee s property which relates to the occupancy of the premises. Lessee agrees to also indemnify the Lessor from any and all liability, loss or damage the Lessor may suffer as a result of claims, demands, costs (including reasonable attorney s fees) or judgments against it arising from the operation of Lessee s aircraft or from the occupancy of Lessee s aircraft on the Lessor s premises, except said damage directly and proximately caused by negligence or an affirmative act by the Lessor Insurance. Lessee shall procure and maintain in force during the term of the Lease, at Lessee s expense, liability insurance in an amount equal to or greater than required by Minnesota law for licensed aircraft in Minnesota. Lessor must be named as an additional insured on such policy. Lessee must provide a copy of this policy to Lessor. The insurance may not be cancelled or terminated, except upon thirty (30) 3

10 days written notice to Lessor of Lessee s intent to cancel or terminate the policy. If Lessee allows the insurance policy to lapse without furnishing a new, valid policy to Lessor, this will be deemed a violation of this Lease and Lessor may initiate proceedings to have this Lease terminated. Lessor and Lessee hereby grant to each other, on behalf of any insurer providing fire and extended coverage to either of them thereof, a waiver of any right of subrogation any such insurer or one party may acquire against the other by virtue of payment of any loss under such insurance, such waiver to be effective so long as each is empowered to grant such waiver under the terms of his/her insurance policy or policies involved without payment of additional insurance premiums. Said waiver shall stand mutually terminated as of the date either Lessor or Lessee ceases to be empowered Security/Parking. All gates will be kept closed. Hangar doors will be kept closed and lights will be turned off except when the facility is being used. Vehicles must be parked so as not to interfere with aircraft or snow removal operations Airport Regulations. Lessee agrees to be bound by all airport regulations adopted by the Lessor, the State of Minnesota, or the United States Government, in effect at the time of the execution of this Lease or as may be enacted or amended in the future. Any violation of any of those statutes, ordinances, rules and regulations is shall be a violation of this Lease and grounds for termination pursuant to paragraph 6 of this Lease Entire Agreement. This Lease contains the entire agreement between the parties and supersedes all prior written or oral agreements or negotiations concerning this Lease Amendments. 15 To: Moorhead Airport Committee Subject: Disadvantaged Business Enterprise (DBE) Consultation Date: March 15, 2017 Prepared By: Kristie Leshovsky and Kim Citrowske AIRPORT COMMITTEE REPORT DISADVANTAGED BUSINESS ENTERPRISE CONSULTATION The Moorhead Airport is receiving comments regarding the availability and Disadvantaged Business Enterprise firms for airport construction projects to assist with establishing a DBE goal and goal methodology to promote DBE participation in airport construction projects totaling $250,000 or more in a Federal fiscal year ( ). The FY DBE goal was 2.89%. Following consultation and review of registered MN DBE businesses, a new goal will be established. A public consultation meeting seeking input on DBE participation will be held during the Moorhead Airport Committee Meeting. I. 16 To: Moorhead Airport Committee Subject: Airport Updates Date: March 15, 2017 Prepared By: Kristie Leshovsky and Kim Citrowske AIRPORT COMMITTEE UPDATES PROJECT UPDATES Airport Layout Plan Hangar Area: Mead and Hunt have developed three airfield alternatives (attached) for Airport Committee review and comment. The proposed next steps include: March 15 Airport Committee Meeting - Action Steps: o Review threee alternatives. It is recommended that the Committee select a single preferred alternative for public comment. The Committee could choose two preferred alternatives for public comment, although this will result in a longer timeline (ie: ALP sheet updates for FAA/MnDOT review are for the preferred alternative only). o Review and finalize public comment opportunities. 17 Pavement Rehabilitation Phase I Design: Below are updates reported by Mead and Hunt - 1. Design: Pavement cores (4 total) completed as part of the original scope of work revealed the pavement ranged in thickness from 2-3/8 and 3-1/4". With the thin pavement, a mill and overlay is not an option and will need to be reconstructed. To complete the design for reconstruction, soil borings were taken to determine soils strength parameters. Results are expected by 3/10/17. The Engineer s Design Report (EDR) was submitted to the City, State and FAA ADO on 2/2/17. The EDR covers project related items such as: Scope of work, design parameters, site conditions, pavement design, project schedule, cost estimates, etc. Mead & Hunt is awaiting State and Federal comment. The soil strength used for the pavement design was based on an assumed value typical of the area and the EDR will be updated once the true values are determined (3/10). 2. Cost Estimate: Currently the FAA has funding through the end of April. Funding through the end of the FFY (September 30) is necessary for all entitlement money to be available for the project. Availability of State funding for FY 2018 will become clearer towards May. The State FY begins July 1, Construction $1,125,000 Engineering $150,000 Total Project $1,275,000 AIP Entitlement Funding * $442,953 AIP Eligible Amount in Excess of Entitlement ** $41,457 State of Minnesota *** $344,250 City of Moorhead $446,340 Total Project $1,275,000 *Available with AIP Funding approval through September 2017 **Would need to be covered with local funding until it can be placed in future AIP grant ***This is State FY 2018 money with availability to become clearer towards May 3. Estimated Project Schedule: Final plans & Specifications April 2017 Bid Opening June 2017 Complete Construction September Construction is estimated to take one month to complete and will have an effect on access to hangars. We would recommend having a meeting with tenants soon so alternative arrangements can be made to accommodate aircraft. 5. Apron Design: The FAA must approve work scopes for all federal projects. The Scope of Work for the apron design was sent to the FAA on 2/2 and to date we have not received comment back. Once approved, we can prepare a cost proposal. The cost is in addition to those in item #2.

24 Forum editorial: Moorhead airport gets roses By pat on Feb 19, 2017 at 4:05 p.m. PRAIRIE ROSES: To the Moorhead Municipal Airport, for a slate of upgrades, including a new aircraft hangar and the recent addition of an avionics shop and flight simulator. The airport, which opened more than two decades ago, also plans $6 million in road and runway repairs over the next five years. All of the steps are aimed at increasing activity at the airport, located 4 miles southeast of Moorhead. The improvements are accomplishing the airport's goal: establishing Moorhead Municipal Airport as a base for small-business general aviation. Moorhead hopes upgraded airport takes off By Kim Hyatt on Feb 15, 2017 at 7:29 p.m. MOORHEAD The Moorhead Municipal Airport is the city s best-kept secret, Mike Koenig says. You would be surprised by how many people in Moorhead don't even know Moorhead has an airport, said Koenig, who took over managing the airport at the first of the year. Koening hopes that will change. His company, Moorhead Aviation Services, co-owned by Marvin Fletcher, was awarded a five-year contract to manage the airport, which is embarking on its most significant upgrade since it was built more than two decades ago. A new hangar is under construction. The airport just added an avionics shop and a flight simulator. And $6 million in repairs are planned over the next five years. It s all part of an effort to increase business at Moorhead s airport. Major renovation The 180-acre airport, 4 miles southeast of the city, is split between public and privately owned hangars. The lobby and terminal, recently updated with new furniture and amenities, is cityowned and managed by Koenig s wife, Cindy. We want to promote the airport, she said. There is a need for this and we hope to see it grow.

25 The largest investment since the airport s inception will get underway later this year: a $6 million, five-year project to repair pavement on roads and the runway, Moorhead Finance Director Wanda Wagner said. Most of this funding is from federal and state grants, with the city matching more than $1 million for the project. Just this year, the airport s annual operating grant from the state increased by 16 percent, Wagner said, and is budgeted at $28,700. She said the grant, in addition to farmland and hangar rentals, is adequate funding for the annual operating budget of about $100,000. The airport has developed into a favored small, private plane choice for a number of metrowide small businesses, said Moorhead Mayor Del Rae Williams. Growth has been a direct result of partnership with businesses and individuals in our community that saw it as a great place to establish their hangars. A 12,000-square-foot heated hangar now under construction should be complete within a few weeks. That will give the airport eight private and 33 public hangars. Shop, simulator added Imagine a pilot from here who wants to fly to Phoenix for the first time and, without ever landing there, already has experience with the approach. Or a student in training who can practice landing four different approaches in South Dakota and North Dakota in varying weather conditions, all within an hour. Moorhead s new flight simulator is making such training possible for pilots. Avionics technician Ryan Paulson said the simulator is the only one of its kind in the region. The Fargo Jet Center, Paulson s previous place of work, sold its simulator a few years ago when the flight school transitioned to new Cessna airplanes with glass cockpits, said Darren Hall, vice president of marketing for the Fargo Jet Center. Moorhead s simulator operates in a closet-sized room on a personal computer-based system. The setup includes a projector screen and three flat-screen TVs that surround a desk equipped with a yoke and instrument panel. The simulator is so life-like that the sun casts shadows across the cockpit as the flight path shifts. It can imitate any type of aircraft to virtually fly in any scenario based on the weather, location and time of day. It can even give pilots experience in emergency procedures. Last Thanksgiving, an aircraft crashed just east of the Moorhead airport runway. The seven men on board walked away with only slight injuries. Creating safer flights is the ultimate goal of the simulator, which Paulson said will absolutely help prevent those types of situations from occurring. The simulator is awaiting certification from the Federal Aviation Administration and will be used by pilots to increase experience and log flight time. There is also an FAA-certified

26 simulator at the Fargo Jet Center, the general aviation facility adjacent to Hector International Airport in Fargo. At $60 an hour, Moorhead s simulator costs less than half of what an airplane does, so the savings can add up in a hurry, Paulson said. Moorhead Aviation Services invested more than $20,000 in the custom-built simulator, and other new technology in the avionics shop cost about $80,000. It s kind of unique for Moorhead. This is by far the nicest hangar I ve ever worked in, Paulson said. The FAA certified the avionics shop last month, and Paulson said he has been busy updating aircrafts with state-of-the-art equipment and testing various flight components, from communication and navigation to automated flight control systems. The air data test set, for example, verifies altimeter accuracy within 1 foot, Paulson said. Nobody else has anything near advanced, he said. All these recent investments are spurred by the FAA s NextGen, or next generation infrastructure. By 2020, all airplanes flying above 10,000 feet need to be equipped with automatic dependent surveillance broadcast (ADS B), which uses GPS satellites to determine aircraft location and ground speed, and provides traffic and weather information. When the mandate was announced several years ago, Paulson said the minimum cost for equipment in one aircraft was $5,000 plus labor at rates around $80 per hour. The government s carrot to get people to do this, he said, was free satellite weather. In order to adhere to the mandate, Paulson said aviation specialists like him are installing new equipment in aircrafts. The problem is there are only 900 shops in the country to accommodate as many as 150,000 airplanes that need the upgrade, he said. North Dakota has only eight avionic technicians among the state s three shops, including one at the Fargo Jet Center. I saw a huge need for an avionics shop, Mike Koenig said, adding that they are now kicking around the idea of adding a paint shop because there are also so few of them out there. There are some avionics shops nearby in Minnesota, including in Park Rapids, Brainerd and Minneapolis, but the closest shop north of here is in Winnipeg and a pilot would have to go to Sioux Falls, S.D., for the closest shop south. Paulson said they are looking into adding two more technicians at Moorhead to meet the demand. Finding a niche

27 With the simulator and avionics shops, Cindy Koenig said she has seen increased interest in the airport since she and her husband took over a month ago in the middle of an ice storm. Mike Koenig said he hopes the investments will get pilots to move to Moorhead from other nearby areas and the Fargo airport, with the idea that there s less traffic, so it s easier to get in and out. We re pretty much getting all the service you get at the larger airports like Fargo, just on a smaller scale with less hassles and typically a lot less cost, he said. From fuel to storage, maintenance, avionics, training and even a courtesy car for customers, the biggest thing we re trying to do is to give customers service that they're not going to get anywhere else, he said. We re never going to be Fargo, but Moorhead has its niche. Hall of the Fargo Jet Center said Fargo s full-service airport with 24-hour facilities is no stranger to competition as it competes with airports in the Upper Midwest. However, he said there is room and a purpose for smaller airports in Moorhead, West Fargo and predominantly rural areas. They provide access to numerous businesses and other health care and emergency medical services, he said, but Fargo s equipment is better able to handle severe weather conditions. Cindy Koenig said service at the Moorhead airport is more personal. She often bakes treats for the pilots, and during the warmer months they offer pancake breakfasts and grill out every Saturday. The Koenigs said unlike larger airports where people have to watch take-offs and landings from behind a fence, at Moorhead there s no barrier. They have plans this summer to build a gazebo, in fact, so people can sit and watch all the aviation action. We have a vision for Moorhead, Cindy Koenig said.
