2 Thank you for your interest in establishing a business relationship with GOLD FUND JEWELRY TRADING LLC, Ghana. We are excited to welcome you to experience our global precious metals solutions for your financial needs. Before we onboard your business, we would like to gather certain information about you and your business in order to know our customer better as regulatory compliance requires from us to mitigate the financial crime risks and to serve you better for all your business needs. The information we will be asking includes details about your business structure, its customers, shareholders and controlling parties as well as countries that the business work with. We have prepared this Know Your Customer (KYC) form to facilitate smooth onboarding process for our customers. Please go through each section in the form and fill out the necessary information as requested. Party B agrees to provide all the relevant and necessary documents associated with their company or their mine including legal identification documents of the Buyer, as requested by Gold Fund LLC or Party A in order to adhere to OECD Guidelines of responsible sourcing of precious minerals, PMMC and Govt. of Ghana guidelines of the obligatory due diligence of the companies involved in the business of precious metals trading. B. Party B agrees and acknowledges to provide any documentation required in the future as well if requested by Gold Fund LLC in order to fulfill any updated requirements of Govt. of Ghana and OECD. 4 C. Party B agrees and acknowledges they have read and understood the OECD guidelines to do precious metals trading and mining. D. Party B agrees to conclude all transactions/exchange in the designated refinery by the Company or Party A (Gold Fund LLC). E. Party B understands and acknowledges that no business will be done on credit and the transactions or sale/purchase deal would be concluded the same day as the day of delivery and assaying. F. Party B understands and acknowledges that in case of failure to perform the obligations as per the understanding and the signed agreement by either of the party, it would be considered as violation of this contract and party B will be responsible of all damages including but not limited to financial and nonfinancial, incurred by party A, if any. G. Party B understands and acknowledges to adhere strictly to the trading guidelines of the Govt. of Ghana, regulations assigned by PMMC and the International guidelines of the OECD relating to Anti Money Laundering and Trading in Precious metals at all times and would not deviate at any time from the above mentioned guidelines during the fulfilment of this contract. H. Party B understands and acknowledges that they have read through our procedures of buying and agree to follow the procedures as they have been pre-determined. I. Party B understand the final payment amount would be as per the purity of the scrap gold as stated in the final assay report of the Party A s designated refinery. J. Once the final assay report has been issued and agreed upon, Party B will transfer the payment to Party A s bank account or upon request, can issue a payment cheque. K. Party B acknowledges that there will be no transactions executed in Cash except where the quantity of the items delivered is below 1 KG and upon Gold Fund LLC s discretion. 3 Standard Terms and Conditions. A. GOLD FUND LLC and The buyer hereby agree that all Transactions between them shall be governed by this agreement. B. Physical Delivery of Scrap Gold in fulfillment of each contract is contemplated by the parties in agreement. Tel: / info@goldfundghana.com - [4]

Scrap Gold trade value shall be calculated via the mathematical formula (bullion quantity in units of grams, ounces, ten tolas, tolas, kilo grams the unit price as predetermined in the sale agreement). D. The two parties agree that Party A shall not accept any money unless through the bank accounts registered in the company name. E. The two parties agree that all payments made shall be in United States Dollars. F. In special cases, Party B shall not have any right to claim compensation from the company for any losses that may arise out of any damages occurred to Party B as a result of any costs, taxes, penalties or any damage whatsoever whether physical Or moral, direct or indirect or for any reasons out of the company s reasonable control, such as: - Governmental or judicial damage, exchange, waiver, regulatory restrictions or to regulate decisions. G. In case any article (or any part thereof) of this agreement is determined to be illegal or invalid by any judicial authority or competent court, then the remaining articles remain enforced and valid and shall not be affected negatively and shall be enforceable between the two parties. H. The two parties have agreed that in case any dispute or conflict of any type arises between them, then it will be discussed and settled amicably between them. In case a settlement can t be reached within one week of the objection sending date, then the company shall be liable to appoint one arbitrator to settle the dispute. If the two parties and the arbitrator failed to reach a settlement, then such dispute shall be referred to arbitration in Ghana Courts for settlement, and any decision issued shall be final and binding upon both parties. Compliance Gold Fund Jewelry Trading LLC participates in, cooperates with, and enhances overall efforts to ensure that precious metals come from legitimate, ethical sources, and that they have not been associated with crime, armed conflict or human rights abuse. It is our policy to do business only with legitimate, law-abiding customers, and to deny our products and services to all others. Please read the following statement carefully to confirm the signature at the bottom of the page: The source from where the Metal is being mined and sold to Gold Fund Jewelry Trading LLC is free of identification of any affiliation of the company with political parties, military, criminal networks or non-state armed groups, including in particular any reported instances of affiliation with non-state armed groups and/or public or private security forces. Also, the supplier/miner whose name is on the shipping documents, or in many cases the owner of the Metal, confirms that the Metal that is coming in from a source where any serious abuses (torture, cruel, inhuman and degrading treatment, forced or compulsory labor, the worst forms of child labor, gross human rights violations, war crimes, or other serious violations of international humanitarian law, crimes against humanity or genocide) are not committed by any party involved in the supply chain of the goods, on transportation routes nor at the points where Metal is traded and/or processed. You will be required to validate, and provide all the information mentioned in our Questionnaire forms, whether the said party is the main source of Metal or the subcontractor. You will remain responsible and accountable for certification and external audit of supplied precious metals to Gold Fund Jewelry Trading LLC. DECLARATION We hereby confirm that we have read and understood OECD Due Diligence Guidance for Responsible Supply Chains of Minerals from Conflict-affected and High Risk Areas, LBMA Responsible Gold Guidance, DMCC Practical Guidance and Due Diligence Procedures of the Company.
