SURREY : REIGATE AND BANSTEAD 1 ( ) The Freehold land shown edged with red on the plan of the above Title filed at the Registry and being land and buildings lying to the east of West Avenue, Salfords. 2 ( ) A Conveyance of the land in this title and other land dated 22 August 1951 made between (1) Midland Bank Limited (Mortgagee) (2) Watts Estates Limited (Vendor) and (3) The County Council of the Administrative County of Surrey (Council) is expressed to grant the following rights. These rights are included in the registration only to the extent that they are legal and not equitable rights. "TOGETHER ALSO with the rights mentioned in the First Schedule hereinafter contained: THE FIRST SCHEDULE hereinbefore referred to (1) A right of way for the Council their successors in title and assigns at all times and for all purposes over and along all the roads and footpaths shown upon the said plan annexed hereto and such other road roads footpath or footpaths which may at any time hereafter be constructed on the Vendor's remaining estate." NOTE: The roads shown on the plan referred to were West Avenue and Woodside Way and Copsleigh Way and Copsleigh Avenue.. 3 ( ) The Conveyance dated 22 August 1951 referred to above contains the following provision:- "PROVIDED that the Council and their successors in title shall not be entitled to any right of access of light or air to buildings to be erected on the land hereby conveyed which would restrict or interfere with the free user of any other part of the adjoining land belonging to the Vendor for building or any other purpose." 4 ( ) The land has the benefit of the following rights granted by but is subject to the following rights reserved by the Transfer dated 9 April 1996 referred to in the Charges Register:- "TOGETHER with the rights set out in the First Schedule EXCEPT AND RESERVING to the Council for the benefit of each and every part of the Retained Land and any building now or within the Perpetuity Period erected on any part of the Retained Land the rights set out in the Second Schedule. THE FIRST SCHEDULE (Appurtenant Rights) 1. A full right of way with or without vehicles (in common with the Council and all others having like rights) at all times for all purposes over and along the Improved Access subject to the Transferee paying one half of the expense of cleansing repairing and maintaining the Improved Access. 2. Full right (in common with all other persons having like rights):- 2 of 6

3 A: Property Register continued (a) to the passage and running of Services through and (b) to use and maintain any Conduits now laid or diverted in under or over or through the Retained Land which serve the whole or any part of the Property SUBJECT to the Transferee contributing a fair proportion of the cost of repairing and maintaining the said Conduits and Services. 3. The right at any time to enter upon the New Access and the New Footway and/or such part or parts of the Retained Land as is for the time being unbuilt upon and as is absolutely necessary for the purpose of complying with the covenants in the Third Schedule. 4. The right at any time to enter upon such part or parts of the Retained Land as are for the time being unbuilt upon and as are absolutely necessary for the purpose of inspecting maintaining repairing renewing and cleansing any Conduits which may for the time being serve the Property or any part thereof either exclusively or in common with the Retained Land. PROVIDED ALWAYS that the person or persons exercising the rights set out in paragraphs 2 3 and 4 above shall cause as little damage and inconvenience as possible and shall make good or pay compensation for any damage caused in the exercise of the rights. THE SECOND SCHEDULE (Exceptions and Reservations) 1. Full right (in common with all other persons having like rights):- (a) to make connections to (b) to the passage and running of Services through and (c) to use and maintain any Conduits and all connections to them now laid or diverted in under over or through the Property and which serve the whole or any part of the Property and/or the whole or any part of the Retained Land SUBJECT to the Council contributing a fair proportion of the cost of repairing and maintaining the said Conduits and Services. 2. The right at any time to enter upon such part or parts of the Property as are for the time being unbuilt upon and as are absolutely necessary for the purpose of laying constructing connecting to inspecting maintaining repairing renewing and cleansing any Conduits and all connections thereto which may for the time being serve the Retained Land or any part thereof either exclusively or in common with the Property. PROVIDED ALWAYS that the person or persons exercising the rights set out above shall cause as little damage and inconvenience as possible and shall make good or pay compensation for any damage caused in the exercise of the rights." 5 ( ) The Transfer dated 9 April 1996 referred to above contains the following provision:- "IT is agreed and declared that:- 6.1 this Transfer does not include any easement or right except as expressly granted or included by this Transfer. 6.2 any access of light or air or other easement or right exercised by the Transferee over the Retained Land (except as expressly granted) or any other adjoining or adjacent land of the Council shall be deemed to be enjoyed by the licence or consent of the Council and not as of right." 3 of 6

Schedule of personal covenants 1 The following are details of the personal covenants contained in the Transfer dated 9 April 1996 referred to in the Proprietorship Register:- "THE Transferee jointly and severally covenants with the Council to observe and perform the covenants restrictions stipulations and conditions set out in the Third Schedule AND IT IS HEREBY DECLARED that this covenant is a covenant to which Section 33 of the Local Government (Miscellaneous Provisions) Act 1982 applies. THE THIRD SCHEDULE (New Positive Covenants) (A) Within 6 months from the date of this Transfer:- (1) to erect and to maintain in good repair and condition to the satisfaction of the Council a 6 feet high chain link fence on concrete posts on the northern and eastern boundaries of the Property with new vehicular access gates between points marked "C" and "D" on the Plan. (2) to construct and lay to the satisfaction of the Council a tarmacadam surface (to match the surface of the land coloured brown on the Plan) on the New Access such surface to be suitable for vehicular purposes. (3) to construct and lay to the satisfaction of the Council a tarmacadam footway with appropriate kerbstones on the New Footway with dropped kerbing between the points marked "G" and "H" on the Plan. (4) to remove the existing retaining wall as shown between the points marked "E" and "F" on the Plan. (5) to provide to the satisfaction of the Council a retaining wall to those boundaries shown coloured blue on the Plan. (6) to erect to the satisfaction of the Council a 6 feet high chain link fence on concrete posts between the points marked "I" and "J" on the Plan. (B) Following completion of the works set out in paragraph (A) above to make good to the satisfaction of the Council any part or parts of the Retained Land affected by the said works. (C) To maintain to the satisfaction of the Council the existing boundary structures on the southern and western boundaries of the Property. 4 of 6

5 Schedule of personal covenants continued (D) To maintain to the satisfaction of the Council the drain lying to the south of the Property and the Drain shown between the points marked "A" and "B" on the Plan. (E) If so required to install at the Transferee's own expense metering equipment in the Property so that services are separately metered. (F) To pay upon demand one half of the expense of cleansing repairing and maintaining the Improved Access so long as the same is subject to the right of way granted by this Transfer. (G) Not to transfer or dispose of any interest in the Property or any part without procuring (if requested by the Council or the owner for the time being of the Council's Retained Land so to do) the transferee or disponee to enter into covenants with the Council or the owner for the time being of the Retained Land in the same form mutatis mutandis as those contained in this Schedule (including this present covenant) in so far as such covenants are (a) positive in nature and (b) have not been fully observed and performed at the date of completion of the said transfer or disposition. (H) To notify the Council in writing at the same time as submitting an application for planning permission for change of use in respect of the whole or part of the Property." NOTE 1: The points marked A, B, C, D, E, F, G, H, I and J referred to have been reproduced on the filed plan NOTE 2: The new access referred to is the land coloured brown hatched blue on the filed plan NOTE 3: The new footway referred to is the land tinted pink on the filed plan NOTE 4: The boundaries coloured blue referred to have been tinted blue on the filed plan NOTE 5: The improved access referred to is the land coloured brown and coloured brown hatched blue on the filed plan NOTE 6: The retained land referred to has been edged blue on the filed plan. C: Charges Register This register contains any charges and other matters that affect the land. 1 ( ) A Conveyance of the land in this title and other land dated 25 April 1946 made between (1) Wilmor (Beeches) Ltd (Vendor) and (2) Watts Estates Ltd (Purchaser) contains the following covenants:- "COVENANT by Purchaser with object of affording a full and sufficient indemnity to Vendor and to the intent that the same should at all times thereafter run with the land thereby conveyed thereby covenanted with Vendor to observe and perform the stipulations contained in Second Schedule thereto so far as the same related to the property thereby conveyed and were still subsisting and capable of taking effect and would indemnify the Vendor in respect thereof. THE SECOND SCHEDULE above referred to Stipulations contained in a Conveyance dated 10 December 1910 and made between Arthur Bird Charles Hodges and Clare Henry Regnart of the one part and George Crowe of the other part. Not without the license in writing of the said Arthur Bird Charles Hodges and Clare Henry Regnart or their successors in title owners for the time being of any part of the Petridge Wood Estate for the time being unsold to use or permit the said premises to be used as a 5 of 6

6 C: Charges Register continued brickyard or cause or permit any building erected or to be erected thereon to be used as a hospital for infectious diseases or any hut or caravan to be placed or refused to be shot thereon. Stipulations contained in a Conveyance dated 12 June 1939 and made between Francis Leo Slattery of the one part and Weald Homesteads Ltd of the other part. 1. No caravan house on wheels gipsy encampment booths swings or roundabouts shall be permitted on the land or any part thereof. 2. No noisy noxious or offensive trade business or manufacture shall be carried on upon any part of the land." 2 ( ) A Transfer of the land in this title dated 9 April 1996 made between (1) The County Council of Surrey and (2) Anthony Cunningham and Phylleen Cunningham trading as Lilliputs Children's Centre (Transferee) contains the following covenants:- "FOR the benefit and protection of each and every part of the Retained Land capable of being benefited and so as to bind the Property as far as possible the Transferee jointly and severally covenants with the Council to observe and perform the covenants set out in the Fourth Schedule.
