Sperry Van Ness, at all times, practices a policy of proactive and equitable cooperation with the entire brokerage community. A 3% sales commission is offered to any Cooperating Broker that represents the buyer of the Port Orange, FL asset. Our client does require a formal Prospective Buyer/Cooperating Broker registration process to assure your commission rights. You will find attached a copy of the required principal/broker registration agreement and a description of the registration process necessary for the submission of any offers for purchase. Please note that the initial registration of your Prospective Buyer can be accomplished with a simple letter on your client s letterhead. 3 Page 3 of 6 Exclusive Brokerage Firm, Agent or Finder Prospective Buyer/Tenant hereby certifies that the Cooperating Broker specified above is its sole and exclusive brokerage firm, agent, or finder for the disposition of the Property. Cooperating Broker hereby certifies that he/she/it has not associated with any other brokerage firm, agent or finder in connection with the disposition of the Property. Indemnify and Hold Harmless Cooperating Broker hereby agrees to indemnify, defend, and hold harmless Walmart and Brokerage Firm from and against any and all claims, causes of action, demands, actions, suits, losses, liabilities, damages, expenses, and costs, including without limitation, reasonable attorneys fees, asserted or threatened by, arising from or relating to any Brokerage Firm, agent, and finder (including Cooperating Broker s associates) who claims to be acting by or through the Cooperating Broker in connection with Cooperating Broker s efforts to dispose of the Property. This indemnification obligation shall survive the termination or expiration of this Cooperating Broker Registration Agreement. Conditions To Be Fulfilled It is understood and agreed that the commission payable by Brokerage Firm pursuant to this Cooperating Broker Registration Agreement shall be paid solely to the Cooperating Broker. Cooperating Broker understands and agrees that it shall be entitled to a commission from the disposition of the Property if and only if all conditions of this Cooperating Broker Registration Agreement are met, including without limitation, all of the following: (a) Cooperating Broker must register the Prospective Buyer/Tenant with Brokerage Firm. Registration requires the Cooperating Broker and Prospective Buyer/Tenant to complete and submit this Cooperating Broker Registration Agreement to Brokerage Firm for each Property that the Prospective Buyer/Tenant is making an offer. Initial registrations must be sent under the cover of the Prospective Buyer/Tenant s stationery and bear the signature of the Prospective Buyer/Tenant acknowledging the Cooperating Broker as its sole and exclusive brokerage firm for the disposition of the Property; (b) (c) (d) (e) The Cooperating Broker must show the Property to the Prospective Buyer/Tenant; The Property must be sold, leased, or subleased to the Prospective Buyer/Tenant. The Property is deemed leased or subleased to the Prospective Buyer/Tenant only if an when all of the following have occurred: (i) the lease is executed by both the Prospective Buyer/Tenant and Walmart and is unconditionally delivered to Walmart; (ii) the Prospective Buyer/Tenant has taken possession of the Property; and (iii) the Prospective Buyer/Tenant has paid the first month s rent to Walmart; Cooperating Broker shall not have any direct or indirect interest (whether financial or otherwise) in the Prospective Buyer/Tenant s business or person; and The disposition shall be consummated in accordance with the terms and conditions of this Cooperating Broker Registration Agreement. Without limiting the foregoing, Cooperating Broker specifically understands and agrees that this Cooperating Broker Registration Agreement constitutes the sole agreement between Broker and Cooperating Broker and there shall be neither additional commissions paid, nor any other compensation for any disposition of the Property to the Prospective Buyer/Tenant except as set forth hereunder and in full compliance with the terms of this Cooperating Broker Registration Agreement.

4 Page 4 of 6 Commission The rate of commission payable to the Cooperating Broker for the disposition of the Property shall be an amount equal to three percent (3%) of the Gross Purchase Price or of the base rent paid during the lease of the actual primary term or sublease term or the first ten (10) years of the primary lease or sublease term, whichever is shorter. Notwithstanding any provision to the contrary contained in this Cooperating Broker Registration Agreement, Cooperating Broker shall in no event receive, or be entitled to receive, a commission greater than $175, Amortized tenant improvements, allowances, triple net expenses, and other items payable by the Prospective Buyer/Tenant in addition to the base rent shall not be used in the calculation of the Cooperating Broker s commission. No commission shall be paid for option periods under the Lease. Unless the Prospective Buyer/Tenant has the option of terminating or kicking-out of the lease, leasing commissions shall be payable to Cooperating Broker upon the Prospective Buyer/Tenant taking possession of the Property and Walmart's receipt of the first month s rent from the Prospective Buyer/Tenant. If the Prospective Buyer/Tenant has the option of terminating or kicking-out of the lease, the commission will be prorated and paid over time based upon the Prospective Buyer/Tenant's absolute obligation to pay rent under the lease, and the leasing commission shall become payable to the Cooperating Broker once the Prospective Buyer/Tenant becomes obligated to pay rent and is not in default under the lease. If for any reason the disposition of the Property is not consummated, the Cooperating Broker shall not be entitled to any brokerage fees, commissions or any other compensation hereunder for any services rendered or any expenses paid and incurred by Cooperating Broker. Reduction of Commission for Amounts Payable from Other Sources Any commission or fee payable to Cooperating Broker hereunder shall be reduced by an amount equal to any commission, fee or other compensation or remuneration directly or indirectly paid or payable to Cooperating Broker by any person or entity. Cooperating Broker Licensed Cooperating Broker represents and warrants that it is a duly licensed real estate brokerage firm in the state within which the Property is located. Cooperating Broker shall comply with all applicable federal, state and local laws, statutes, codes, ordinances, rules and regulations in connection with the disposition of the Property. Third Party Beneficiary Walmart is a third party beneficiary of this Cooperating Broker Registration Agreement. Acceptance of Offer(s) Walmart will immediately review any and all offers submitted, and respond formally within fifteen (15) days of Prospective Buyer/Tenant s offer submission. Walmart Realty reserves the right to (a) negotiate further with any Prospective Buyer/Tenant in Walmart s sole discretion, (b) accept or reject any offer as-is, (c) in the case of multiple, competitive offers, solicit best and final offers, and, (d) request credit information Walmart deems necessary to determine at Walmart s sole discretion the Prospective Buyer/Tenant s ability to perform under the financial obligations of the purchase contemplated. No offer is considered accepted until the offer has been approved by Walmart s Realty Committee. Offers are not binding unless and until a fully negotiated agreement of sale has been executed by authorized representatives and delivered to both Walmart and the Prospective Buyer/Tenant.
