1 LEASE AGREEMENT THIS LEASE AGREEMENT, dated this bay of, 2008, by and between The City of West Palm Beach, a Florida municipal corporation (hereinafter referred to as the "Lessorw) and The School Board of Palm Beach County, Florida, a corporate body politic pursuant to the Constitution of the State of Florida, (hereinafter referred to as the "Lesseen): WiTNESSETH 1 LEASED PREMISES Lessor, in consideration of the rents and covenants hereinafter stipulated to be paid and performed by the Lessee, does hereby demise and lease to Lessee, and Lessee hereby rents from Lessor, the following described premises (hereinafter referred to as "Leased Premises") more fully described as follows: one (I) classroom, use of common facilities and parking at the Salvation Army, 600 North Rosemary Avenue, West Palm Beach Florida, on Monday - Friday, 7:00 a.m+ - 3:3O p.m USE The Leased Premises shall be occupied and used solely for the purpose of classrooms (Department of Alternative Education). 3. TERM The term of this lease shall be from the effective date until June 15, 2009 with five (5) automatic one (I) year renewals. The term shall be automatically renewed unless either Party provides to he other of its election not to renew at least 90 days notice prior to the next renewal date. 4. RENT Annual rent for the Term of this Lease shall be $1-00 per year payable annually in advan-. 5. UTILITIES Lessee's use of electric, phone or other utility services shall be furnished by Lessor. 6. ALTERATIONS Lesee shall be allowed to fadlitate improvement and/or repair of the property within the Leased Premises, which will be undertaken by the Lessee and its authorized contractors. 7. MAINTENANCE AND REPAIR Lessor covenants and agrees to keep and maintain in good order, condition and repair the Leased Premises and any part thereof, including, but not limited to all doors, garage doors, windows, glass, plumbing, heating, air conditioning, and electrical equipment and fixtures, interior walls, floors and ceilings. Notwithstanding, the Lessor's obligations as delineated in the preceding sentenoe, the Lessee shall, at the Lessee's own cost and
2 expense, repair any damage done to the Leased Premises, including but not limited to replacement of property damaged by Lessee or Lessee's agents, employees, invitees, or visitors with property of like kind and value as determined by Lessor. 8. MAINTENANCE AND CONTROL OF COMMON AREAS Lessor covenants and agrees that during the term of this Lease or any renewal or extension thereof, it shall keep and maintain the "Common Areas" in good repair. 9. CUSTODlAL SERVICES Lessee shall provide custodial services for the classroom facilities within the Leased Premises. 10. FIRE AND EXTENDED COVERAGE INSURANCE Lessor shall be responsible, during the term of this Lease, to prclcure and maintain fire., extended, coverage, vandalism, and malicious mischief -insurance on the ~uilding in which the Leased Premises are located. I 1 LIABILIT'f The parties recognize heir respective liability for certain tortious acts of their agents, officers, employees and irivitees, and agree to be responsible respectively for all claims, liability, losses, and/or causes of action that may arise from any negligent act or omission due to the acts of its agents, servants, or employees, to the extent and limits provided by law, said governmen'hl entities subject to the limits provided in Section , Florida Statutes, the State of Florida's partial waiver of Sovereign Immunity. The Parties acknowledge that the foregoing shall not constitute an agreement by one party to indemnify the other for their own negligence. This provision shall not be construed as a waiver of any right or defense hat the governmental entities have under said statute. Each party covenants to maintain sufficient professional, general liability and worker's compensation coverage, unless self-insured, regarding its respective liability, throughout the term of Agreement. 12. RADON GAS Pursuant to Section (81, Florida Statutes, the following disclosure is required by law: R a n is a naturally occurring radioactive gas that, when it has accumulated In a building in sufficient quantities, may present health risks to persons who are exposed to it over tlme. Levels of radon that exceed Federal and State guidelines have been found in buildings in Florida. Additional information regarding radon and radon testing may be obtained from your County Public Health Unit." 33. ACCESS TO LEASED PREMISES Lessee agrees to permit Lessor or Lessor"$ agents to inspect or examine the. Leased Premises at any reasonable
