4 GENERAL TERMS AND CONDITIONS OF SALE Notice: This Price List is subject to the terms and conditions listed below which are binding upon the seller and the buyer under this offer and are hereby incorporated by reference in any subsequent agreement for purchase duly executed between ZUMEX USA, INC. ( Seller ) and its buyer of goods proposed for sale herein: The prices shown in this list price are ZUMEX USA Suggested Retail Prices (MSRP). Prices do not include any applicable taxes. Unless credit application has been approved, advanced payment is required. A 2% discount will be applied when paying in advance. All Purchase Orders MUST include: Shipping and billing address. Reference number, model and quantity needed, Method of shipment and/or required delivery date. All Purchase Orders should be sent to ZUMEX USA, INC in writing, via fax or , to: zumexusa@zumex.com and are subject to acceptance by ZUMEX. Any accounts with past due invoices are subject to review and may be placed on Financial Hold status without further notice. Payment default may be cause for ZUMEX to terminate the Contract with buyer. Buyer bears all cost of collection, including attorney fees. Interest will be charged on past due invoices at 1.5% per month (18% per annum). It is agreed that ZUMEX USA, INC. ( Seller ) retains legal title to the goods on the invoices until payment in full has been received. ZUMEX juicers and accessories are covered by the manufacturer s 2 (two) year Limited warranty - Copy available upon request- IN NO EVENT, SHALL ZUMEX LIABILITY EXCEED THE PURCHASE PRICE OF GOODS. To help ensure quick processing of a claim or a product return, Customer must comply with ZUMEX Claims and Return Policy. -Copy available upon request-. RETURNS WITHOUT A ZUMEX RETURN MERCHANDISE AUTHORIZATION (RMA) WILL BE REJECTED! If goods are damaged during transport so that the damage is noticeable on the outside buyer must IMMEDIATELY advise the driver. Proof of delivery with description of damage/s signed by both Driver & Receiver is required. Notify seller immediately within a 24 hour period after delivery of the merchandise. Claims received after 24 hours of delivery will not be eligible under ZUMEX Warranty. ZUMEX GROUP, S.A. reserves the right to correct misprints and errors in price lists or data sheets. In such case, ZUMEX GROUP, S.A. will notify buyer of new prices at which, buyer at its sole discretion, may cancel the order. ZUMEX reserves the right to discontinue or modify its juicers, including the color thereof, without notice to the owner and shall not be liable to the owner as a consequence of such discontinuance or without written authorization from an authorized representative of ZUMEX Failure to notify Seller immediately of any errors or of nonacceptance of these Terms and Conditions shall constitute acceptance by Buyer. In the absence of written acceptance of these General Terms and Conditions by Buyer, acceptance by Buyer of any goods delivered hereunder shall constitute acceptance of these General Terms and Conditions.
