3 1967 CHAPTER 101 An Act to incorporate Saskatchewan Urban Municipalities Association (Assented to April 1, 1967) Preamble WHEREAS there has existed for some time in the Province of Saskatchewan an association known as the Saskatchewan Urban Municipalities Association having for its objects the general improvement, administration and facilitation of every branch of municipal government and administration in the Province of Saskatchewan; and Whereas the undermentioned members of the said association have by their petition set forth that incorporation in the Province of Saskatchewan would enable the association to attain more effectually its objects; and Whereas a petition has been presented praying for the incorporation of the said Saskatchewan Urban Municipalities Association as a body corporate and politic under the name of Saskatchewan Urban Municipalities Association, and it is expedient that the prayer of the said petition be granted: Therefore Her Majesty, by and with the advice and consent of the Legislative Assembly of Saskatchewan, enacts as follows: Incorporation 1 John Delbert Jackson, of Meadow Lake, John M. Murphy, Milestone, Louis Harrington Lewry, of Moose Jaw, and James D. Connor of Regina, all in the Province of Saskatchewan, and such other persons as now are or may hereafter become under the provisions of this Act or of the bylaws hereinafter referred to, members of the hereinafter mentioned corporation, shall be and are hereby constituted and declared to be a body corporate and politic under the name of Saskatchewan Urban Municipalities Association (hereinafter referred to as the corporation ) and by that name shall have perpetual succession and a common seal. 1967, c.101, s.1. Executive Committee 2 The persons named in section 1 shall be the first board of directors of the corporation and shall continue to hold office until replaced in accordance with the terms of this Act and of the bylaws of the corporation. 1967, c.101, s.2. Head office 3 The head office of the corporation shall be at The City of Regina, in the Province of Saskatchewan, or at such other place in the Province as may be determined by bylaw. 1967, c.101, s.3.
4 4 c. 101 MUNICIPALITIES ASSOCIATION Objects 4(1) The objects of the association are the general improvement and facilitation of every branch of municipal government and administration by the following means: (a) the perpetuation of the organization of an agency for the co-operation of Saskatchewan municipalities on all questions pertaining to municipal government and administration; (b) the guidance and improvement of legislation, both dominion and provincial upon municipal questions and the betterment of municipal interest generally; (c) the holding of an annual convention for discussion, information and resolution on the above subjects; (d) the securing of united action for the protection of municipalities and municipal interest as a whole. (2) In addition to the objects set out in subsection (1), the corporation may: (a) provide for resale or on commission, for the benefit of any city or town or village such commodities or services as that city, town or village may require; (b) bring into closer communion one with another every urban municipality association created or established or that may be created or established in the said province; (c) subscribe to and become a member of or incorporate with any other society or association, whether incorporated or not, whose objects in whole or in part are similar to the objects of the corporation; (d) accumulate and distribute information and give advice to members of the corporation regarding municipal government and administration; (e) do such things and perform such acts as will promote the best interests of municipal government of Saskatchewan as a group or a class or as municipal government in general. 1967, c.101, s.4. Acquisition of property 5 The corporation may acquire by gift or purchase and have, hold, possess and enjoy land, tenements, rents, annuities and other property of kind whatsoever within the Province of Saskatchewan. 1967, c.101, s.5. Disposal of property 6 The corporation may from time to time sell, alienate, exchange, mortgage, let, lease or otherwise dispose of any part of its real or personal estate. 1967, c.101, s.6. Bills of exchange 7 The corporation may draw, make, accept, endorse, execute and issue promissory notes, bills of exchange and other negotiable instruments. 1967, c.101, s.7.
5 5 MUNICIPALITIES ASSOCIATION c. 101 Attorneys and executive secretaries 8 The corporation has the power to appoint an attorney, a manager, or a secretary-treasurer, or any one of them for the purpose of carrying on the activities of the corporation, but it shall not be necessary for the corporation to appoint any of the above named officials other than a secretary-treasurer. 1967, c.101, s.8. Investments 9 The net assets of the corporation may be invested in reliable securities in the form of government, municipal, school or telephone bonds or debentures and any amount not so invested shall be deposited in a chartered bank in the province or in a credit union in the province, incorporated under The Credit Union Act or any former Credit Union Act. 1967, c.101, s.9. Bylaws, rules, etc. 10 The corporation may make bylaws, rules and regulations for the government and proper administration of its property, affairs and interests including the election, appointment, removal and retirement of officers, or of any other person holding office under the corporation and for the general management and internal government of its affairs. 1967, c.101, s.10. Returns 11 The corporation shall at any time when required by the Lieutenant Governor in Council so to do, render an account in writing of its property and affairs to the Provincial Secretary. 1967, c.101, s.11. Investments 12 The revenue issues and profits of all the property and assets of the corporation shall be applied to and be used in promoting the objects and purposes for which the corporation is established. 1967, c.101, s.12. Borrowing 13 The corporation may borrow from any person, firm or corporation, such sum of money as may be found necessary for the purposes of the corporation, and to secure any loan to the lender or lenders by bonds, debentures, bills of exchange, promissory notes, mortgages or any other instrument whatsoever that may be required or deemed necessary or advisable by the lender or lenders. 1967, c.101, s.13. Corporate seal 14 The corporation shall adopt a corporate seal and may change it at will. 1967, c.101, s.14.
6 6 c. 101 MUNICIPALITIES ASSOCIATION Liabilities of members for debts 15 No member or officer of the corporation shall be personally liable, accountable or chargeable for any debt, claim or demand due or payable by, or for any act or default of, the corporation. 1967, c.101, s.15. Vesting of assets and liabilities 16(1) On the coming in force of this Act, all the lands, estates, property, real, personal or mixed, effects, rights, credits, choses in action and causes of action of every description belonging to or standing in the name of or existing in Saskatchewan Urban Municipalities Association are, without fee or charge by the Registrar of the Land Registration District in which the said property lies, transferred to and vested in the corporation without further Act, conveyance or other deed to and for the use and benefit absolutely of the corporation, its successors and assigns for all the estate, right, title, interest, claim and demand which the corporation has on coming into force of this Act or thereafter becomes or may become entitled to; and the corporation may exercise all the powers, rights and privileges over for and in respect of them or any of them that the corporation has or had or could or might have exercised. (2) The corporation shall assume and it is liable for all of the debts, liabilities and charges of every kind and description existing against Saskatchewan Urban Municipalities Association as at the date of the coming into force of this Act. 1967, c.101, s.16.
