NOTE: The parts tinted green on the title plan are not included in the title. 2 The land edged and numbered 1 in yellow on the title plan has the benefit of the following rights granted by but is subject to the following rights reserved by a Transfer thereof and other land dated 25 October 1985 made between (1) The Council of the Borough of Broxbourne (Transferor) and (2) Wates Built Homes (Blakes) Limited (Transferee):- "THE land hereby transferred is transferred subject to the matters contained in the First Schedule hereto and with the benefit of the rights contained in the Second Schedule hereto. THE FIRST SCHEDULE EXCEPTIONS AND RESERVATIONS 1. All rights through the existing pipes wires cables and drains for the supply of water gas electricity telephones and drainage of water and soil and vehicular and pedestrian rights of ingress and egress as are enjoyed by Hertfordshire County Council in respect of the land edged green on the accompanying plan. THE SECOND SCHEDULE RIGHTS GRANTED Rights in fee simple for the benefit of the land hereby transferred and each and every part thereof: (A) To enter upon the adjoining land so far as is necessary and after giving 14 days written notice (except in cases of emergency) with all necessary plant machinery equipment and materials for the purposes of: (i) constructing and thereafter maintaining repairing and renewing any existing or future buildings walls fences or other structures on or close to the boundaries of the land hereby transferred: (ii) constructing and laying all necessary pipes wires cables and drains intended to serve the proposed development of the land hereby transferred together with the right thereafter to use the same and to enter upon the adjoining lands upon giving 14 days prior notice (except in cases of emergency) for the purpose of inspecting repairing and renewing the same subject to causing as little inconvenience and damage as possible in exercise of the said right of entry and to forthwith making good all damage caused thereby. (iii) constructing (and thereafter exercising vehicular and pedestrian rights of way thereover) an access road leading from Turners Hill to and from the land hereby transferred in the position shown brown on the accompanying plan and constructing the works referred to in the First Schedule to the Deed of Grant intended to be made between (1) the Transferor (2) the Transferee and (3) Hertford County Council (B) Of using any existing pipes wires cables and drains upon the adjoining lands for the supply of water gas electricity telephones and drainage water and soil together with any rights of connection thereto that the Transferor may have or is able to grant. NOTE: The right of way over the access road to be constructed and the rights of entry for maintenance of future boundary structures and service pipes are included in the registration only so far as such rights are validated by the Perpetuities and Accumulation Act The land edged and numbered 1 in yellow on the title plan has the benefit of the following rights granted by but is subject to the following rights reserved by a Deed dated 27 November 1985 made between (1) The Mayor and Burgesses of the London Borough of Haringey (Grantor) and (2) Wates Built Homes (Blakes) Limited (Grantee):- "HEREBY GRANTS unto the Grantee full privilege right and liberty for the Grantee and its successors in title the owners and occupiers for the time being of the dominant land (i) within one month of the date hereof to carry out works (hereinafter called "the works") of construction and laying a foul sewer and ancillary apparatus and connections (hereinafter called "the foul sewer") through and under that part of the servient land shown coloured yellow on the said Drawing No. THC/B/ED/305 annexed hereto. (ii) at all times thereafter to use the foul sewer for the passage or conveyance of water and soil from the dominant land. (iii) at all times thereafter to inspect repair and maintain the foul sewer. 2 of 18

4 A: Property Register continued TOGETHER WITH the right of access to the foul sewer or to any part thereof with all necessary workmen vehicles equipment plant and machinery at all reasonable times upon seven days prior written notice to the Grantor being given and in an emergency at any time TO HOLD the same unto the Grantee in fee simple EXCEPT AND RESERVING unto the Grantor the right at any time and its own expense to connect to the foul sewer without payment of any charge". NOTE: The land coloured yellow referred to is shown by a broken blue line on the title plan. 4 The Deed dated 5 August 1986 referred to in the Charges Register is expressed to grant the following rights:- "THE Council HEREBY GRANTS unto Wates full right and liberty (until the same or any part hereof is adopted and becomes a public highway) for Wates and its successors in title the owners and occupiers for the time being of the land (and each and every part thereof) transferred by the Council to Wates by Transfers dated 25 October 1985 and 13 March 1986 (in common with the Council and all other persons having the like right) at all times hereafter by day or night with or without vehicles to pass and repass over and along that part of the New Road coloured brown and unhatched as remains in the ownership of the Council and similar rights but on foot only over and along that part of the New Road coloured brown and hatched black as remains in the ownership of the Council for all purposes connected with the development use and enjoyment of the said land transferred to Wates (including the right upon prior notice to enter upon such land over which the said rights are hereby granted and such adjoining land as is necessary with all necessary plant machinery equipment and materials for the purposes of constructing and subsequently maintaining the New Road". NOTE: The New Road coloured Brown and unhatched is tinted blue on the title plan. The land coloured brown and hatched black is hatched brown on the title plan. 5 The land edged and numbered 2 in yellow on the title plan has the benefit of the following rights granted by the Transfer dated 10 December 1986 referred to in the Charges Register:- "Rights in fee simple for the benefit of the Property and each and every part thereof. (A) To enter upon the adjoining lands so far as is necessary and after giving 14 days written notice (except in cases of emergency) which all necessary plant machinery equipment and materials for the purposes of (i) constructing and thereafter maintaining repairing and renewing any existing or future buildings walls fences or other structures on or close to the boundaries of the Property (ii) constructing and laying all necessary pipes wires cables and drains intended to serve the proposed development of the Property together with the right thereafter to use the same and to enter upon the adjoining lands upon giving 14 days prior notice (except in cases of emergency) for the purpose of inspecting repairing and renewing the same subject to causing as little inconvenience and damage as possible in exercise of the said right of entry and to forthwith making good all damage caused thereby. (B) Of using any existing pipes wires cables and drains upon the adjoining lands for the supply of water gas electricity telephone and drainage water and soil together with any rights of connection thereto that the Transferor may have or is able to grant". NOTE: The adjoining lands referred to are edged blue on the title plan and Grundy Park. 3 of 18

5 A: Property Register continued 6 The land edged and numbered 2 in yellow on the title plan has the benefit of the following rights reserved by the Transfer dated 3 July 1987 referred to in the Charges Register:- "excepting and reserving unto the Transferor for the benefit of the Transferor and its successors in title the owner or owners for the time being of any part of the Estate the rights set out in Part 2 of the First Schedule to this Deed. Part 2 (Exceptions and Reservations to the Transferor and its Successors in Title) 1. The right to the running of water soil electricity and gas through the sewers drains pipes wires and cables and conduits now laid or to be laid in the Land during the Specified Period. 2. The right to enter the land with or without vehicles for the purposes of inspecting and repairing any sewers drains pipes wires cables and conduits and for inspecting the adjoining or neighbouring properties subject to the making good of any damage caused by the exercise of this right. 3. The right to support as at present enjoyed by the adjoining properties from the land or any part thereof. 4. The right to affix a television aerial or repeater equipment to the land and maintain the same. 5. The right to lay any sewers drains pipes wires cables and conduits under the Land and to connect to any existing services within the Specified Period. 6. The right to retain the Projections incidental to the use of any adjoining land which now overhang or protrude above the land" 7 The land edged and numbered 2 in yellow on the title plan has the benefit of the following rights reserved by the Transfer dated 15 March 1988 referred to in the Charges Register:- "The property is transferred subject to the matters contained in the First Schedule hereto THE FIRST SCHEDULE Exceptions and Reservations and Existing Rights 1. The matters contained or referred to in the First Schedule to a Transfer dated the 10th December 1986 between the Council of the Borough of Broxbourne (1) and the Transferor (2) 2. Excepting and Reserving unto the Transferor and its successors and assigns and all persons authorised by it in fee simple for the benefit of the remainder of the land shown in part coloured brown and in part edged brown on the plan numbered 2 (" the access road site") attached to a Transfer dated the 16th November 1987 between The Council of the Borough of Broxbourne (1) the Transferor (2) and the Transferee (3) the right to enter upon the Property with all necessary plant machinery equipment and materials for the purpose of constructing and thereafter maintaining repairing and renewing the access road constructed or proposed to be constructed on the access road site and all pipes wires cables drains and sewers running thereunder. 3. Excepting and Reserving unto the Transferor and its successors and assigns and all persons authorised by it in fee simple for the benefit of the adjoining property edged with blue on the plan numbered 2 attached to the said Transfer of 16th November 1987 and Grundy Park the right to use and connect it to any pipes wires cables drains and sewers ("the conduits") for the supply of water gas electricity telephones and drainage of water and soil as are now or may during the period of 80 years from the date hereof be laid in or under the Property together with the right to enter upon the Property upon giving 14 days prior 4 of 18

All rights through the existing pipes wires cables drains and sewers for the supply of water gas electricity telephones and drainage of water and soil as are enjoyed both by Hertfordshire County Council in respect of the land edged green on the plan numbered 2 attached to the said Transfer of the 16th November 1987 and by any neighbouring or adjoining properties. NOTE 1: The Transfer dated 10 December 1986 referred to is set out above. NOTE 2: The land coloured brown and the land edged brown have been tinted yellow and tinted brown on Supplementary Plan Number 1 to the title plan. The Transfer dated 16 November 1987 referred to is in respect of land adjoining the most North Eastern boundary of the land in this title. The land edged green referred to is edged brown on the title plan 8 ( ) The land has the benefit of the following rights granted by the Transfer dated 15 May 1990 referred to in the Charges Register:- "The First Transfer... hereby grant in relation to their respective retained properties the Transferee the rights in the Fourteenth Schedule FOURTEENTH SCHEDULE Rights granted with the property transferred The right to exercise all easements and quasi easements and other rights in the nature of easements now enjoyed with the property hereby transferred for the benefit of the property hereby transferred and for no other purpose in common with the Transferors its successors in title and assigns and all others so entitled" B: Proprietorship Register This register specifies the class of title and identifies the owner. No ) of 1260 London Road, Norbury, London, SW16 4EG. 2 ( ) A Transfer of the land in this title dated 15 May 1990 made between (1) Wates Built Homes Limited and others (Transferor) and (2) Danesdale Land Limited (Transferee) contains Purchaser's personal covenant(s) details of which are set out in the schedule of personal covenants hereto. 3 ( ) RESTRICTION: No disposition of the registered estate by the proprietor of the registered estate,or by the proprietor of any registered charge, not being a charge registered before the entry of this restriction, is to be registered without a written consent signed by the proprietor for the time being of the Charge dated 20 July 1990 in favour of Barclays Bank Plc referred to in the Charges Register. Schedule of personal covenants 1 The following are details of the personal covenants contained in the Transfer dated 15 May 1990 referred to in the Proprietorship Register:- 5 of 18

7 Schedule of personal covenants continued "The Transferee hereby covenants with the Transferors and for the beenfit of land retained by the Transferor that the Transferee and the persons deriving title under it will at the time hereafter:- (i) observe and perform the provisions obligations and covenants mentioned or referred to in the Charges and Property Registers of the titles registeed under title numbes in the Schedule 1 to 13 inclusive hereto and/or entered into by the Transferors for the purpose of carrying out the developments situated on the Ground Rents and/or contained or referred to in the matters and documents in Clauses 7.1, 7.3, 7.5 and 7.6 of this Transfer so far as they subsist and are capable of being enforced and affect the Ground Rents and shall discharge and make payment due in respect of the Ground Rents and hereby indemnifies the Transferors in respect of any claims action demands for breach thereof Provided that the Transferee shall not be obliged by the Transferors to construct or install works or make any payments relating to the construction or installation of works which the Transferors covenanted prior to the date hereof to execute or make under:- (a) Agreements pursuant to Section 18 of the Public Health Act 1936 (b) Agreements pursuant to Section 52 of the Town and Country Planning Act 1971 (c) Agreements pursuant to Section 38 of the Highways Act (d) Agreements similar to the above agreements with the respective prefixed (a), (b) and (c) in this Clause 8.2(i) with local authorities and statutory undertakers. (the agreements with the respective prefixes (a), (b) and (c) and (d) in this Clause 8.2(i) are hereinafter referred to as "the Development Agreements") And Except the Transferee shall be responsible for the maintenance repair and replacement of works and services or payments in respect thereof where required under the Development Agreements insofar as they relate to the Ground Rents or any part(s) of a Ground Rent or the Developments thereon. Provided that the Transferee shall not be responsible for works and services which the Transferor covenanted to undertake prior to the date hereof for the purpose of adoption by local or statutory authorities to bring roads and their accompaying footpaths rivers walks and sewers up to adoption standards of local or statutory authorities (iii) Without prejudice to the provisions of covenant 8.2(i) above the Transferee and its successors in title shall within a reasonable time of request or requests by the Transferors (or any of them)(such request or requests to be made within the period of 80 years hereof being the applicable perpetuity period) make any conveyance transfer assignment grant of lease and grant any easement in respect of any Ground Rent or any part(s) of a Ground Rent necessary to give effect to:- (a) any existing agreements requiring adoption for public purposes and/or amenity purposes and/or otherwise (b) any existing agreements with any statutory or other body or otherwise in relation to the provision of sewers drains watercourses cables wires or channels and the use of the same (c) any existing contractural obligation between the Transferors (or any of the Transferors) and the tenants and/or the purchasers of the developments situated on the Ground Rents but not given effect to in any completed leases or transfers to the said tenants and/or the said purchasers And provided that the Transferor shall be responsible for the proper legal costs of the Transferee and its successors on completion in respect of any such Conveyance Transfer Assignment Grant of Lease or Grant of Easement". (iv) The Transferee hereby covenants with the Transferors that it and its successors in title shall at any time within the perpetuity period 6 of 18

8 Schedule of personal covenants continued of 80 years from the date hereof (being the perpetuity period applicable) enter into such deed or deeds (and at the reasonable cost of the Transferors) and in such form as may be reasonably required by the Transferors and/or their successors in title to confirm the grant of reservation of the rights referred to in Schedule 15 hereto. Provided that in the absence of such deed or deeds and providing the execution thereof the Transferors and its successors in title shall be entitled to exercise such rights as of right. (v) The Transferee hereby covenants that upon making any disposition of any Ground Rent or part thereof the person making the disposition will forthwith give the transferors notice in writing thereof and will also procure that the person taking under such disposition shall enter into a similar covenant as contained in the whole of Covenant 8.2(ii) and 8.2(iii) Such transferee shall also covenant that it and its successors in title will enter into similar covenants with the Transferors including this covenant. The Transferee hereby covenants with the Transferors that it and its successors in title shall at any time within the period of 80 years from the date hereof (being the perpetuity period applicable) enter into such Deed or Deeds (and at the reasonable cost of the Transfeors) and in such form as may reasonably be required by the Transferors and/or its successors in title to confirm the grant or reservations of the rights referred to in this Schedule PRTOVIDED THAT in the absence of such Deed or Deeds and pending the execution thereof the Transferors and its successors in title shall be entitled to exercise such rights as of right". NOTE 1: Where relevant, the provisions contained in the registers referred to are set out in the registers of this title. Clauses 7.1, 7.3, 7.5, and 7.6 are set out below. 9 C: Charges Register This register contains any charges and other matters that affect the land. 1 The parts of the land affected thereby are subject to the leases set out in the schedule of leases hereto. The leases grant and reserve easements as therein mentioned. 2 The land is subject to the following rights granted by a Deed dated 5 August 1986 made between (1) The Council of The Borough of Broxbourne (Grantor) (2) Wates Built Homes (Blakes) Limited (Grantor) and (3) Hertfordshire County Council (Grantee):- "The Grantor as beneficial owner HEREBY GRANTS unto the Grantee (until the same or any part theeof is adopted and becomes a public highway) full right and liberty for the Grantee and its successors in title the owners and occupiers for the time being of the Second land or any part thereof and its or their respective servants and licensees (in common with the Grantor and all other persons having the like right) at all times hereafter by day or night with or without vehicles to pass and repass over and along that part of the New Road coloured brown and unhatched and similar rights but on foot only over and along the New Road coloured brown and hatched black for all purposes connected with the use and enjoyment of the Second Land but not for any other purpose whatsoever TO HOLD the said right of way unto the Grantee in fee simple". NOTE: The second land referred to is edged brown on the title plan. The new road coloured brown unhatched referred to is tinted blue on the title plan. The new road coloured brown hatched black referred to is hatched brown on the title plan. 3 The land edged and numbered 2 in yellow on the title plan is subject to the following rights reserved by a Transfer thereof and other land dated 10 December 1986 made between (1) The Council of The Borough of Broxbourne (Transferor) (2) Wates Built Homes (Blakes) Limited (Transferee):- "1. The land edged green referred to is edged brown on the title plan. 4 The land edged and numbered 2 in yellow on the title plan is subject to the following rights granted by a Transfer of the land tinted mauve on the title plan dated 3 July 1987 made between (1) Wates Built Homes Limited (Transferor) (2) Wates Built Homes (Blakes) Limited (Blakes) (3) Pamela Ann Lake (Purchaser) and (4) Clarenborne Management Limited (Management Company):- 8 of 18

10 C: Charges Register continued "together with the rights (which insofar as they affect the part of the Estate of which Blakes is or was registered proprietor Blakes as trustee at the direction of the Transferor directing as beneficial owner hereby grants) set out in Part 1 of the First Schedule to this Deed. FIRST SCHEDULE Part 1 (rights granted to the Purchaser) Subject to payment by the Purchaser of the payments due under operative clause 5 of this Deed. 1. The right of way in common with all others entitled to the like right to and from the land: (a) with or without vehicles over the Estate roads shown on the Plan; and (b) on foot only over and along the communal footpaths and steps now or hereafter to be laid out on the Estate. 2. The right to the running of water soil electricity and gas through the sewers drains pipes wires cables and conduits now laid or to be laid in the adjoining or neighbouring properties on the Estate within the Specified Period. 3. The right to enter the adjoining or neighbouring properties on the Estate with or without workmen at any reasonable time for the purposes of inspecting and repairing the said sewers drains pipes wires cables and conduits and the land subject to the making good of any damage caused in the exercise of this right. 4. The right to use for purposes of recreation the Amenity Lands on the Estate (so far as the same are capable of being put to such use) but subject to all regulations from time to time made by the Management Company. 5. The right to support as at present enjoyed from the structure of other buildings and load bearing beams adjoining or supporting the Land or any part thereof. 6. The right to connect to the television aerial system (if any) serving the Land at the point provided within the Land. 7. The right to retain the Projections which now overhang or protrude any adjoining property on the Estate" 5 The land edged and numbered 2 in yellow on the title plan is subject to the following rights granted by a Transfer of the land tinted pink on the title plan dated 15 March 1988 made between (1) Wates Built Homes Limited (Transferor) and (2) McCarthys Stone (Developments) Limited (Transferee):- The property is transferred with the benefit of the rights contained in the Second Schedule hereto THE SECOND SCHEDULE Rights Granted 1. The rights contained in the Second Schedule to the said Transfer of the 10th December (In common with all others entitled to use the same) vehicular and pedestrian rights of way over the access road constructed or proposed to be constructed from Turners Hill to and from the property the site whereof is shown coloured brown on the plan number 2 attached to the said Transfer of the 16th November 1987 subject to such rights of way being liable to temporary interruption for as short a period as reasonably possible in order to carry out works either to the access 9 of 18

Subject to the consent of any competent authority the right to use any existing pipes wires cables drains and sewers under the said access road referred to in Clause 2 of this Second Schedule for the supply of water gas electricity telephones and drainage of water and soil. 4. (c) enter the property hereby transferred with or without workmen for the purpose of inspecting and repairing the Transferors adjoining or neighbouring properties subject to the making good of any damage caused in the exercise of this right. (d) enter the property hereby transferred to carry out any obligation the Transferors are obliged to carry out under:- (i) Agreements pursuant to Section 18 of the Public Health Act 1936 (ii) Agreements pursuant to Section 52 of the Town and Country Planning Act 1971 (iii) Agreements pursuant to Section 38 of the Highways Act (iv) Any development Agreements entered into by the Transferors or its predecessors in title. Subject to making good as soon as reasonably possible of any damage caused in the exercise of this right. 2.
