2 Overview The SUN Co-operative and Soventix Canada Inc. are pleased to meet with you to discuss the option of leasing and developing a 600 kw ground-mount solar project on your land. We are proposing to enter into a 20-year lease agreement with our partnership in which: Soventix develops the project through to commercial operation, when SUN Co-op takes ownership for the long-term. No investment is required by you, the Landlord. Proposed lease payments to you of $5,500 per year, or $110,000 over 20-years. SUN Co-operative is a local non-profit co-operative of about 90 Sudburians (so far) volunteering to bring renewable energy and co-operative investment opportunities to Sudbury so we can support environmental projects with the profits. Our team is uniquely positioned to work with you: Experienced team capable of delivering a full solar solution since the FIT program started Track record of success in the Ontario market: with over 12 MW of solar either in construction or completed, Soventix is a key player in the 600 kw project niche. Local ownership and investment from the Sudbury community, allowing all residents of the City of Greater Sudbury to benefit from the project. 2
3 Lease Overview SUN Co-op and Soventix lease land to develop solar photovoltaic ( PV ) projects through to commercial operation. SUN Co-operative take long-term ownership of the investment-grade projects and ensure safe operation and reliable returns. The Landlord receives a portion of the project s income in exchange for the property used by the project. Underutilized property is put to work at no cost. Monthly payments for solar energy Lease Payments Landlord Solar Energy 20-year lease payments backed by Province of Ontario credit rating 3
4 About Soventix Soventix develops, designs, and builds ground-mount and rooftop solar energy systems across Ontario and internationally. Since 2009 we have been responsible for advising on or implementing over 50 MW of solar PV systems in Ontario including agricultural, commercial and utility projects. Soventix has developed a global reputation for providing best-in-class services in all aspects of design and construction of solar PV systems. Warner Bros. 5 Process The phases of development can be divided into the following key steps: Option to Lease Agreement Contract Application with OPA Engineering, Design & Approvals Lease Agreement Construction and Grid Connection Transfer of Project to SUN Co-op Put underused land to use with an option to lease. Soventix will begin with a technical assessment, and application preparation. Soventix has a proven process that ensures application completeness and eligibility with emphasis on the highest priority points to meet the mandated requirements. Once an IESO contract is awarded, Soventix consults with the Landlord as it finalizes the system design, schedule and obtains construction permits. Soventix will exercise a 20- year lease in order to prepare a FIT application for the IESO. Soventix plans the construction of the system around the continued operation of your lands. Upon commercial operation, SUN owns and operates the system for 20- years. 3 months 4-6 months 4-6 months Complete process is expected to take just over 1 year to completion 5
6 Service Commitment Soventix and SUN Co-op keeps landlords informed of the project progress and the solar industry. Soventix values communication for the benefit of both parties. Regular status updates and reports System design consultation with the Landlord 100% risk mitigation and minimum impact on property or operations. System Design Consultation Throughout the development and design process, the landowner is consulted with to ensure minimal disturbance to their lands. Surveys and studies can be shared with landlords if desired. A continuous dialogue with landlords is essential to longterm success of the project. Risk Mitigation & Minimizing System Impact Best-in-class design and equipment selection. 25-year equipment warranties. Operation and maintenance contracted to experienced O&M service provider over lifetime of system. System insurance and liability insurance Physical security measures and live performance monitoring. Updates & Transparency As part of Soventix and SUN Co-op s communications, we provide regular project updates during the development and construction of the project. Clarity is provided throughout the life of the lease so landlords understand exactly what is happening with the project. 6

9 Proposed Lease Terms A Lease Agreement is straight-forward, risk-free and provides a stable income 20-year lease agreement Full land remediation upon conclusion of lease No investment required by Landlord Soventix pays property tax on leased land Lease payments backed by IESO FIT contract Lease rates are based on the gross revenue of the solar project from its 20-year contract with the IESO.
