3 TOWNSHIP OF ALGOMA COUNTY OF KENT, MICHIGAN NOTICE OF PUBLIC HEARING TO CONSIDER APPROVAL OF AN INDUSTRIAL FACILITIES TAX EXEMPTION CERTIFICATE [MONEY PIT PROPERTIES, LLC, LUYK DRIVE, N.E.) PUBLIC NOTICE IS HEREBY GIVEN that the Township Board of the Township of Algoma will hold a public hearing on September 8, 2015, at 7:00 p.m. at the Algoma Township Hall, Algoma Avenue, N.E., within the Township, on the application of Money Pit Properties, LLC for an Industrial Facilities Tax Exemption Certificate for building improvements on lands located at Luyk Drive, N.E., and legally described as follows. Units 1, 2, 3, 4, 5 and 6 of Edgewood Business Park Condominium, a Site Condominium according to the Master Deed recorded in Liber 4929, on page 621 and amendments thereto, if any, and designated as Kent County Condominium Subdivision Plan No. 483, together with rights in general common elements and limited common elements as set forth in said Master Deed and as described in Act 59 of the Public Acts of 1978, as amended. Following the public hearing, the Township Board may consider a resolution for the approval of an Industrial Facilities Tax Exemption Certificate under the terms of the Michigan Plant Rehabilitation and Industrial Development Districts Act, Act 198 of the Public Acts of Michigan of 1974, as amended, with respect to the building improvements more fully described in the application. All interested persons may attend the public hearing and comment on the requested Industrial Facilities Tax Exemption Certificate. Written comments may be submitted to the Township office, to the attention of the Township Supervisor, at the above-stated address, up to the time of the public hearing. Bigney Township Clerk Township of Algoma Algoma Avenue Rockford, MI Re: Money Pit Properties, LLC Application for Industrial Facilities Exemption Certificate (Act 198 Tax Abatement), Luyk Drive Dear Nancy and Judy: As you know, a public hearing on the application of Money Pit Properties, LLC for an Act 198 property tax abatement has been scheduled for the September 8 Township Board meeting. As stated in my letter of August 20, the notices of the public hearing were mailed by certified mail on that date to Money Pit Properties, the Township assessor, the Township Board, all of the taxing units for which Algoma collects property taxes and the Michigan Department of Treasury. For the public hearing, I enclose the following: 1. A Township Board resolution that would approve the proposed property tax abatement, for the 12 years requested. 2. A proposed agreement between Money Pit Properties, LLC and Algoma Township concerning the abatement, the applicant s financial investment, the expected number of jobs to be created as a result of the abatement and other matters. 3. An affidavit to be signed on behalf of Money Pit Properties and the Township, attesting that the Township does not require from Money Pit any fee or other payment in excess { } Page 4 of 94

An affidavit to be signed by Mr. Dykstra of Money Pit Properties, stating the date of commencement of construction of the proposed facility. 5. The Michigan Department of Treasury form titled Fiscal Statement, which is to be completed by the Township and submitted with the application and other materials to the State Tax Commission. As indicated earlier, the required industrial development district consisting of the lands involved was established, by action of the Township Board in 2011, when Money Pit Properties first applied for a tax abatement. That district is still in effect. If the Township and the State Tax Commission approve the abatement, Money Pit Properties will pay, instead of the usual property taxes, an industrial facility tax for the duration of the abatement. The amount of the industrial facility tax is determined for each year of the term of the abatement by multiplying the taxable value of the facility, excluding land and inventory, by the sum of (1) 1/2 of the total mills levied as ad valorem taxes for that year by all taxing units, other than mills levied under the State Education Tax Act and (2) the number of mills levied under the State Education Tax Act. I offer the following comments about the resolution and the agreement: 1. The abatement can be for any number of years, up to 12. The resolution has been prepared for a 12-year abatement, inasmuch as this number of years was approved by the Township in the 2011 proceedings. If the Board desires a shorter term on the abatement, subparagraph 3(b) should be revised accordingly. 2. The proposed building would consist of 15,000 square feet of space, and is thus 50% larger than the one proposed in The applicant states that it would invest $950,000 in the establishing of the facility (the proposed investment in the 2011 proceeding was $550,000) ,000 square feet of the building would be used as a research and development laboratory relating to manufacturing and processing techniques, and about 3,000 square feet would be office space. 4. The applicant states that if granted the tax abatement, it would provide and maintain employment for the equivalent of four jobs, commencing within one year after the facility is completed. This commitment as to new jobs is stated in paragraph 3 of the agreement. { } Page 5 of 94

Paragraph 5 of the agreement provides for an annual percentage of the abated property tax to be repaid, if the applicant relocates to another jurisdiction or closes more than an insubstantial part of the facility before the expiration of the abatement. 6. Paragraph 6 of the agreement requires the applicant to submit an annual status report of its activity with respect to the facility not later than March 31 of each year, for the previous year. When the matter is considered by the Board at the September 8 meeting, an opportunity should be provided for any interested persons to comment on the requested abatement, prior to the Board s decision on the matter. If the Board approves the abatement at the September 8 meeting and if the agreement is signed by both parties, that concludes the required Township proceedings. However, all of the necessary papers must be forwarded by the Township to the State Tax Commission not later than October 31, in order for the abatement to be effective in If questions arise or if I can assist further in the matter, please let me know. 10 Agreement Between Money Pit Properties, LLC and the Township of Algoma Concerning Industrial Facilities Exemption Certificate for Building Improvements at Luyk Drive This Agreement made this day of, 2015, by and between Money Pit Properties, LLC (the Company ) and the Township of Algoma, a Michigan general law township, of Algoma Avenue, Rockford, Michigan (the Township ), for the purpose of fulfilling the requirements of Act 198 of the Public Acts of Michigan of 1974 as amended, and to DRAFT specify the rights, duties and obligations of the respective parties concerning the Industrial Facilities Exemption Certificate described on Exhibit A, attached hereto and made a part hereof. 1. Purpose and Representations. The Company has entered into this Agreement with the Township for the purpose of inducing the Township to grant an Industrial Facilities Exemption Certificate (the Certificate ) for an industrial facility to be located at Luyk Drive (the Facility ), described in an application that has been filed by the Company with the Township, pursuant to the Plant Rehabilitation and Industrial Development Districts Act, being Act 198 of 1974, as amended (the Act ). a. The Company acknowledges that as a prerequisite to obtaining the Certificate, the Company has made certain material representations to the Township in its application, upon which the Township has justifiably relied, and will continue to rely, and based upon which the Company may receive certain property tax abatements and other benefits to which it otherwise would not be entitled. b. In consideration of receiving the Certificate, the Company agrees that should any of the material representations made by the Company be erroneous or should the Company fail to substantially perform any of its duties or obligations under the terms of this Agreement or with respect to the Certificate, the same shall constitute a breach of this Agreement, in which case the Township may in its discretion petition the State Tax Commission to revoke the Certificate. 2. Investment. The Company represents that it will, with respect to the Facility, and subject to suitable allowance for depreciation and decrease in market value during the entire period of the tax abatement approved by the Township, invest and maintain not less than $950,000 in building improvements in the Township. 3. Employment. The Company further represents that it will, commencing not more than one (1) year after the Facility is completed, provide and maintain employment for the equivalent of four (4) new jobs as a result of the requested abatement, as to the Company s facility in the Township. { } Page 10 of 94

11 4. Local Hiring. When hiring employees, the Company shall make a good-faith effort to hire employees residing in the Township and in the immediately surrounding area; provided, however, that this provision shall not require the Company to take any action in violation of applicable employment-related laws or requirements, and the Company retains the right to hire the most qualified employees as permitted under applicable law, without regard to place of residence. 5. Operation of Facility. The Company agrees that it or its lessee will operate the Facility for which tax abatement has been requested for the entire period of the tax abatement. If, after written notice to the Company (including the statement of a period of time within which the Company may respond), the Township in its sole judgment, determines that the Company has taken action which constitutes relocation of more than an insubstantial part of its Facility to another jurisdiction, or closes more than an insubstantial part of the Facility, prior to expiration of the tax abatement, then the Company shall reimburse all affected taxing units a portion of the difference between the taxes which were paid, and those which would have been paid but for the tax abatement, in accordance with the following schedule: Years After Certificate is Issued in Which Real Property Use is Discontinued First year through second year 100% Second year through third year 75% Third year through fourth year 65% Fourth year through fifth year 55% Fifth year through sixth year 45% Sixth year through seventh year 35% Seventh year through eighth year 25% Eighth year through ninth year 15% Ninth year through tenth year 5% Tenth year through eleventh year 0% DRAFT Percentage of Real Property Tax Abatement to be Repaid If the Company fails to make such repayment to the Township, upon demand, the Township may collect the abated taxes in the manner provided by the Act for the collection of delinquent industrial facilities taxes, or in any other manner permitted by law. 6. Annual Report. The Company shall submit to the Township Supervisor during the term of the Certificate, an annual status report, summarizing activity with respect to the Facility as of the end of each calendar year. Such report shall be submitted not later than April 15 of each subsequent year. The report shall include, among other matters, the actual number of jobs created or retained as of December 31 of the preceding year, and shall also include such other information as is reasonably requested by the Township to verify continued compliance with this Agreement. 7. Compliance with Laws. The Company shall comply with all applicable federal, state and township laws, regulations, codes, ordinances and rules, together with any environmental enforcement requirements, during the entire period for which the Certificate is granted. { } 2 Page 11 of 94

12 8. Payment of Taxes. The Company shall timely pay all taxes and special assessments set forth on the regular ad valorem tax roll, or otherwise, and levied upon the Facility, throughout the term of the Certificate; provided, however, that the Company may protest any taxes or special assessments it deems improper, and may otherwise exercise such tax appeal rights as are provided by law. 9. Completion of Facility. Not later than 90 days following completion of the Facility, the Company shall provide to the Township certification of all amounts spent on the Facility, shall provide the Township with a written appraisal of the property, and shall certify to the Township the number of employees then employed at the Facility. 10. Notice to Township. The Company shall give the Township at least sixty (60) days written notice of any of the following: a. The closing of the Facility or any part thereof; b. The sale or removal of any equipment subject to the Certificate; or c. The sale, transfer, merger or other reorganization of the Company. This Agreement shall become effective upon the issuance of a Certificate by the Michigan State Tax Commission, but shall not be effective should the State Tax Commission fail to issue a Certificate. Upon the expiration of a Certificate, this Agreement shall be of no further effect, except to the extent necessary to enable the parties to enforce its provisions. 11. Other Matters. The remedies stated in this Agreement are in addition to those provided by Act 198. This Agreement contains the entire agreement between the parties with regard to the subject matter hereof; it may be amended only in writing signed on behalf of the Company and the Township, and approved by resolution of the Township Board. This Agreement may be executed in counterparts, each of which shall be an original and all of which shall constitute one and the same instrument. RESOLUTION TO APPROVE INDUSTRIAL FACILITIES TAX EXEMPTION CERTIFICATE [Money Pit Properties, LLC, Luyk Drive, N.E.] WHEREAS, the Township Board adopted a resolution on September 13, 2011, establishing the Money Pit Properties/Temper industrial development district under the terms of the Michigan Plant Rehabilitation and Industrial Development Districts Act, being Act 198 of the Public Acts of Michigan of 1974, as amended; DRAFT WHEREAS, Money Pit Properties, LLC proposes to construct a building improvement, to be located on lands comprising the above-stated industrial development district; WHEREAS, Money Pit Properties, LLC has submitted an application for an Industrial Facilities Tax Exemption Certificate under the terms of said Act 198, with respect to the proposed building improvement, to be located on the lands described on Exhibit A of this resolution; { } Page 14 of 94

15 WHEREAS, the Township Board has held a public hearing on the application for the Industrial Facilities Tax Exemption Certificate, after the providing of notice to the applicant, the Township assessor and to the legislative bodies of the affected taxing units, as required by law; and WHEREAS, the Township Board desires to approve the application for the Industrial Facilities Tax Exemption Certificate, upon certain terms and conditions. IT IS THEREFORE RESOLVED AS FOLLOWS: 1. The Township Board hereby approves the application of Money Pit Properties, LLC for an Industrial Facilities Tax Exemption Certificate, upon the terms and subject to the conditions of this resolution. 2. The Township Board approves the Industrial Facilities Tax Exemption Certificate for the building improvement described on the application of Money Pit Properties, LLC, to be constructed, installed, furnished and used on the lands described in Exhibit A of this resolution. The application of Money Pit Properties, LLC is included in this resolution by reference, to the extent of the building improvement that is lawfully subject to an Industrial Facilities Tax Exemption Certificate under the terms of Act 198. The building improvement that is described on the DRAFT application is also described on Exhibit B of this resolution. 3. The Industrial Facilities Tax Exemption Certificate is approved for the real property specified in the application, subject to the provisions of Act 198, as follows: (a) For real property consisting of a new building of approximately 15,000 square feet, consisting of about 12,000 square feet to be used as a research and development laboratory and for shop space to develop manufacturing processing techniques, and also about 3,000 square feet of office space. { } 2 Page 15 of 94

16 (b) The exemption shall be effective for twelve (12) years, commencing January, 2016, based on applicable values as of December 31, The Township Board finds and determines that the granting of the Industrial Facilities Tax Exemption Certificate, considered together with the aggregate amount of industrial facilities exemption certificates previously granted and currently in force, if any, will not have the effect of substantially impeding the operation of the Township of Algoma or of impairing the financial soundness of the Township. The state equalized valuation of the property proposed to be exempt pursuant to the application, considered together with the aggregate state equalized value of property exempt under certificates previously granted and currently in force, if any, does not exceed 5% of the state equalized valuation of the Township. 5. The Township Board determines that the proposed facility will be located in an Industrial Development District that was duly established in the Township of Algoma by resolution adopted by the Township Board on September 13, 2011, and that the district was established before the commencement of the construction of the facility. 6. The Township Board determines that the commencement of the construction of the facility occurred not earlier than six months before the filing of the application for the Industrial Facilities Exemption Certificate. Unit 1 includes an existing house which would remain and would become a part of the site condominium. Access to Unit 1 is permitted only from 13 Mile Road, not from the private street. As you know, the Planning Commission approved the preliminary plan of the site condominium at its meeting on August 18. In its resolution, the Planning Commission recommended that the Township Board approve the final site condominium plan. The enclosed resolution includes substantially the same terms, provisions and requirements included in the Planning Commission resolution. Access. (a) Access to the Site Condominium shall be only by means of Crowning Acres Court, a private street, extending easterly and northerly off Edgerton Avenue, as shown on the Plan. The location and configuration of the street entrance off Edgerton Avenue shall be subject to the approval of the Kent County Road Commission. (b) Unit 1 of the Site Condominium shall have its only direct access from 13 Mile Road; Unit 1 shall have no access from Crowning Acres Court. (c) The name of the private street serving the units in the Site Condominium, Crowning Acres Court, shall be subject to approval by the Kent County Road Commission. 5. Condominium Unit Area, Width and Building Setbacks; Minimum Building Floor Area. All units in the Site Condominium shall comply with the minimum lot area, minimum lot width, minimum building setback and other requirements of the R-R Rural Residential District. DRAFT (a) Accordingly, each unit shall have an area of not less than 42,000 square feet; a minimum width of 150 feet at the front lot line, such width to be maintained to the rear lot line or to a depth of at least 250 feet, whichever is reached first; and a front yard depth of at least 30 feet, a rear yard depth of at least 30 feet and side yard widths of at least 20 feet each. (b) As provided by Section 4.7 of the zoning ordinance, for all corner lots the minimum required front yard shall be satisfied from each public or private street. { } 3 Page 25 of 94

26 (c) The single-family dwellings in the Site Condominium shall comply with the minimum building floor area requirements for the R-R District, as stated in Section 6.6 of the zoning ordinance. 6. Private Street. (a) The street in the Site Condominium shall be a private street, and shall be subject to the private street requirements stated in Section 4.27 of the zoning ordinance. (b) The condominium documents shall include provision for the creation of the private street as a common element, and easements within the street for current and future public utilities, including public water and sewer, electricity, gas, and communications, storm water drainage, surface water flooding and for similar purposes as depicted on the Plan. (c) The condominium documents shall make provision for the periodic repair and maintenance of the private street, to provide safe access for emergency and other vehicles, and in compliance with Township ordinance requirements, and for the sharing of the cost thereof by the unit owners on an appropriate basis, and include the indemnity provision required by Section 4.27(j)(11) of the zoning ordinance. (d) DRAFT The private street shall be designed and constructed in accordance with the design and construction requirements for private streets as stated in Section 4.27(h). Construction plans, and final construction, shall be reviewed and approved by the Township engineer. 7. Sewage Disposal and Water Supply. Each unit in the Site Condominium shall be served by an individual on-site private sewage disposal system and individual water supply system approved by the Kent County Health Department and other agencies having jurisdiction. { } 4 Page 26 of 94

27 Dwellings shall be connected to public water or sewer, or both, if in the future such utilities become available and connection is required by law or ordinance. 8. Surface Water Drainage. (a) The drainage of surface waters shall be accomplished by storm sewers, designated drainage areas, culverts and other means, to be indicated on the final engineered construction plans. The use of the surface water drainage system in the Site Condominium and the discharge of waters from the storm sewer system and other elements of the surface water drainage system shall be designed, engineered and carried out so as to have no significant adverse effect upon the Site Condominium lands and other lands or surface waters, by reason of erosion, pollution or otherwise, and shall in all respects comply with Township ordinance requirements. (b) The storm water management plan and system and all other measures for the handling and control of storm water drainage within the Site Condominium shall be fully in compliance with the Township storm water ordinance, and shall be subject to the approval of the Township engineer. Any requirements imposed by the engineer, consistent with the zoning ordinance and the storm water ordinance, shall be fully and timely complied with. A Township storm water permit shall be required. A storm water maintenance agreement shall be prepared and submitted for approval by the Township engineer. DRAFT (c) The applicant shall prepare and submit to the Township engineer its calculations as to the predicted volume of storm water drainage, and the calculation shall be subject to the engineer s approval. The applicant shall also prepare and submit to the Township engineer the minimum elevations for the dwellings on Units 1, 9, 16 and 17, such elevations to { } 5 Page 27 of 94

28 be those necessary for the avoidance of ponding of surface waters or flooding of the lower levels of such dwellings. (d) As required by the August 18, 2015 letter of the Township engineer, storm water detention ponds 1 and 2 shall be sized sufficiently for the storage of surface waters resulting from a 100-year rain event. The storm water drainage plan shall accordingly be revised and submitted to the Township office and the Township engineer for review and approval. Further, the storm water drainage plan shall be amended to show the detail of the proposed outlet control devices for the proposed storm water detention ponds. (e) Final construction plans and profile drawings of the proposed streets and the storm water pond outlets are subject to the approval of the Township engineer. (f) The applicant shall obtain and comply with all permits required for approval of grading operations within the Site Condominium lands. (g) The condominium documents shall require the developer and/or the condominium association to regularly inspect and maintain the storm water management facilities, so as to ensure their continued effectiveness. 9. Landscaping. Any landscaping proposed around and near the Site Condominium sign at the entrance to the Site Condominium shall be subject to final approval of the Zoning Administrator. DRAFT 10. Sign. There may be a sign at the entrance to the Site Condominium, indicating the name of the Site Condominium. In all respects, the sign shall comply with the sign requirements for the R-R District. The applicant shall prepare and submit a detailed sign drawing, including dimensions and a summary of the materials constituting the exterior portion of the sign. The sign drawing and specifications shall be subject to the approval of the zoning { } 6 Page 28 of 94

29 administrator or may be referred to the site plan review committee for review and decision. The sign shall be non-illuminated, and in all other respects, the sign shall comply with the residential development sign requirements of Section 25.9, including Table 25.9, as to the size, height and location of the sign. 11. Sidewalks to be Constructed on Both Sides of the Private Street. (a) In accordance with Section 24.7(i)(1) of the zoning ordinance, sidewalks shall be constructed on both sides of the private street in the Site Condominium. (b) In accordance with Section 24.7(i)(1), the sidewalks shall be at least five feet wide and shall be set back from the edge of the traveled road service by at least five feet. The sidewalks shall be constructed of concrete and shall be at least four inches thick. (c) Sidewalks shall be constructed and completed in front of each dwelling not later than the date of issuance of the certificate of occupancy for the dwelling, except that if inclement weather prevents such construction, the same may be delayed until weather conditions permit, at which time sidewalks shall be promptly constructed and completed, in accordance with Township sidewalk construction requirements. (d) Construction plans shall be subject to review and approval by the Township engineer for the purpose of verifying that sidewalks are shown on both sides of all of the proposed streets in the condominium. 12. Outdoor Lighting. DRAFT (a) (b) Street lights shall be installed by the developer as indicated on the Plan. Street lights and all other outdoor lighting shall comply with all applicable outdoor lighting requirements of the zoning ordinance. { } 7 Page 29 of 94

30 (c) The cost of installation and electricity for street lights shall be paid by the developer or Condominium Association. (d) In addition, the street lights as shown on the final site plan are subject to verification by the Township engineer as to number of street lights, locations and other matters. 13. Master Deed and Condominium Bylaws. (a) The Site Condominium shall be established by means of a satisfactory, recorded master deed and condominium bylaws not inconsistent with this resolution or the Plan. The master deed, bylaws and other elements of the Site Condominium shall comply in all respects with the Township site condominium requirements. (b) Among other matters, the master deed and the condominium bylaws shall indicate that they may not be amended in any manner or to any extent that would be inconsistent with or contrary to this resolution or the Township site condominium provisions, unless any such amendment is first approved by the Planning Commission and Township Board, by subsequent resolutions adopted at public meetings. (c) The master deed and condominium bylaws shall be submitted to the Township attorney for review prior to recording. Such documents shall be subject to the approval of the Township attorney, consistent with this resolution. Following such approval, a copy of the recorded documents shall be filed with the Township prior to issuance of building permits. DRAFT (d) Among other matters, the master deed and condominium bylaws shall include building and use restrictions, easements and restrictive covenants not inconsistent with this resolution. { } 8 Page 30 of 94

31 (e) The approval of the Site Condominium under the terms of this resolution is subject to the satisfactory completion, attorney approval and recording of the master deed and condominium bylaws, in a form and with content in full compliance with this resolution and the Township site condominium requirements. 14. Performance Bond or Letter of Credit. (a) Before commencing any construction in the Site Condominium, the applicant shall deposit with the Township an executed performance bond or letter of credit, in form and with content satisfactory to the Township, and in the case of a performance bond, an acceptable surety, conditioned upon the applicant s timely and faithful performance of all of the requirements of this ordinance, the Township zoning ordinance, the Township building code, the Township storm water ordinance and other applicable laws, ordinances and regulations, including Township and County requirements for soil erosion and sedimentation control. (b) The performance bond or letter of credit shall be in the amount required by the Township engineer, who shall determine such amount, based on the current cost of the required elements of construction. (c) DRAFT If the amount of the performance bond or letter of credit should subsequently be deemed insufficient by the Township, by reason of costs incurred or to be incurred by the Township from the amount of the bond or letter of credit, then the applicant shall promptly upon request deposit with the Township an amended or subsequent performance bond or letter of credit in such additional amount as the Township may require. Such amended or additional bond or letter of credit shall be in form and with content satisfactory to the Township, and shall be upon the same conditions as are required for the original bond or letter of credit. { } 9 Page 31 of 94

32 (d) From time to time, as components of the Site Condominium are satisfactorily completed, the Township Board, or its designee, is hereby authorized to approve, on behalf of the Township, the release or discharge of appropriate portions of the amounts secured by the performance bond or letter of credit. 15. Enforcement. The Township shall have the authority to enforce the provisions of this resolution and of the matters required hereunder and in the zoning ordinance. The master deed and condominium bylaws shall include, among other matters, language providing for such enforcement by the Township, in its discretion, including provisions establishing that the provisions of this resolution may be directed against the applicant, as to those matters required to be accomplished by the applicant or otherwise against the condominium association. Such provisions shall also authorize enforcement against the condominium association as to those matters which may be specified in the condominium documents as being the responsibility of individual condominium unit owners. 16. Other Matters. (a) The applicant shall comply with the requirements of the Site Plan Review DRAFT Committee as stated in the Committee s memorandum of July 1, 2015, except as to any such matters as have been modified by the terms of this resolution. Likewise, the applicant shall comply with all requirements specified by the Township engineer in the engineer s letter of August 18, 2015, together with any subsequent requirements specified by the engineer. (b) The Site Condominium shall be designed, laid out and constructed in full compliance with Chapter 24 of the Township zoning ordinance. Further, the Planning Commission determines upon review of the Plan: { } 10 Page 32 of 94

33 (i) The Plan would satisfy the standards and requirements for site plan approval as stated in Chapter 23 of the zoning ordinance, upon compliance with the terms of this resolution. (ii) Each Site Condominium unit would comply with applicable provisions of the zoning ordinance, upon compliance with the terms of this resolution. (iii) The proposed common elements and maintenance provisions, use and occupancy restrictions, and similar aspects of the Site Condominium would, upon review of the condominium documents and upon the applicant s compliance with any Township requirements relating thereto, comply with the Michigan Condominium Act and Township ordinance requirements. As a whole, the system has remained fully functional, servicing many residents of the Camp Lake area. However, over the last several years, some homes have experienced grinder pump failures, resulting in the inability to use household plumbing facilities, or even flooded basements. After a failure, the Village of Sparta responds to repair or replace the pump on an emergency call. Repair costs are billed to Algoma Township. As a result, Algoma Township has asked Moore & Bruggink, Inc. to provide them with a detailed report of the condition of the grinder pump system, and a possible replacement plan and schedule. A replacement plan would lead to a proactive, rather than reactive approach. This type of approach will result in fewer incidents, especially during times of high volume flows, such as holiday weekends. Condition Assessment: On July 1, 2015, all twenty-four of the existing grinder pump stations were located and evaluated by Moore & Bruggink personnel. This process included visual inspection of several items: pumps, guide rails, floats, concrete, piping, valves, electrical, and control panels. Each of the grinder pumps were manually turned on to test their functionality. Some structures were in better condition than others, including pumps, floats, and electrical wiring. The conditions of each item were recorded in an organized spreadsheet, which can be found in Appendix 1 at the end of this report. An estimated cost to repair noted deficiencies was also created in this tabular format. Recommendations: Based on the condition assessment noted above, Moore & Bruggink recommends two courses of action: 1. Implement a proactive replacement plan, 2. Implement a preventative maintenance plan. 1. Proactive Replacement Plan: Based on the assessed conditions, each grinder pump station was given a ranking that prioritizes which stations were likely to fail first. Using this ranking system, Algoma Township can appropriately budget pump replacements over the course of several years (starting with number 1, and so on). For instance, if Algoma Township would be willing to put approximately $26,000 toward this project annually, all twenty-four pumps would be replaced in approximately five years. The totals developed in this table were based off estimates that can be found in Table 2. Once an annual plan is decided upon, contractors should be contacted to get exact pricing for improvements at each station. This maintenance would include power washing structure walls and pump casing, cleaning off floats, manually testing pump, and inspecting the control box. Based on Moore & Bruggink s inspection process, it has been estimated that said maintenance could be done for all twenty-four grinder pump stations in 4-6 days. Maintenance should be performed at each location once every other year and could be done on a rotating schedule. A maintenance schedule is recommended regardless if the pumps are replaced or not. Summary: In summary, it is recommended that a proactive replacement plan be implemented, and an annual maintenance schedule is developed. This is recommended because this system is nearly thirty years old and approaching the end of its useful life. If the replacement alternative is not implemented, the pumps will fail more frequently, costing the township more money, and not providing the level of service that the residents have come to expect. Once a refurbished system is in place, proper annual maintenance would allow the township to get the most out of its system s life span. 50 RESOLUTION NO TOWNSHIP OF ALGOMA COUNTY OF KENT, MICHIGAN RESOLUTION TO AMEND CAMP LAKE SEWER SYSTEM USER CHARGES FOR SEWER CONNECTION At a regular meeting of the Algoma Township Board, held at the Algoma Township Hall, Algoma Ave., Rockford, MI 49341, on the 8th day of September 2015 at 7:00 P.M. the following resolution was offered by Trustee and supported by Trustee. WHEREAS, Chapter 18, Section 18.65(a), as amended, of the Code of Ordinances, Township of Algoma, Michigan (the Code ) formerly known as the Camp Lake Sanitary Sewer and Rate Ordinance, provides that User Charges for each Premises within the Township connected to the Public Sewer shall be set from time to time by resolution of the Township Board for Residential, Governmental, Commercial, Institutional and Industrial Users ; and WHEREAS, under Chapter 18, Section 18.65(d), as amended, User Charges shall begin to accrue as of the first day of the first of the month following the date of occupancy of a building which is required to be connected to the (Camp Lake) Public Sewer System, or actual usage, whichever shall occur first. User Charges shall be billed according to the billing schedule for Sewer Rates and Charges established by resolution of the Township Board ; and WHEREAS, the last User Charge rate change for the Camp Lake Public Sewer System was in February of 2013 approved by Resolution No and no inflationary adjustment has been necessary since then; and WHEREAS, Algoma Township recently authorized Moore & Bruggink Consulting Engineers, Inc. to conduct a study of the grinder pump stations around Camp Lake, and WHEREAS, Moore & Bruggink Consulting Engineers have provided a maintenance recommendation that will provide a proactive approach and lead to decreased cost in the long term, and WHEREAS, at a regular meeting of the Township Board held September 8, 2015 sewer rates were reviewed and a consensus of the Board was to take action increasing the rates effective October 1, NOW THEREFORE BE IT RESOLVED THAT the Township Board does hereby approve and set the Camp Lake Sewer System User Charges at $ per month ($ /qtr), effective October 1, BE IT FUTHER RESOLVED THAT the fees established by this resolution shall be billed and collected in the manner provided by the Code; BE IT FURTHER RESOLVED THAT, all resolutions and parts of resolutions in conflict herewith shall be and the same are hereby rescinded. Bigney, Twp Clerk Date: 8/31/2015 Re: Fire Department Capital Projects Fund Board Members, Pursuant to the last Fire Department Strategic Capital Planning Sub-Committee meeting held on August 17, 2015 (minutes attached) I am asking for your approval to create fund 406-Fire Department Capital Project Fund. This fund will be used to save towards and account for future capital project expenditures explicitly for the Fire Department. The Committee recommends an allocation of 10% of the Fire Fund s projected revenues each year to the FDCP fund. We estimate this to be around $35, each year. This amount will include the $15, payment that would have been paid back to the General Fund before the loan for the Pine Island Fire Station was forgiven last month. At a minimum this $15, amount must be transferred to the FDCP for the next 7 years pursuant to Township Board requirement when the loan was forgiven. We also recommend that the $200, held in the Assignment account in the General Fund be transferred to the FDCP fund once it is set up. Additionally, we request that the Board set an amount or percentage of its Unrestricted Fund Balance each year to be transferred to the FDCP fund. We recommend that this be done pursuant to the Fund Balance Policy pursuant to Township Supervisor recommendation each year. 53 Algoma Township Fire Department Strategic Capital Planning Sub-Committee Meeting Monday, August 17, 2015 at 10:00 AM Purpose: The current purpose of this panel, is to create a plan for the next 4 years (when we can consider putting a new millage on the ballot), as well as a long term plan (~10 years) accounting for township growth. Present: Clerk J. Bigney, Treasurer Ellenwood, Trustee Pickerd, Fire Chief Guerra and Deputy Supervisor Bair. Current situation: Pending approval of the recommendation of this committee by the board, our next order of business will be to determine where additional funds will come from to maintain the fire department appropriately. General Notes: Guerra informed us that the impeller on Engine 21 didn t pass its annual test, the cost to fix this issue could be $5,000 to $20,000. He is awaiting more detailed information from the mechanic. Due to this development, the new engine may need to be ordered sooner, if the cost to fix Engine 21 is too much. Even if ordered soon, the engine will not be ready for another year. A potential proposed, temporary, solution is to make Tender 62 the primary truck instead. Ellenwood stated that she doesn t interpret the language of the millage to mean that the fire millage was intended to fund payroll. The best option that has been found, and our recommendation, for the placement of the funds is to put them in a Fire Department Capital Projects Fund (FDCPF) with language that specifies that those monies are for the fire department capital expenditures. There was a lot of discussion about the fund balance policy and whether the assignment amounts should be figured on revenues or expenditures. Specifically, the following was discussed: 10% (or so) of the Fire Millage/Revenues (approximately $35,000 annually) will go to the FDCPF. The remaining $65,000 (actually around $85,000 annually) will come from the General Fund and be put in the FDCPF. This is what we will be discussing in our next meeting. We discussed the wording of the Fund Balance Policy. Our Recommendation: Establish the Fire Department Capital Projects Fund (406) and an amended Fund Balance Policy that will specify how much of the Fire Fund and General Fund balances to place in the FDCPF annually. Also, to place per stipulation of the Township Board the annual $15,000 loan payment that was forgiven into the FDCPF for the next seven years. 55 Fund Balance Fund Balance The following policy has been adopted by the Township Board in order to address the requirements of Governmental Accounting Standards Board ( GASB ) Statement No. 54, Fund Balance Reporting and Governmental Fund Type Definitions. The policy will establish an appropriate level of fund balance in the General Fund, define the components of fund balance, and direct officials in the methods to be used for increasing or decreasing fund balance. Reporting and Governmental Fund Definitions. The policy is created in consideration of unanticipated events that could adversely affect the financial condition of the Township and jeopardize the continuation of necessary public services. This policy will ensure that the Township maintains adequate fund balances and reserves in order to: a. Provide sufficient cash flow for daily financial needs, b. Secure and maintain investment grade bond ratings, c. Offset significant economic downturns or revenue shortfalls, and d. Provide funds for unforeseen expenditures related to emergencies. This policy and the procedures promulgated under it supersede all previous regulations regarding the Township s fund balance and reserve policies. Fund type definitions. The following definitions will be used in reporting activity in governmental funds across the Township. The Township may or may not report all fund types in any given reporting period, based on actual circumstances and activity. General fund is used to account for all financial resources not accounted for and reported in another fund. Special revenue funds are used to account and report the proceeds of specific revenue sources that are restricted or committed to expenditure for specific purposes other than debt service or capital projects. Debt service funds are used to account for all financial resources restricted, committed or assigned to expenditure for principal and interest. Capital Projects funds are used to account for all financial resources restricted, committed or assigned to expenditure for the acquisition or construction of capital assets. Permanent funds are used to account for resources restricted to the extent that only earnings, and not principal, may be used for purposes that support the Township s purposes. Fund balance reporting in governmental funds. Fund balance is created from excess revenues over expenditures. It is a fund s net assets, mostly made up of cash and investments and, unless otherwise restricted, available for spending. Page 55 of 94

56 Fund balance is to be reported in governmental funds under the following categories using the definitions provided by GASB Statement No. 54. There are five components of fund balance, namely: Nonspendable fund balance Definition includes amounts that cannot be spent because they are either (a) not in spendable form, for example inventory and non-financial assets, or (b) legally or contractually required to be maintained intact. Classification Nonspendable amounts will be determined before all other classifications and consist of the following items (as applicable in any given fiscal year): The Township will report a fund balance equal to the balance of any long-term outstanding balances due from others (including other funds of the Township). The Township will report a fund balance equal to the value of inventory balances and prepaid items (to the extent that such balances are not offset with liabilities and actually result in fund balance). The Township will report a fund balance equal to the corpus (principal) of any permanent funds that are legally or contractually required to be maintained intact. The Township will report a fund balance equal to the balance of any land or other nonfinancial assets held for sale. Restricted fund balance Definition includes amounts that can be spent only for the specific purposes stipulated by the constitution, external resource providers, or through enabling legislation. The restriction typically comes from outside the local government as a condition of the revenue source. Committed fund balance (unrestricted) Definition includes amounts that can be used only for the specific purposes determined by a formal action of the Township Board. Authority to Commit Commitments will only be used for specific purposes pursuant to a formal action of the Township Board. A majority vote is required to approve a commitment and a majority vote is required to remove a commitment. Assigned fund balance (unrestricted Definition includes amounts intended to be used by the Township for specific purposes but do not meet the criteria to be classified as restricted or committed. No funds other than the General Fund may have Unassigned Fund Balance, therefore any amounts remaining in excess of Nonspendable, Restricted, or Committed funds in funds other than the General Fund will automatically be reported as Assigned Fund Balance. 57 Authority to Assign The Township Board may delegate to a Committee or Administrator or his/her/their designee the authority to assign amounts to be used for specific purposes. Such assignments cannot exceed the available (spendable, unrestricted, uncommitted) fund balance in any particular fund. Or the Township Board can retain the right to assign fund balance. Unassigned fund balance (unrestricted) Definition includes the residual classification for the Township s general fund and includes all spendable amounts not contained in the other classifications. In other funds, the unassigned classification should be used only to report a deficit balance from overspending for specific purposes for which amounts had been restricted, committed, or assigned. Policy and Operational guidelines. The following guidelines address the classification and use of fund balance in governmental funds: Classifying fund balance amounts Fund balance classifications depict the nature of the net resources that are reported in a governmental fund. An individual governmental fund may include non-spendable resources and amounts that are restricted, committed, or assigned, or any combination of those classifications. Prioritization of fund balance use When an expenditure is incurred for purposes for which both restricted and unrestricted (committed, assigned, or unassigned) amounts are available, it shall be the policy of the Township to consider restricted amounts to have been reduced first. When an expenditure is incurred for purposes for which amounts in any of the unrestricted fund balance classifications could be used, it shall be the policy of the Township that committed amounts would be reduced first, followed by assigned amounts and then unassigned amounts. Unrestricted General Fund Balance Unrestricted General Fund Balance shall be maintained at least 50% of projected fund expenditures (per current adopted budget) General Fund Balance Assignments - Unrestricted General Fund Balance in excess of the 50% of projected fund expenditures shall be considered by the Township Board for Assigned fund balance. Authority to Assign - The Township Board by the recommendation of the Township Supervisor shall assign amounts to be used for future Capital Improvement Projects (CIP), other future Township obligations, or payment toward any outstanding long term debt. Fund balance assignments shall be determined each year by the Township Board, following the adoption of the fiscal year budget as amounts are based on projected general fund expenditures. Fire Fund Balance Transfers to Fire Department Capital Projects Fund On an annual basis, 10% of the projected revenues of the special revenue Fire Fund will be transferred to the Fire Department Capital Projects Fund to set aside money for future capital acquisitions. PUBLIC HEARING: None NEW BUSINESS: RIDGE WATER ESTATES PUD CONSENT JUDGMENT AMDENDMENT (RES 31-15): Supervisor Clary reported that this project s development is monitored by a Circuit Court Consent Judgment and that the attorney sent new amended documents after the meeting packets went out to members. The proposed amendment to said judgment is seeking the addition of private street West Ridge Court which is proposed to be located in part of the lands comprising Ridge Water Estates PUD. The new documents add paragraph 4 and several subparagraphs within it regarding the reclamation and removal of the excavated material within the PUD. It also covers the removal of any other or additional earthen material that may be accumulated for the construction of West Ridge Court. Treasurer Ellenwood made a motion seconded by Trustee Lemoine that Resolution (a resolution to approve amendment in Consent Judgment in Sable Developing, Inc. v Algoma Township, in Kent County Circuit Court [Ridge Water Estates Planned Unit Development West Ridge Court]) be adopted. Members W. Bigney and Clerk J. Bigney left the meeting. Treasurer Ellenwood took minutes. Members discussed the adequacy of the retention pond, the process of completing the requirements of the Planning Commission pursuant to the reclamation of the gravel pit, road maintenance agreement, storm water runoff and placement of a surety by means of a bond or letter of credit. KITCHEN REMODEL CONTRACT: Deputy Supervisor Bair presented the bids to the Board stating that they were thoroughly reviewed and made a recommendation to select Ridgewood Home Construction to do the remodel, Dejong & Potter Electric for the electrical work, and painting by K&A Painting. He added that his criteria for selection included cost, design and layout. Ridgewood was selected because they offered a competitive price and designed a layout that most closely aligned with what we were looking for. The bid from Dejong & Potter was submitted for only the electrical work and by using them we will save $ on the electrical work. K&A Painting, a local company, came to us to donate their painting services. Trustee Powell made a motion to approve Deputy Supervisor Bair s Township Hall Kitchen Remodel recommendation to select Ridgewood Home Construction remodel bid, Dejong & Potter Electric bid for the electrical work and K&A Painting for the donation of the painting. Motion carried unanimously. SITE PLAN REVIEW COMMITTEE APPOINTMENT: D ELLENWOOD: Supervisor Clary requested the appointment of Deborah Ellenwood to the Site Plan Review Committee siting the increasingly difficulty of scheduling review in a timely fashion due to committee members having their own work schedules that don t allow for flexibility during the township working office hours. Member Ellenwood would be more available and has long term experience with serving on the Planning Commission. Trustee Pickerd made a motion seconded by Trustee Lemoine to appoint Deborah Ellenwood to the Site Plan Review Committee. Motion carried unanimously. BUDGET PREPARATION CALENDAR POLICY: Supervisor Clary reported that as the Chief Administrative Officer of the Township it is her responsibility to develop and submit a proposed budget for the Board s review each year. Bigney added that this policy once adopted will also be included in the final Township Administrative Policies Manual. Motion carried unanimously. APPLE IPAD AIR 2 PURCHASE W/BUDGET ADJUSTMENT: Clerk J. Bigney reported that she is working through implementation of the icompass Agenda/Meeting Management program with the intention of going live with Township Board and Planning Commission agendas and packets at the respective September meetings. Do to this we must have ipad tablets for each member on each board by September 1st, a total of 13 in all. Although, there are a few who may not wish to receive their packet via ipad. For those few, we will continue to print a hard copy of the packets. This will create extra ipads for use in case one goes down. We must also have a budget in place to purchase these from since it was not planned for and an oversight during the icompass demonstrations. I believe we can purchase them all, including cases with keyboards, screen protectors and a 3-year warranty for less than $7, Clerk J. OLD BUSINESS: FIRE FUND BALANCE ASSIGNMENT POLICY: Clerk J. Bigney reminded the Board that at the July Board Meeting they approved a motion to table this item to the August Board Meeting. However, she has gathered more information from the Township Auditor who states that a Fund Balance Policy would cover all governmental funds so there is no need to adopt a separate one for the Fire Fund. She explained that she is currently working on a new more easily managed Fund Balance policy with the auditors help. She added that she is also working on establishing a Township Administrative Policies Manual and is hoping to present a first draft in September. This manual will include all current township administrative policies and new ones that we should have but don t. All in all, it will be a living document that will be easy to amend and maintain and distribute to all township staff and public if they are interested as it will be subject to FOIA. Members agreed that there was no need to take action on this tabled item. We had our training fire that I had written to you all about last month. This training was very time consuming between the setup of the house and all the paperwork and communications between everyone involved. This was all necessary to ensure that we had no one get hurt while performing this training. The training consisted of four live fire sets that were let build inside the structure for some time before a fire attack crew was sent in to extinguish the fire. This is great firefighting experience for our firefighter as it could take someone several years before they have the opportunity to be the point persons on a fire attack crew. These opportunities do not come along a lot these days as this was just the second live fire training within the last five years for the department. Our second training was medical in nature and was in regards to child birth. We were refreshed in how to properly care for and deliver a baby. A Doula was brought in to assist in teaching the class and was very informative in several aspects of the birthing process. Accident Medical Assist Other Dept Fire Alarms Illegal Fire Down Power Line Chimney Fire Haz Mat Grass Fire Total The month of August was busy for the department in terms of call volume with a total of 49 calls for service. We assisted several agencies with calls for service, had several power wires down and trees in the roadway due to several storms. A large fire at Cannonsburg Wood Products had us calling for help from 5 other fire department to get the fire under control. The fire at Cannonsburg Wood Products was an all night fire that caused us to cancel our fire training the ensuing night. Our firefighters were up all night fighting the fire and still had to go into work on little to no sleep. We felt that due to the lack of sleep and that the training we were going to perform was that of fire ground tactics we would cancel the training instead of straining our firefighters.
