1 Minutes of a meeting of the Plaquemines Parish Council, as the Sole Governing Authority of the Plaquemines Port, Harbor & Terminal District, held in the Percy Griffin Community Center, Highway 15, Davant, Louisiana, on Thursday, July 28, 2016, at 1:04 p.m., pursuant to notice to all members with a quorum present as follows: PRESENT: Council Member W. Beau Black, Chairman Council Member John L. Barthelemy, Jr. Council Member Kirk M. Lepine Council Member Irvin Juneau Council Member Benedict Rousselle Council Member Charlie Burt Council Member Audrey Trufant-Salvant Council Member Jeff Edgecombe Council Member Nicole Williams Kim M. Toups Secretary ABSENT: None The Prayer was led by Council Member Trufant-Salvant and the Pledge was led by Council Member Burt. There being no Executive Session, Council Member Black moved to Agenda Item 3, Status Report by Executive Port Director. Without objection, so ordered. The following items were reported: General Sanders and Council Member Barthelemy met with David Olsen from CHS regarding barge fleet operations; The Port audit has been completed and there were no findings or recommendations submitted; Port Administration members met with Brandy Christen, the Chief Operating Officer of the Port of New Orleans; LA 23 was recently presented to Rickey Templet and Chris Roberts of the Jefferson Parish Council, and the membership of PABI. Also, Sanders is scheduled to brief GNO, Inc. in early August on LA 23; and The legislation to be voted on today was discussed. There being no bids and advertisements, Council Member Black moved to Introduction of Ordinances and Resolutions. Without objection, so ordered. 1. A Resolution authorizing the Plaquemines Port, Harbor and Terminal District ("Plaquemines Port") to dispose of disused movable property. Specifically, to dispose of 55+ year old Port Barge B-11, on an as-is, where-is basis and in accordance with Louisiana statutes governing the disposal of movable property owned by a political subdivision of the state; and otherwise to provide with respect thereto. COUNCIL MEMBER BLACK 2. A resolution authorizing the Plaquemines Port, Harbor and Terminal District ("Plaquemines Port") to dispose of disused movable property. Specifically, to dispose of a 2005 Dodge 2500 Pickup truck, on an as-is, where-is basis and in accordance with Louisiana statutes governing the disposal of movable property owned by a political subdivision of the state; and otherwise to provide with respect thereto. COUNCIL MEMBER BLACK 3. A Resolution authorizing the Plaquemines Port Harbor & Terminal District Administration to exceed the cap established for Professional Services with Dwyer, Cambre and Suffern for legal services; and otherwise to provide with respect thereto. COUNCIL MEMBER BLACK

An Ordinance to amend the 2016 Plaquemines Port Harbor & Terminal District Operating and Expenditure Budget and Revenue Budget and appropriate funds from the Land Purchase Fund to be used as the Port s required 25% match; and otherwise to provide with respect thereto. A Resolution authorizing the Executive Director of the Port to advertise for, Request for Proposals, and/or to award and contract with contractor(s) as provided by Louisiana law for: (1) removal, and installation of appropriately sized culverts, as determined necessary with the assistance and guidance of the Plaquemines Parish Engineering Department, in ditches and canals located on Port property and adjacent properties, where Port property drainage is impacted, and (2) for the services of cleaning, sweeping, removal, hauling and disposal of debris from said ditches and canals; and otherwise to provide with respect thereto. COUNCIL MEMBER TRUFANT-SAVANT 5. An Ordinance to appropriate funds from the Port Land Purchase Fund to be used: (1) for removal, and installation of appropriately sized culverts, as determined necessary with the assistance and guidance of the Plaquemines Parish Engineering Department, in ditches and canals located on Port property and adjacent properties, where Port property drainage is impacted, and (2) for the services of cleaning, sweeping, removal, hauling and disposal of debris from said ditches and canals; and otherwise to provide with respect thereto. COUNCIL MEMBER TRUFANT-SALVANT Council Member Black moved to Ordinances and Resolutions on Second Reading and Final Passage. Without objection, so ordered. Council Member Black deferred Agenda Item 6a(1), AN ORDINANCE PROVIDING AUTHORITY FOR THE LEVY AND COLLECTION OF THE AD VALOREM TAX OF THREE MILLS ON THE PROPERTY SUBJECT TO TAXATION SITUATED IN THE BOUNDARIES OF THE PLAQUEMINES PORT, HARBOR AND TERMINAL DISTRICT (THE DISTRICT ) AS AUTHORIZED BY CHAPTER 8 OF TITLE 34 OF THE LOUISIANA REVISED STATUTES OF 1950, AS AMENDED, AND OTHER CONSTITUTIONAL AND STATUTORY AUTHORITY, AS APPLICABLE, TO BE DEDICATED AND USED FOR ALL LAWFUL PURPOSES BY THE DISTRICT, INCLUDING BUT NOT LIMITED TO THE ACQUISITION OF IMMOVABLE PROPERTY AND THE CONSTRUCTION OF CAPITAL IMPROVEMENTS; AND OTHERWISE PROVIDING WITH RESPECT THERETO. COUNCIL MEMBER BLACK Council Member Black offered Agenda Item 6b, it was seconded by Council Member Lepine and then the floor was open for discussion. Council Member Rousselle made the following statement and asked for it to be entered into the minutes: July 28, 2016 After review of the proposed Port Directors contract up for renewal today, I do not see myself being able to vote for the proposal. I have made my position known previously. I support the renewal without Section 3, Paragraph D, providing a salary increase to 140%. The salary could potentially increase after the first year to $257, plus benefits or in the third year to $264,969 plus benefits making the employment package approach $300,000. I support the Port Director and his efforts and could vote for the renewal with the 3% annual increase. Benedict Benny Rousselle Councilman District 5 R E S O L U T I O N NO On motion of Council Member Black, seconded by Council Member Lepine, and on roll call all members present and voting AYES@, except Council Members Juneau, Rousselle and Trufant- Salvant voting NO and Council Member Barthelemy who was PRESENT BUT NOT VOTING, the following Resolution was adopted:

3 A Resolution authorizing and directing the Plaquemines Port, Harbor and Terminal District Chairman, ( Port Chairman ) to enter into an Employment Contract with Major General (ret.) Maynard Sandy Sanders for services as Port Executive Director, by signing the Employment Contract; to enter into said contract for a term of three years; authorizing and directing the Port Chairman to sign the documents to enter into the contract by the close of business on August 3, 2016; and otherwise to provide with respect thereto. WHEREAS, it is the desire of this Council, as the sole governing authority of the Plaquemines Port Harbor and Terminal District (the Port), to enter into a contract for services regarding work as Port Executive Director with Major General (ret.) Maynard Sandy Sanders for a term of three years from the effective date of the Employment Contract; BE IT RESOLVED BY THE PLAQUEMINES PARISH COUNCIL, AS THE SOLE GOVERNING AUTHORITY OF THE PLAQUEMINES PORT, HARBOR AND TERMINAL DISTRICT THAT it hereby authorizes and directs the Plaquemines Port, Harbor and Terminal District Chairman ( Port Chairman ) to enter into an Employment Contract (a copy of which is attached as Exhibit A ) with Major General (ret.) Maynard Sandy Sanders for services as Port Executive Director, by signing the Employment Contract, as approved by the Plaquemines Parish Council, to enter into said contract for a term of three years. BE IT FURTHER RESOLVED BY THE PLAQUEMNES PARISH COUNCIL, AS THE SOLE GOVERNING AUTHORITY OF THE PLAQUEMINES PORT, HARBOR AND TERMINAL DISTRICT THAT it authorizes and directs the Port Chairman to sign the documents to enter into the contract by the close of business on August 3, BE IT FURTHER RESOLVED BY THE PLAQUEMNES PARISH COUNCIL, AS THE SOLE GOVERNING AUTHORITY OF THE PLAQUEMINES PORT, HARBOR AND TERMINAL DISTRICT THAT the Secretary of this Council is hereby authorized and directed to immediately certify this Resolution and that Port employees and officials are authorized to carry out the purposes of this Resolution, both without further reading and approval by the Plaquemines Parish Council. Council Member Burt left the meeting at 2:07 p.m. R E S O L U T I O N NO On motion of Council Member Black, seconded by Council Member Barthelemy, and on roll call all members present and voting AYES@, except Council Member Juneau voting NO and Council Member Burt who was ABSENT, the following Resolution was adopted: A Resolution authorizing Maynard Sandy Sanders, as Executive Director of the Plaquemines Port Harbor & Terminal District, to extend the agreement with Arlington Ridge Group, LLC for consulting and advisory services regarding, inter alia, Government representation at the State and Federal level; and otherwise to provide with respect thereto. WHEREAS, the Plaquemines Port Harbor & Terminal District has need for representation and consulting on matters of State and Federal Government affairs; and WHEREAS, Resolution No authorized the acceptance of and execution of a contract for the engagement of the services of Arlington Ridge Group, LLC, for services; and WHEREAS, Resolution No authorized the Executive Director to extend the original agreement for the period of one year ending August 15, 2016; and WHEREAS, the current agreement provides for automatic renewal with the consent of the parties;

4 BE IT RESOLVED BY THE PLAQUEMINES PARISH COUNCIL AS THE SOLE GOVERNING AUTHORITY OF THE PLAQUEMINES PORT, HARBOR & TERMINAL DISTRICT THAT Maynard J. Sanders, Executive Director, is hereby authorized to extend the original agreement with Arlington Ridge Group, LLC, for the period of one year beginning August 15, 2016 and ending August 15, 2017, not to exceed a retainer of $ per month, or $30, per year per the original agreement. BE IT FURTHER RESOLVED BY THE PLAQUEMINES PARISH COUNCIL AS THE SOLE GOVERNING AUTHORITY OF THE PLAQUEMINES PORT, HARBOR & TERMINAL DISTRICT THAT the Secretary of this Council is hereby authorized and directed to immediately certify and release this Resolution and that Port employees and officials are authorized to carry out the purposes of this Resolution, both without further reading and approval by the Plaquemines Parish Council. There being nothing under New Business, Council Member Black moved to Approval of Minutes. Without objection, so ordered. R E S O L U T I O N NO On motion of Council Member Black, seconded by Council Member Edgecombe, and on roll call all members present and voting YES, except Council Member Burt who was ABSENT, the following Resolution was adopted: BE IT RESOLVED BY THE PLAQUEMINES PARISH COUNCIL, AS THE SOLE GOVERNING AUTHORITY OF THE PLAQUEMINES PORT, HARBOR & TERMINAL DISTRICT THAT it hereby approves the minutes of the June 23, 2016, meeting as recorded by the Secretary of this Council. Theriot was in attendance along with, Mr. Stanley Wallace, Director of Operations, and Rev. Michael Jiles, Director of Public Service. Council Member Lepine asked for deferrals and withdrawals: Council Member Juneau deferred Agenda Item 6d, A Resolution authorizing Parish President Edward Theriot to solicit proposals for the operation, management and maintenance of one or more or all boat harbors, marinas and shipyards owned by the Plaquemines Parish Government; and for all other matters related thereto; and otherwise to provide with respect thereto ; Council Member Lepine deferred 6e, An Ordinance to amend the General Fund, 2016 Manpower Structure and Operating Expenditure Budget by filling an Unclassified Felony Clerk Position for Division "A" of the 25th Judicial District Court; and otherwise to provide with respect thereto and On behalf of Council Member Burt, Council Member Lepine deferred Agenda Item 6a(1), An Ordinance by the Plaquemines Parish Council, as and on behalf of the Coastal Protection and Restoration Authority Board of Louisiana ( CPRA Board ), the West Bank Levee District, Plaquemines Parish and Plaquemines Parish Government, to appropriate temporary work area easements and temporary road easements in certain portions of lands in Plaquemines Parish, Louisiana to extend the construction time for the West Bank and Vicinity (WBV), Mississippi River Levee (MRL), Mississippi River and Tributaries (MR&T) Project, Hurricane and Storm Damage Risk Reduction System (HSDRRS), Resilient Features, Oakpoint to Augusta, WBV-MRL 2.2, Baseline Stations to , Plaquemines Parish, Louisiana project for Mississippi River levee, flood and hurricane protection purposes; and otherwise to provide with respect thereto. Council Member Lepine moved to Agenda Item 1a, Executive Session. Without objection, so ordered. R E S O L U T I O N NO On motion of Council Member Barthelemy, seconded by Council Member Williams, and on roll call all members present and voting AYES@, except Council Members Burt, Trufant-Salvant and Edgecombe who were ABSENT, the following Resolution was adopted: BE IT RESOLVED BY THE PLAQUEMINES PARISH COUNCIL THAT it hereby resolves itself into Executive Session at 2:32 p.m. for the purpose of hearing a report and recommendations and strategy advice for the management of litigation from its attorney concerning: Phillip T. Costa v. PPG, 25 th JDC Case No Attorney Shane Landry.

6 BE IT FURTHER RESOLVED BY THE PLAQUEMINES PARISH COUNCIL THAT it hereby came out of Executive Session at 2:50 p.m. with no final or binding action taken. Council Member Lepine advanced to Agenda Items 6a(2) through 6a(6) which were taken en globo and all offered with changes: ORDINANCE NO. 16- The following Ordinance was offered by Council Member Trufant-Salvant who moved its adoption: An Ordinance approving a plan of re-subdivision of the property of Woodland Borrow Pits, LLC, Plaquemines Parish, Louisiana, as shown on the map of resubdivision, Tract DR-2A into Tracts DR-2A1 and DR-2A2, property of Woodland Borrow Pits, LLC, Deer Range Plantation, by Hugh Mc Curdy, III, P.L.S., dated January 28, 2016, the owner having fulfilled all the requirements of the Subdivision and Re-subdivision Ordinance of the Parish of Plaquemines without cost to Plaquemines Parish Government or the Parish of Plaquemines; and otherwise to provide with respect thereto. WHEREAS, Woodland Borrow Pits, LLC, as owner of property situated in the Parish of Plaquemines, State of Louisiana, as shown on the map of re-subdivision, Tract DR-2A into Tracts DR-2A1 and DR-2A2, Property of Woodland Borrow Pits, LLC, by Hugh Mc Curdy, III, P.L.S., dated January 28, 2016 a copy where of is annexed hereto and made part hereof; and WHEREAS, Woodland Borrow Pits, LLC, as owner of said property have proposed the resubdivision of the said property into Tracts DR-2A1 and DR-2A2 as more fully shown on said map; and WHEREAS, all streets, utilities, drainage structures and other improvements shown on the aforementioned map of survey are in place; and WHEREAS, the owner/developer understands that he and subsequent owners of the property is, responsible for the cost, installation, maintenance or improvements of the sewerage and water infrastructure to connect to the public utilities shown on the aforementioned map; and WHEREAS, the owner/developer understands that he and subsequent owners of the property will be responsible for the maintenance of future and all existing non-dedicated streets, roads, right of ways, utilities, drainage and structures and other improvements shown on the aforementioned plan and plat of survey are in place; and WHEREAS, the Plaquemines Parish Government accepts no responsibility or liability for the construction, maintenance or improvements of any future or now existing non-dedicated streets, roads, right of ways, utilities, drainage structure and other improvements that may be shown on the aforementioned plan and plat of survey; and WHEREAS, the owner/developer and subsequent owners of the property shall responsible for the construction and maintenance of future and all existing non-dedicated streets, roads, right of ways, utilities, drainage structures and other improvements that may be shown on the aforementioned plan and plat of survey; BE IT ORDAINED BY THE PLAQUEMINES PARISH COUNCIL THAT: SECTION 1 The aforesaid map of re-subdivision Tract DR-2A into Tracts DR-2A1 and DR-2A2, property of Woodland Borrow Pits, LLC, by Hugh Mc Curdy, III, P.L.S, dated January 28, 2016, a copy of whereof is annexed hereto and made a part hereof, be approved, and that the approval of the Parish

SECTION 2 The Parish President be and is hereby authorized to appear before a Notary Public, and execute the approved aforesaid plan or re-subdivision of owner as depicted on plan and plat of survey by Hugh Mc Curdy, III, P.L.S. dated January 28, 2016, for the Parish of Plaquemines and the Plaquemines Parish Government and to execute any all acts and documents necessary and proper in the premises to give full force and effect to the aforesaid Ordinance. SECTION 3 The Plaquemines Parish Government accepts no responsibility or liability for construction, maintenance or improvements of any future or now existing non-dedicated streets, roads, right of ways, utilities, drainage structures and other improvements that or may and be shown on the aforementioned plan and plat of survey or late developed. SECTION 4 The Secretary of this Council is hereby authorized and directed to immediately certify and release this Ordinance and that Parish employees and officials are authorized to carry out the purposes of this Ordinance, both without further reading and approval by the Plaquemines Parish Council. ORDINANCE NO The following Ordinance was offered by Council Member Trufant-Salvant who moved its adoption: An Ordinance approving a plan of re-subdivision of the property of Woodland Borrow Pits, LLC, Plaquemines Parish, Louisiana, as shown on the map of resubdivision, Tract DR-2A into Tracts DR-2A1 and DR-2A2, property of Woodland Borrow Pits, LLC, Deer Range Plantation, by Hugh Mc Curdy, III, P.L.S., dated January 28, 2016, the owner having fulfilled all the requirements of the Subdivision and Re-subdivision Ordinance of the Parish of Plaquemines without cost to Plaquemines Parish Government or the Parish of Plaquemines; and otherwise to provide with respect thereto. The foregoing Ordinance having been submitted to a vote, the vote resulted as follows: YEAS: Council Members John L. Barthelemy, Jr., W. Beau Black, Kirk M. Lepine, Irvin Juneau, Benedict Rousselle, Audrey Trufant-Salvant, Jeff Edgecombe and Nicole Williams NAYS: None

9 ABSENT: Council Member Charlie Burt PRESENT BUT NOT VOTING: None And the Ordinance was adopted on this the 28 th day of July, ORDINANCE NO. 16- The following Ordinance was offered by Council Member Trufant-Salvant who moved its adoption: An Ordinance approving a plan of re-subdivision of the property of Woodland Borrow Pits LLC, Plaquemines Parish, Louisiana, as shown on the Map of Resubdivision, Tract F into Tracts F-1 and F-2, Property of Woodland Borrow Pits, LLC, Junior and Pointe Celeste Plantations, by Hugh Mc Curdy, III, P.L.S., dated April 3, 2016 the owner having fulfilled all the requirements of the Subdivision and Re-subdivision Ordinance of the Parish of Plaquemines without cost to the Plaquemines Parish Government or the Parish of Plaquemines; and otherwise to provide with respect thereto.
