Buyer shall pay Seller the wholesale cost of said inventory on or before closing by wire transfer of funds.

All final bid prices are subject to acceptance or rejection by the Seller and the District Court, if applicable.

7 Auction Terms & Conditions Bid on any individual tracts, combination of tracts, or the entire offering. PROCEDURE: The assets will be offered in 6 individual tracts, any combination of tracts, or in their entirety. The assets will be sold in the manner resulting in the highest total sales price. The price bid at auction on Tracts 2, 4 and 6 will be for the fixtures and goodwill only. Inventory purchase price shall be calculated separately and added to the bid price on or before closing. INVENTORY PURCHASE PRICE: Bidders of Tracts 2, 4, and 6 must purchase the remaining inventory at the respective Tract location at the time of closing. The amount due for this inventory purchase shall be in addition to the bid amount. A physical inventory shall be taken on or prior to the closing date by a professional inventory company selected by Seller to determine the retail value of the Inventory. Buyer shall pay Seller the wholesale cost of said inventory on or before closing by wire transfer of funds. ACCEPTANCE OF BID PRICES: All successful bidders will sign an Asset Purchase Agreement (the Purchase Agreement ) at the auction site immediately following the close of the auction. All final bid prices are subject to acceptance or rejection by the Seller and the District Court, if applicable. Any Purchase Agreement accepted by the Seller will be submitted to the District Court for approval, if applicable. DOWN PAYMENT: Ten percent (10%) of the total contract purchase price, excluding the Inventory Purchase Price, is due at the close of the auction, upon signing the Purchase Agreement. The down payment may be paid in the form of wire transfer, personal check, business check, or cashier s check. The balance of the contract purchase price is due in cash at closing. YOUR BIDDING IS NOT CONDITIONAL UPON FINANCING. CLOSING: The closing date shall be held on a mutually agreeable date within thirty (30) days following District Court approval of the sale with closing to be held at the offices of Chicago Title Company or at another mutually acceptable location. POSSESSION: Seller shall deliver possession of the assets, subject to the rights of tenants in possession, if any, to Buyer concurrently with the closing of this transaction. Buyers of Tracts 2, 4, & 6 will be responsible for entering into leasing or other arrangements with the respective Buyers of Tracts 1 & 3 and the current owner of the Des Plaines grocery store real property. In the event an arrangement can not be made, Seller(s) and Buyer(s) of Tracts 1 & 3 shall provide Buyer(s) of Tracts 2, 4, & 6 with a two-week period post closing to liquidate or move the assets and vacate the premises. REAL ESTATE TAXES, SPECIAL ASSESSMENTS & RENTAL INCOME: Real estate taxes and special assessments not due as of the closing will be prorated as of the closing based upon 100% of the last ascertainable real estate tax bill for a full year. There shall be no proration of real estate taxes or special assessments for triple net tenants except for the Seller entities. Rather, Seller will provide a credit to Buyer at closing in the amount of any tax impounds from such triple net tenants in Seller s possession as of the closing. Seller will also provide Buyer with a credit for all unexpended common area maintenance impounds of the triple net tenants in Seller s possession as of the closing. Rents actually collected by Seller for the month of the closing shall be prorated as of the closing. SURVEY: Buyer will receive an existing survey. No other survey will be provided by Seller. Buyer may elect to obtain a new survey at Buyer s discretion at Buyer s sole cost and expense. Should a new survey indicate a discrepancy between the actual acreage and/or square footage and the advertised amounts, the Purchase Price shall not be adjusted to reflect the surveyed amounts. TITLE AND BILL OF SALE: Seller shall furnish to Buyer(s) at Seller s expense an Owner s Policy of Title Insurance in the amount of the purchase price. Seller shall execute a recordable Special Warranty Deed sufficient to convey the real estate to Buyer or Buyer s nominee. In addition, Seller shall execute a Quit Claim Bill of Sale sufficient to convey the non real estate assets to Buyer or Buyer s nominee. EASEMENTS & LEASES: Sale of the property is subject to any and all easements and leases apparent or of record. There shall be no assignment of any leases naming as tenant or guarantor any of the Seller entities, which leases and guarantees, if any, shall terminate as of the closing date.
