Background: During May of 2014, the Department of Public Works (DPW) received an offer from the California Department of State Parks (State Parks) to make improvements to Truckhaven Trail at its entrance from the North Edge of S-22, to a distance of 700 feet. Truckhaven Trail is an unpaved road, included in the County's maintained mileage system, from S-22 to Glendale Avenue, a distance of approximately 3.3 miles. State Parks' offer was to provide this one-time support to the County, because Truckhaven is used by many State Parks visitors to enter into the Truckhaven area, which is a part of the State Parks District. The unpaved road is currently eroded into deep ruts, making it difficult for most vehicles to enter, and causing visitors to bypass the eroded sections. This has caused the road to migrate to the west, thereby creating a larger footprint of impact. The improvements will consist of re-grading of the road and installation of gravel, which will bring it back to its original alignment, and will provide drainage to prevent further erosion of the road. Under the MOU, the County will provide all maintenance of the improvements, and will perform any work that is needed in the future. County Counsel Coordination: This Memorandum of Understanding was approved by County Counsel under AR PW. Fiscal Impact: There will be no impact to the County General Fund. MEMORANDUM OF UNDERSTANDING BY AND BETWEEN IMPERIAL COUNTY AND CALIFORNIA DEPARTMENT OF PARKS AND RECREATION REGARDING IMPROVEMENTS OF TRUCKHAVEN TRAIL This MEMORANDUM OF UNDERSTANDING ("MOU") is

3 MEMORANDUM OF UNDERSTANDING BY AND BETWEEN IMPERIAL COUNTY AND CALIFORNIA DEPARTMENT OF PARKS AND RECREATION REGARDING IMPROVEMENTS OF TRUCKHAVEN TRAIL This MEMORANDUM OF UNDERSTANDING ("MOU") is entered into on this day of, 2015 between the County of Imperial, through its Department of Public Works ("COUNTY") and the California Department of Parks and Recreation ("STATE") collectively referred to as ("PARTIES"). A. PURPOSE. The purpose of this MOU is to outline the mutual agreement between COUNTY and STATE regarding the improvement and maintenance of Truckhaven Trail from the north edge of S-22 to a distance of 700 feet. The obligations and details of the PARTIES are set forth below. B. STATE OBLIGATIONS. 1. STATE shall make the following improvements to the Truckhaven Trail (County Road No. 8A01[1]) from the north edge of S-22 to a distance of 700 feet (referred to as "Work"): a. Saw cut existing asphalt 12 feet north of S-22, wreck out all asphalt north of the cut and haul broken asphalt to recycling facility. b. Rip, water, mix, grade and re compact existing soil from asphalt apron in Area No. 1 (45 feet wide x 135 feet long) and Area No. 2 (20 feet wide x 565 feet long). c. Haul in 650 tons of non-spec road base from API Salton City and mix material to optimum moister, grade, compact and roll at a depth of 6 inches. 2. STATE shall ensure compliance with all state, federal and local laws or rules applicable to performance of the work performed under this MOU. C. COUNTY OBLIGATIONS. 1. COUNTY shall provide all maintenance of improvements made by the STATE to the Truckhaven Trail (County Road No. 8A01[1]) from the north edge of S-22 to a distance of 700 feet. 2. COUNTY shall ensure compliance with all state, federal and local laws or rules applicable to maintenance of the improvements. Page 1 of 3

4 D. MODIFICATIONS. Modifications within the scope of the MOU shall be made by mutual consent of the PARTIES, by the issuance of a written modification, signed and dated by both PARTIES, prior to any changes being made. E. COMPLIANCE WITH APPLICABLE LAWS. The PARTIES agree that in performing this MOU, each party shall comply will all applicable laws, ordinances and codes of the Federal, State and Local governments. F. TERM. This MOU shall commence upon the execution date first stated above and shall remain in full force and effect until the actions above are complete or until terminated in writing by mutual agreement of PARTIES. G. INDEMNIFICATION. STATE agrees to the fullest extent permitted by law to indemnify, defend, protect and hold the COUNTY and its representatives, officers, directors, designees, employees, agents, successors and assigns harmless from any and all claims, expenses, liabilities, causes of action, demands, losses, penalties, attorneys' fees and costs, in law or equity, of every kind and nature whatsoever arising out of or in connection with the STATE's negligent acts and omissions or willful misconduct under this MOU ("Claims"), but not including Claims that are finally determined to be the result of the sole negligence or willful misconduct of the COUNTY. H. Notices. Mail.
