Santulli County Executive Lake Street Elmira, New York Tom: Legislator Ken Miller inquired as to whether or not the County had a surplus computer available that could be donated to the Erin History Museum. We do have a Hewlett Packard computer (serial #2UA4102DF4) that was recently taken out of service that should meet their needs. I am requesting that the Legislature declare the computer surplus and donate it to the Erin History Museum. This is a Windows 7 computer and If this request is approved, the museum will be notified that Microsoft (MS) ended mainstream support for Windows 7 on January 13, 2015 and will end extended support on January 14, Once MS ends the extended support, security updates and patches will not be provided so they should either replace the computer or upgrade to a supported operating system. 33 LEASE AGREEMENT THIS LEASE AGREEMENT, made by and between the COUNTY OF CHEMUNG, a municipal corporation, with an office at 203 Lake Street, Elmira, New York, hereinafter called the "County", and BPOE #62, with an office at 300 E. Gray Street, Elmira, New York, hereinafter called the "Landlord". WITNESSETH: That for and in consideration of the mutual covenants, promises and agreements hereinafter mentioned, the parties do hereby agree to this Lease as follows: 1. PROPERTY LEASED. 33 parking spaces with access thereto to be located on the premises owned by the Landlord immediately next to and west of the John H. Hazlett Building and located on 317 E. Market Street, Elmira, New York. Said spaces shall be adjacent to and in close proximity to the County property now known as the Hazlett Building and shall be specifically designated by Landlord for such use. It is acknowledged by the Landlord that this contract has been amended from prior contract to add the leasing of three (3) additional parking spaces (Numbers 31, 32 and 33) to the County. Since it is imperative that those three spaces are available to the employees in the Hazlett Building, if these three additional spaces are often not available due to illegal parking or piled-up snow, the County shall have the option to opt out of the renting of these three additional spaces upon 30-day notice to the Landlord. 2. TERM OF LEASE. This Lease shall be for the term of three (3) year commencing January 1, 2019, and ending December 31, 2021, unless otherwise provided herein. 3. EARLY TERMINATION. The County reserves the right to terminate this Lease prior to the expiration mentioned above, by giving thirty (30) days' notice to that effect, in writing, addressed to the Tenant at the above stated address. Early termination will be made only for a governmental purpose. BPOE #62 reserves the right to terminate this Lease upon thirty (30) days written notice to the County. 4. RENTAL. The County shall pay to the Landlord rent as follows: The sum of Thirty-six and 00/100 Dollars ($36.00) per month per space with a guaranteed minimum of 33 parking spaces for the period January 1, 2019 to December 31, REAL ESTATE TAXES. The Landlord shall pay any legally assessed real estate taxes due upon the premises, if any. 6. INSURANCE/LIABILITY. The County is not liable for loss, expenses or damage to any person or property unless it is due to County's negligence. Landlord agrees to file with County a certificate of insurance showing that said premises are insured against liability in amounts acceptable to the County and property in an amount acceptable to County and adding the County as additional insured thereunder. The Landlord shall be responsible to the County for any loss suffered by County arising from any act or negligence of Landlord. The County shall be responsible to the Landlord for any loss suffered by the Landlord arising from any act or negligence solely of the County. 7. CARE OF PREMISES. Landlord shall be responsible to maintain the premises including maintaining the surface of the premises in a suitable condition for parking, removing any debris therefrom and snowplowing and making same safe during the winter months for parking. In the event of the need for snow removal, the County shall pay a pro rata share of the bill. There are a total of 44 parking spaces; therefore, the County shall be responsible for 75% of the bill. 1 Item # 6

34 Landlord has purchased signs designating County employee parking, so as to discourage parking in any of the 33 spaces by persons other than County/State employees during the hours set forth in Paragraph 12 of this Agreement. Landlord has agreed to assist the County with the removal of any unauthorized parking during the hours that the County rents the spaces. 8. ACCESS. Landlord represents to County that at all times during the term of this Lease that County shall have access to the parking lot and the parking spaces as so provided herein. 9. ASSIGNMENT/SUBLETTING. County shall not assign or sublet the premises. 10. COMPLIANCE WITH LAW. All parties to this agreement agree to comply with all laws, orders, rules and direction of all governmental authorities promptly. 11. DEFAULT/EVICTION. In the event of default by either party hereto of any of the terms and conditions of this Lease, such party having suffered such default shall be entitled to whatever legal remedies may be provided therefore in the court of proper jurisdiction. 12. EVENINGS/WEEKENDS. On evening hours after 6:00 PM and on weekends, when the spaces as provided herein are not being utilized by the County, the Landlord shall have access to same. However, during regularly scheduled monthly Legislative meetings which currently occur on the second Monday of each month or any other meeting of which the Landlord is given specific notice, said parking spaces will not be utilized by Landlord. Price Adjustments for Contract Extension Terms (If Any): If a contract extension is executed, a price adjustment will be allowed based on the Consumer Price Index (CPI-U) for all Urban Consumers, Not Seasonally Adjusted, U.S. City Average, All Items (Series ID: CUUROOOOSAO) as published by the US Department of Labor, Bureau of Labor Statistics, Washington, D.C The index is available through the internet at the Bureau of Labor Statistics (BLS) website at EXHIBIT A is included for the vendor's information for future reference in locating the CPI Indexes. If at any time the above series ID is discontinued or not available, Chemung County reserves the right to implement another applicable index. The maximum price adjustment allowance for any one-year extension term shall be five percent (5.0%). Only one (11 price adjustment per each one-year contract extension term will be allowed. Price adjustments using the CPI involve changing the Bid Price per Package Unit Measure by the percent change in the level of the CPI between the reference period and a subsequent time period. For tire first price adjustment period, the reference period shall be December 2015, and the subsequent time period shall be January1, Any subsequent price adjustment shall be based on utilizing the CPI-U January 1, 2015 Index figure to the following subsequent CPI-U January figure.
