1 SERVICES REQUEST AUSTRALIAN INDUSTRY CAPABILITY PROJECT MANAGER LEVEL 2 (1 POSITION) 1. INTRODUCTION 1.1 The Future Submarine Program (FSP) will deliver for Australia a regionally superior, conventional submarine capability, sustainable into the foreseeable future. 1.2 In April 2016, the Australian Government announced that Naval Group of France had been selected as the international partner to work with Australia to design and deliver a fleet of 12 Future Submarines. Government further announced in September 2016 that Lockheed Martin Australia had been selected as the Future Submarine Combat System Integrator, to partner with Defence and Naval Group to design and integrate the combat system into the Future Submarine. 1.3 Design and mobilisation activities are underway. This includes work to maximise opportunities for Australian industry involvement and early planning for the construction of the submarines in Australia. 1.4 Growing, developing and sustaining the FSP s programmatic, technical and engineering resource base is critically important for the efficient and effective delivery of the FSP and the establishment of a sovereign submarine capability in Australia. 1.5 The FSP is seeking a suitably qualified Australian Industry Capability (AIC) Project Manager to provide expertise to the Commonwealth to ensure the Industry Partners of the FSP develop, maintain and execute their AIC Plans. The role involves planning, managing and development of supporting material as required to maximise opportunities for Australian industry involvement. 2. TERM OF SECONDMENT Note to Tenderers: Commencement Date is expected to commence at ED+1 week, but is dependent on security clearance level of the Secondee and agreed start date between the Contractor and the Commonwealth. 2.1 The Secondment Commencement Date is [insert]. 2.2 The Secondment Completion Date is 30 June 2019 (subject to extension by mutual written agreement of the Commonwealth and the Contractor). Note to Tenderers: The Secondment Completion Date aligns with Government funding cycles. However, the parties may exercise options to extend this Service Request by mutual written agreement at such time that funding for future years is available to be committed. 3. ROLE DESCRIPTION 3.1 Under limited supervision, the AIC Project Manager will provide Project Management services including but not limited to: a. Provide oversight and support to the Industry Partners for: (i) (ii) (iii) (iv) (v) (vi) the development, maintenance and execution of their AIC plans; alignment of FSP goals, requirements and lower level AIC plans; providing assistance to the Industry Partners and their subcontractors in identifying Australian Industry support (for the FSP), from their respective supplies; establishing AIC budgets and the monitoring of spend against budget; updates of AIC Plans in accordance with contract and lifecycle phase changes; and correctly, measure and report status and address / rectify issues. Liaise with and coordinate stakeholders to provide services described at 3.1.a, stakeholders may include: (i) (ii) (iii) (iv) FSP team; AIC peers within Department of Defence; FSP Industry Partners and their subcontractors; and Industry organisations. 3.2 The transfer of skills and knowledge to the FSP, within the scope of the Secondee s role, is an important and ongoing component of the Services. 3.3 The Skill Level Definitions for a Level 2 practitioner are set out at Attachment D to the Conditions of Contract. 3.4 In addition, the following experience is considered highly desirable for the position: a. recent and relevant experience in AIC and all project management domains (scope, integration, scheduling, cost management, resourcing, contracting, quality, risk and opportunity, and communications) for large complex programs; b. an understanding of shipbuilding or submarine building lifecycle; and c. able to work under minimum supervision, responsive to changing demands, show initiative and be able to interface with a wide range of team members in delivering the project outcomes. 3.5 In providing the Services, the AIC Project Manager is expected to exhibit the following attributes and behaviours: a. Ethical conduct and professional accountability; b. Effective oral and written communication in professional and lay domains; c. Creative, innovative and pro-active demeanour; d. Professional use and management of information; e. Orderly management of self, and professional conduct; and f. Effective team membership and team leadership. 3.6 The AIC Project Manager is expected to work in the FSP office located in Adelaide and report to the Australian Industry Capability Manager. Travel may be required form time to time to meet FSP requirements. 4. HOURS OF WORK 4.1 All Secondees are expected to work standard business days between Monday and Friday, 8 am and 5pm, with some flexibility to work outside standard days/hours to: a. achieve FSP requirements; and b. accommodate individual Secondee needs as agreed with the Commonwealth Representative or Authorised Person. 4.2 Additional hours: a. Prior to any work taking place on a non-working day, authorisation is to be granted by the Commonwealth Representative in writing. Any authorisation is to clearly specify the exact nature of the duties to be performed during the non-working day. b. Subject to subparagraph d, the parties acknowledge that the Commonwealth is not required to make any additional payments to the Contractor on account of the Secondee working on non-working days or outside standard hours. c. If a Secondee is required to work on a non-working day, the Commonwealth and the Secondee may negotiate and agree appropriate time off in recognition of the Secondee s additional efforts (and with reference the FSP s resourcing requirements at the relevant time). General Conditions of Contract 2
3 d. If a Secondee is required to undertake work above and beyond normal working arrangements over a prolonged period of time, the Commonwealth Representative may negotiate a suitable arrangement with the Secondee or Contractor on a case by case basis for that period. 4.3 Secondees will not be required to work over the Christmas/New Year stand-down period scheduled by the Commonwealth which nominally commences at the end of the last working day before Christmas Day and ends after New Year s Day. 5. KEY PERFORMANCE INDICATORS 5.1 The Commonwealth may from time to time, in consultation with both the Secondee and the Contractor, develop Key Performance Indicators (KPIs) as a mechanism to assess the Secondee s performance of their role and responsibilities within the FSP. 5.2 If KPIs are developed, the Secondee will participate in KPI reviews as required by the Commonwealth. 5.3 The Commonwealth will provide KPI assessments to the Contractor in accordance with clause 7.4 of the Conditions of Contract. 6. SECURITY 6.1 The Contractor s nominated Secondee(s) is expected to have a Security Clearance of Negative Vetting Level 1 (NV1) or higher, or have the capability to obtain such clearance in accordance with clause 16 of the Conditions of Contract within three months after the Commencement Date nominated in clause PRICE AND PAYMENT 7.1 The Fees for Services specified in Table 1 Daily Rates of Attachment B of the Contract that apply to Level 2 shall apply to the Secondee s secondment. 7.2 The Contractor may claim the Out of Pocket Expenses applicable to the Secondee as specified in Attachment B in accordance with the requirements of Attachment B. 7.3 The Contractor may invoice the Commonwealth for the Fees for Services and Out of Pocket Expenses monthly in arrears in accordance with the Contract. 8. US MOU COMPLIANCE AND EXPORT CONTROLS 8.1 The Contractor acknowledges that the disclosure of US Information by the Commonwealth to the Contractor or its Subcontractors may be subject to a number of controls including controls imposed by the United States Arms Export Control Act, the United States International Traffic in Arms Regulations (ITAR) and the US/Australian MOUs. 8.2 US Information means United States export controlled information, United States Classified Information or United States Controlled Unclassified Information that is furnished by the US Department of Defense to the Commonwealth in relation to the US/Australian MOUs, and is provided by the Commonwealth to the Contractor, being information that is: a. marked clearly and legibly as such on the information itself; or b. identified as such by the Commonwealth in a covering letter or by notice in writing to the Contractor within 10 Working Days of the information being provided by the Commonwealth to the Contractor. 8.3 Classified Information means official information that requires protection in the interests of national security and is so designated by the application of a security classification marking. This information may be in oral, visual, magnetic or documentary form or in the form of equipment or technology. This definition is consistent with the definition of classified information in the US/Australian MOUs. General Conditions of Contract 3
4 8.4 Controlled Unclassified Information means unclassified information to which access or distribution limitations have been applied in accordance with applicable national laws or regulations. The information will be marked to identify its in confidence nature. Controlled Unclassified Information could include information that has been declassified but remains controlled. This definition is consistent with the definition of controlled unclassified information in the US/Australian MOUs. 8.5 US/Australian MOUs (available on the United States Department of State website) means the following Memorandums of Understanding: a. the Memorandum of Understanding between the Department of Defense of the United States of America and the Department of Defence of Australia for the co-operative development, production and support of the AN/BYG-1 Tactical and Weapon Control System dated 18 November 2004, including all amendments and supplementary documentation (such as Project Arrangements and the Project Security Instruction); or b. the Memorandum of Understanding between the Department of Defense of the United States of America and the Department of Defence of Australia for the co-operative development, production and support of the MK48 Heavyweight Torpedo dated 31 March 2003, including all amendments and supplementary documentation (such as Project Arrangements and the Project Security Instruction). 8.6 The Contractor shall ensure that all US Information provided to it under this Contract is: a. not disclosed to any other party without the express permission of the Commonwealth; b. used only for the purposes of this Contract; c. provided only to personnel whose access is necessary to carry out the purposes of this Contract; and d. provided only to personnel who are on the Submarines Group Access List (Access List). The Access List is controlled by the Submarines Group Technology Control Operations section and identifies the personnel who are eligible and may receive access to US Information. 8.7 The Contractor shall comply with any distribution, transfer or access restrictions on US Information which are notified to the Contractor by the Commonwealth. 8.8 The Contractor shall not remove any Classified Information from Commonwealth premises without the express permission of the Commonwealth. Such permission may, at the Commonwealth s discretion, be given subject to the Contractor s compliance with additional conditions. 8.9 The Contractor shall ensure that all subcontractors have included in their contracts provisions to the effect of clauses 8.1 to 8.8 above The obligations in clauses 8.1 to 8.9 only apply to information provided in accordance with the US/Australian MOUs. Those obligations do not apply to US Information that is subject to a Technical Assistance Agreement, Manufacturing Licence Agreement, DSP-5 or any other export approval authorised by the United States Department of State in connection with the Collins Class Submarines The Access List is controlled by the Submarines Group Technology Control Operations Section. If the Contractor requires its personnel to be included on the Access List, the Contractor: a. acknowledges that their personnel must meet the requirements at Clause of the AN/BYG-1 Project Security Instruction and Sections 7 and 8 of the MK48 CBASS HWT Project Security Instruction; b. shall complete the Access List Application (as updated from time to time); and c. shall submit the Access List Application to the Submarine Group Technology Control Operations Section for approval. 5 8.12 The Commonwealth shall provide copies of the relevant Project Security Instructions on request by the Contractor.
